Common use of Own responsibility Clause in Contracts

Own responsibility. It is understood and agreed by each Bank that it has itself been, and will continue to be, solely responsible for making its own independent appraisal of and investigations into the financial condition, creditworthiness, condition, affairs, status and nature of each member of the Group and each member of the ADT Group and, accordingly, each Bank warrants to the Agent and the Arranger that it has not relied on and will not hereafter rely on the Agent and the Arranger or any of them: (a) to check or enquire on its behalf into the adequacy, accuracy or completeness of any information provided by any of the Obligors in connection with this Agreement or the transactions herein contemplated (whether or not such information has been or is hereafter circulated to such Bank by the Agent and the Arranger or any of them); or (b) to assess or keep under review on its behalf the financial condition, creditworthiness, condition, affairs, status or nature of any member of the Group or any member of the ADT Group.

Own responsibility. It is understood and agreed by each Bank that it has itself been, and will continue to be, solely responsible for making its own independent appraisal of and investigations into the financial condition, creditworthiness, condition, affairs, status and nature of each member of the Group and each member of the ADT Group Borrowers and, accordingly, each Bank represents and warrants to each of the Arranger, the Facility Agent and the Arranger Security Agent that it has not relied on and will not hereafter rely on the Arranger, the Facility Agent and or the Arranger or Security Agent nor any of them: (a) to check or enquire on its behalf into the adequacy, accuracy or completeness of any information provided by any of the Obligors Borrowers in connection with this Agreement or the transactions herein contemplated by this Agreement (whether or not such information has been or is hereafter circulated to such Bank by the Arranger, the Facility Agent, the Security Agent and the Arranger or any of them); or (b) to assess or keep under review on its behalf the financial condition, creditworthiness, condition, affairs, status or nature of any member of the Group or any member of the ADT GroupBorrowers.

It is understood and agreed by each Bank Lender that it has itself been, and will continue to be, solely responsible for making its own independent appraisal of and investigations into the financial condition, creditworthiness, condition, affairs, status and nature of each member of the Group and each member of the ADT Group Obligors and, accordingly, each Bank Lender warrants to the Agent Facility Agent, the Arranger and the Arranger Modeller that it has not relied on and will not hereafter rely on the Agent and Facility Agent, the Arranger or any of themthe Modeller: (a) to check or enquire on its behalf into the adequacy, accuracy or completeness of any information provided by any of the Obligors an Obligor in connection with this Agreement the Finance Documents or the transactions herein contemplated in (whether or not such information has been or is hereafter circulated to such Bank Lender by the Agent and Facility Agent, the Arranger or any of themthe Modeller); or (b) to assess or keep under review on its behalf the financial condition, creditworthiness, condition, affairs, status or nature of any member of the Group or any member of the ADT GroupBorrower.

It is understood and agreed by each Bank and each Issuing Bank that it has itself been, and will continue to be, solely responsible for making its own independent appraisal of and investigations into the financial condition, creditworthiness, condition, affairs, status and nature of each member of Borrower and the Group and each member of the ADT Group and, accordingly, each Bank and each Issuing Bank warrants to each of the Facility Agent and the Arranger Arrangers that it has not relied on and will not hereafter rely on any of the Facility Agent and the Arranger or any of themArrangers: (a) 24.14.1 to check or enquire on its behalf into the adequacy, accuracy or completeness of any information provided by any of the Obligors in connection with this Agreement or the transactions herein contemplated (whether or not such information has been or is hereafter circulated to such Bank or such Issuing Bank by the Facility Agent and the Arranger or any of themArranger); or (b) 24.14.2 to assess or keep under review on its behalf the financial condition, creditworthiness, condition, affairs, status or nature of any member of the Group or any member of the ADT Group.

It is understood and agreed by each Bank that it has itself been, and will continue to be, solely responsible for making its own independent appraisal of and investigations into the financial condition, creditworthiness, condition, affairs, status and nature of each member of the Group and each member of the ADT Guarantor’s Group and, accordingly, each Bank warrants to the Agent Agent, the Trustee and the Arranger Arrangers that it has not relied on and will not hereafter rely on the Agent Agent, the Trustee and the Arranger Arrangers or any of them: (ai) to check or enquire on its behalf into the adequacy, accuracy or completeness of any information provided by any of the Obligors Finance Party in connection with this Agreement the Finance Documents or the transactions herein contemplated thereby (whether or not such information has been or is hereafter circulated to such Bank by the Agent Agent, the Trustee and the Arranger Arrangers or any of them); or (bii) to assess or keep under review on its behalf the financial condition, creditworthiness, condition, affairs, status or nature of any member of the Group or any member of the ADT Guarantor’s Group.

It is understood and agreed by each Bank that it has itself been, and will continue to be, solely responsible for making its own independent appraisal of and investigations into the financial condition, creditworthiness, condition, affairs, status and nature of each member of the Group and each member of the ADT Parent's Group and, accordingly, each Bank warrants to the Agent Agent, the Trustee and the Arranger Arrangers that it has not relied on and will not hereafter rely on the Agent Agent, the Trustee and the Arranger Arrangers or any of them: (ai) to check or enquire on its behalf into the adequacy, accuracy or completeness of any information provided by any of the Obligors Finance Party in connection with this Agreement the Finance Documents or the transactions herein contemplated thereby (whether or not such information has been or is hereafter circulated to such Bank by the Agent Agent, the Trustee and the Arranger Arrangers or any of them); or (bii) to assess or keep under review on its behalf the financial condition, creditworthiness, condition, affairs, status or nature of any member of the Group or any member of the ADT Parent's Group.
