Owner Responsible for Payments. Upon termination of or withdrawal from this Agreement, Owner shall assume the obligations of any contract or outstanding xxxx executed by Pinnacle under this Agreement for and on behalf of Owner, if such xxxx was incurred by Pinnacle in accordance with the Plan or as otherwise approved by Owner. In addition, Owner shall indemnify Pinnacle against any obligations or liabilities which Pinnacle may have properly incurred on Owner's behalf under this Agreement.
