Ownership of Xxxxxx Xxxxx. The Purchaser acknowledges that the Parent ------------------------- is the owner of all right, title and interest in, to and under the Xxxxxx Xxxxx, whether alone or in combination with other words or designs. The Purchaser shall not use any of the Xxxxxx Xxxxx or, after the Closing, permit any DMS Company or any DMS Subsidiary to use any of the Xxxxxx Xxxxx, except as specifically authorized by this Agreement or the Marketing Services Agreement. After the Closing, the Purchaser will not, and will not permit any DMS Company or 50 any DMS Subsidiary to: (a) take any action that would interfere with the Parent's registration and/or use of the Xxxxxx Xxxxx throughout the world; (b) take any action that would diminish or dilute the distinctiveness or validity of any Xxxxxx Xxxx; (c) challenge the Parent's ownership of any Xxxxxx Xxxx and/or any registration thereof; or (d) attempt to register any Xxxxxx Xxxx or any xxxx confusingly similar thereto, alone or in combination with other words or designs, as a trademark, service xxxx or trade name anywhere in the world.
