Ownership Rights in Materials. All products, forms, procedures and other materials (the “Materials") utilized or made available by Company to Client in connection with any service performed under this Agreement are the sole property of Company and/or its licensors, and Client shall not acquire any right, title or interest in the Materials by use thereof in accordance with this Agreement. Client shall not license, market, copy, modify, sell or transfer any of the Materials, in whole or in part. Client acknowledges and recognizes that any breach of this section would result in irreparable harm to Company, and, accordingly, agrees that in addition to and not in lieu of all remedies available to Company by reason of such breach (at law or equity), Company shall be entitled to equitable relief (including, without limitation, specific performance and injunctive relief) to enjoin the occurrence or continuation of such breach. Upon Company's request, Client shall promptly return all Materials to Company following the termination of this Agreement.

Ownership Rights in Materials. All training information and content (“Training Content”) delivered by HR Advisory and HR Advisory Advanced is produced by ThinkHR and Company; Training Content and may be changed at any time, without advance notice to Client. ThinkHR makes no warranties regarding the accuracy of Training Content or the frequency by which Training Content will be updated. Training Content is the sole and exclusive property of ThinkHR and, except for Client’s right to use Content in strict compliance with this Agreement, Training Content provider retains all right, title and interest in and to Training Content. Client may not copy, modify or make derivative works from or otherwise make any commercial use of Training Content not specifically permitted by the Agreement. Client acknowledges that applicable laws protect ThinkHR’s copyright and other intellectual property rights in Training Content. Client agrees to take reasonable steps necessary to prevent the unauthorized use, duplication or publication of Training Content by Client’s personnel and Client’s customer accounts.

  • Ownership Rights Nothing contained in this Agreement shall be construed as (a) establishing or granting to Registry Operator any property ownership rights or interests of Registry Operator in the TLD or the letters, words, symbols or other characters making up the TLD string, or (b) affecting any existing intellectual property or ownership rights of Registry Operator.

Syncro retains any and all rights, title and interest in and to the Software and all copies thereof, including copyrights, patents, trade secret rights, trademarks and other intellectual property rights.   • Intellectual Property Ownership We, our affiliates and our licensors will own all right, title and interest in and to all Products. You will be and remain the owner of all rights, title and interest in and to Customer Content. Each party will own and retain all rights in its trademarks, logos and other brand elements (collectively, “Trademarks”).
