P urpose for Takeover. Completion Guarantor shall have the right (but not the obligation) to take over and administer all or any aspects of Production and Delivery (“Takeover”) by giving written notice to Producer if at any time (a) Completion Guarantor determines, based upon cost reports, production reports, customary motion picture production measures of progress and cost projections, and any other information available that there is a likely risk of a claim against Completion Guarantor under the Completion Guaranty or any of the other Completion Documents; (b) there is an Event of Default or Producer fails at any time to comply with any of the terms hereof or under any other agreement which failure might, in Completion Guarantor’s reasonable judgment, cause Completion Guarantor to incur liability under the Completion Guaranty or any of the other Completion Documents; (c) Producer fails to carry out or to cause its employees, independent contractors and agents to carry out instructions which are given by Completion Guarantor, UniFi or the Production Representative in accordance with this Agreement; or (d) Completion Guarantor shall have advanced or shall have committed or become obligated to advance Completion Sums or otherwise incurred liability under the Completion Guaranty or any of the other Completion Documents.

  • Procedure for taking possession - The Promoter, upon obtaining the occupancy certificate* from the competent authority shall offer in writing the possession of the [Apartment/Plot], to the Allottee in terms of this Agreement to be taken within two months from the date of issue of occupancy certificate. [Provided that, in the absence of local law, the conveyance deed in favour of the allottee shall be carried out by the promoter within 3 months from the date of issue of occupancy certificate]. The Promoter agrees and undertakes to indemnify the Allottee in case of failure of fulfilment of any of the provisions, formalities, documentation on part of the Promoter. The Allottee, after taking possession, agree(s) to pay the maintenance charges as determined by the Promoter/association of allottees, as the case may be after the issuance of the completion certificate for the project. The promoter shall hand over the occupancy certificate of the apartment/plot, as the case may be, to the allottee at the time of conveyance of the same.

  • Criteria for Tenure A. The decision to award tenure to an employee shall be a result of meritorious performance and shall be based on established criteria specified in writing by the University. The decision shall take into account the following:
