Panel Size. (i) Cause the GFOL Panel to be of sufficient size and composition as to enable GFOL to (a) provide enough Potential Respondents to meet the needs of the Custom Business as it exists as of the date hereof, and (b) provide peak period support at least equivalent to the peak period support provided by GFOL to the Custom Business at its highest levels during the preceding [****]. (ii) Apply commercially reasonable efforts to grow the GFOL Panel so as to be able to fulfill and support TNSI's research business needs as the same may expand during the Term.

Panel Size. The parties will develop and maintain a standing panel of no fewer than four mutually-agreeable arbitrators, who will hear and decide arbitration cases. The parties shall also identify and maintain a “reserve” arbitrator, who shall be asked to make him/herself available to hear arbitration cases in the event of disqualification of one of the standing panel members. In such case, the parties will immediately identify a new, mutually-acceptable “reserve” arbitrator.

  • Bicycles Bicycles or other vehicles shall not be permitted anywhere inside or on the sidewalks outside of the Building, except in those areas designated by Landlord for bicycle parking.

  • Class Size a) When CONTRACTOR is a nonpublic school, CONTRACTOR shall ensure that class size shall not exceed a ratio of one teacher per fourteen (14) pupils. Each classroom with 2 or more students shall be assigned at least one paraprofessional. Upon written approval by an authorized XXX representative, class size may be temporarily increased by a ratio of 1 teacher to sixteen (16) pupils when necessary to provide services to pupils with disabilities. For any billing period where the class size has exceeded sixteen (16) students for five consecutive school days, the CONTRACTOR shall have a 10% decrease in its approved daily rate for those LEA students that exceeded sixteen (16), for those days (over five). b) In the event a nonpublic school is unable to fill a vacant teaching position responsible for direct instruction to students, and the vacancy has direct impact on the California Department of Education Certification of that school, the nonpublic school shall develop a plan to assure appropriate coverage of student by first utilizing existing certificated staff. The nonpublic school and the LEA may agree to one 30 school day period per contract year where class size may be increased to assure coverage by an appropriately credentialed teacher. Such an agreement shall be in writing and signed by both parties. This provision does not apply to a nonpublic agency. c) CONTRACTOR providing special education instruction for individuals with exceptional needs between the ages of three and five years, inclusive, shall also comply with the appropriate instructional adult to child ratios pursuant to California Education Code sections 56440 et seq.

  • Structures Airport facilities such as bridges; culverts; catch basins, inlets, retaining walls, cribbing; storm and sanitary sewer lines; water lines; underdrains; electrical ducts, manholes, handholes, lighting fixtures and bases; transformers; flexible and rigid pavements; navigational aids; buildings; vaults; and, other manmade features of the airport that may be encountered in the work and not otherwise classified herein. 10-50 SUBGRADE.   • Scaffolding The Landlord must ensure that any scaffolding erected outside the Premises in exercise of the Landlord's rights under this Lease: is not erected or retained (unless in an emergency) during the months of January, November and December or during the one week period either side of Easter Sunday, in each year; is removed as soon as reasonably practicable, with any damage caused to the exterior of the Premises made good; causes as little obstruction as is reasonably practicable to the entrances to the Premises and the Centre; and does not have advertising displayed on it (except for any health and safety notices and signs relating to any other tenant whose premises are obstructed or interfered with by the scaffolding) unless the Tenant has consented to its display. If the Tenant's sign and fascia or display window is obstructed or interfered with by the scaffolding, the Landlord will permit the Tenant to display a sign (approved by the Landlord) on the exterior of the scaffolding in front of the Premises so that it is visible to the public. [Turnover Information The Landlord will only use any information provided to the Landlord under Clause 4.24 for management purposes in connection with the monitoring and assessment of sales at and the performance of the Centre. The Landlord may disclose it to the following people on the terms of Clause 5.7.2: the Landlord's advisors and funders; any party (and their advisors and funders) interested in acquiring the Landlord's interest in the Centre; where required by law; and where required by the rules of any listing authority. Where the Landlord is allowed to disclose the information to someone else under this Clause 5.7, the Landlord will stress its confidential nature.] The Landlord may change the extent of the Centre but any changes must not: materially increase the amount of Service Charge payable by the Tenant; or materially prejudice: the Tenant's use and occupation of the Premises; or the rights, facilities and amenities granted to the Tenant under this Lease.

  • Board Size Each Stockholder shall vote, or cause to be voted, at a regular or special meeting of stockholders (or by written consent) all Voting Shares owned by such Stockholder (or as to which such Stockholder has voting power) to ensure that the size of the Board shall be set and remain at nine (9) directors; provided, however, that such Board size may be subsequently increased or decreased pursuant to an amendment of this Agreement in accordance with Section 5.7 hereof.

  • Power System Stabilizers The Developer shall procure, install, maintain and operate Power System Stabilizers in accordance with the requirements identified in the Interconnection Studies conducted for Developer’s Large Generating Facility. NYISO and Connecting Transmission Owner reserve the right to reasonably establish minimum acceptable settings for any installed Power System Stabilizers, subject to the design and operating limitations of the Large Generating Facility. If the Large Generating Facility’s Power System Stabilizers are removed from service or not capable of automatic operation, the Developer shall immediately notify the Connecting Transmission Owner and NYISO. The requirements of this paragraph shall not apply to wind generators.
