Parent NASDAQ Listing. (a) From the date hereof through the Closing, Parent shall use reasonable best efforts to ensure that Parent remains listed as a public company on, and for shares of Parent Common Stock to be listed on, the NASDAQ.

Parent NASDAQ Listing. Parent will use its reasonable best efforts to cause the shares of Parent Class A Stock issued in connection with the Transactions to be approved for listing on Nasdaq at the Closing. From the date hereof through the Closing, Parent shall use reasonable best efforts to ensure Parent remains listed as a public company on, and for shares of Parent Class A Stock to be listed on, Nasdaq.
Parent NASDAQ Listing. The issued and outstanding Parent Common Stock is registered pursuant to Section 12(b) of the Federal Securities Law and is listed for trading on Nasdaq. Except as disclosed in the SEC Reports and described in Exhibit D attached hereto, there is no order or proceeding pending or, to the knowledge of Parent, threatened against Parent by Nasdaq or the SEC with respect to any intention by such entity to deregister the Parent Common Stock pursuant to Section 12(b) or prohibit or terminate the listing of Parent Shares on Nasdaq.
