Partnership Reporting. The General Partner will distribute to the Investors for an Investment Partnership an annual financial report of the Investment Partnership and an Investment Partnership tax schedule within 90 days of the close of the Investment Partnership’s fiscal year. The General Partner may withhold certain report information from a particular Investor if it determines in good faith that the withholding of such information is in the best interests of the Investment Partnership and its Investors and portfolio companies and is intended to prevent public disclosure of such information.

Partnership Reporting. All returns filed by the Company in respect of federal, state and local income taxes shall be filed on the basis that the Company is a partnership for federal, state and local income tax purposes unless otherwise (x) required by law, or (y) unanimously agreed by all Members. The Members shall take all steps pursuant to applicable Regulations and applicable state or local law in order to achieve partnership classification for the Company for federal, state and local income tax purposes and, in this connection, CEA will join in the making of any election requested in good faith by the Managing Member in furtherance of this objective.
Partnership Reporting. Notwithstanding anything to the contrary contained herein, from time to time until the Closing Date, the Partnership shall provide to SunSource all reports and other information required to be provided under the Partnership Agreement to Partners under the Partnership Agreement, in connection with SunSub’s ownership of the SunSub Units through the Closing Date.
