Patent Coordination Sample Clauses

Patent Coordination. The Parties shall consult no less than [***] regarding the Handling of C4T Patent Rights and Collaboration Product Patents. The purpose of such consultation will be to ensure, to the extent reasonable, that one Party’s Handling of patent prosecution does not adversely affect the patentability of the other Party’s Patent Rights. The Parties shall establish mutually agreed upon procedures for such consultation, which may be at the JRC, and shall exchange such information as may be deemed advisable to carry out the purpose of the consultation.
Patent Coordination. Without limiting the provisions of this Article 10, the Parties agree to confer from time to time, as either Party may reasonably request, to discuss appropriate activities and strategies for protecting and enforcing their respective Patents and other intellectual property licensed hereunder, as may mutually benefit both Parties.

Santarus shall have the right to advise and comment upon the prosecution of patent applications for such Schering Patents in the Territory to the extent related to Licensed Products or Prescription Products, and Schering agrees to consider in good faith and incorporate such advice and comments of Santarus to the extent reasonably acceptable to Schering.

  • Project Coordination The Engineer shall coordinate all subconsultant activity to include quality and consistency of deliverables and administration of the invoices and monthly progress reports. The Engineer shall coordinate with necessary local entities.

  • Care Coordination Care coordination is defined as the organized delivery of member care activities between two (2) or more participants (including the member) involved in a member’s care to facilitate the appropriate delivery of health care services. Organizing care involves the marshaling of personnel and other resources needed to carry out all medically necessary member care activities and is often managed by the exchange of information among participants responsible for different aspects of care.

  • Cooperation and Coordination The Parties acknowledge and agree that it is their mutual objective and intent to minimize, to the extent feasible and legal, taxes payable with respect to their collaborative efforts under this Agreement and that they shall use all commercially reasonable efforts to cooperate and coordinate with each other to achieve such objective.

  • Project Coordinator The Project Coordinator coordinates and manages the Project and represents the Participants before Stichting LSH-TKI. Participants appoint [Participant] as Project Coordinator and authorize Mr/Mrs ……….. to carry out the tasks set forth under this Section 6.7 and Section 6.8. In particular, the Project Coordinator shall be responsible for: preparing the meetings, proposing decisions and preparing the agenda of Project Committee chairing the meetings, preparing the minutes of the meetings and monitoring the implementation of decisions taken at meetings; monitoring compliance by the Participants with their obligations; keeping the address list of Members and other contact persons updated and available; collecting and reviewing information on the progress of the Project and submitting outline scientific reports and other deliverables (including financial statements and related certification), if required, to Stichting LSH-TKI and other Participants; transmitting promptly documents and information connected with the Project; administration of the Budget and fulfilling the financial tasks, all as described in Article 7; providing, upon request, the Participants with official copies or originals of documents which are in the sole possession of the Project Coordinator when such copies or originals are necessary for the Participants to present claims. The Project Coordinator shall not be entitled to act or to make legally binding declarations on behalf of any other Participant.
