Common use of Patent Term Extensions Clause in Contracts

Patent Term Extensions. The Parties will cooperate with each other in gaining Patent term extension where applicable to Candidate Product or Products.

All filings for such extensions shall be made by the Party responsible for extending the relevant Patent Right pursuant to Section 8.3.1 or Products8.3.2.

All filings for such extension will be made by the Party to whom the patent is assigned; provided, however, that in the event that the Party to whom the patent is assigned elects not to file for an extension, such Party will (i) inform the other Party of its intention not to file; (ii) grant the other Party the right to file for such extension; and (iii) cooperate as necessary to assist the other Party in filing such extension.

All filings for such extension will be made by the Party selling such Product; provided, however, that in the event that the Party to selling such Product elects not to file for an extension, such Party will (i) inform the other Party of its intention not to file, (ii) grant the other Party the right to file for such extension, and (iii) cooperate as necessary to assist the other Party in filing such extension.
