Payment of Miscellaneous Taxes by the County. Without limiting the provisions of paragraph (a) above, the County shall timely pay any Miscellaneous Taxes to the relevant Governmental Authority in accordance with Applicable Law.

Payment of Taxes The Company shall from time to time promptly pay all taxes and charges that may be imposed upon the Company or the Warrant Agent in respect of the issuance or delivery of shares of Common Stock upon the exercise of the Warrants, but the Company shall not be obligated to pay any transfer taxes in respect of the Warrants or such shares of Common Stock.
