Payment Upon Termination or Expiration. Subparagraph c of Paragraph 5 is hereby deleted and replaced in its entirety with the following provision. In the event of termination by Xxxxxxx pursuant to Paragraph 4.d of this Agreement, and provided that such termination does not take place prior to April 1, 2000, the CME shall:

Newco will have no rights to any Commissions whatsoever following termination or expiration even if sales are made by Valley to E-Commerce Customers originally solicited by Newco.
Payment Upon Termination or Expiration. If this Agreement expires or is terminated for any reason, then Customer shall pay Request (i) for any services Request performed and Products produced or in process before the effective date of the termination or expiration and (ii) an amount equal to Request’s cost for any unique Raw Materials purchased or committed to by Request. All such Raw Materials and Products must be picked up by Customer from Request’s facility within 30 days of this Agreement’s expiration or termination or Request may elect in its sole discretion to either charge Customer storage fees for such ingredients, materials or Products or alternatively dispose of such items at the expense of Customer.
