Common use of Payments to Employees Clause in Contracts

Payments to Employees. D4.1 The Authority shall be responsible for all emoluments and outgoings in respect of the Transferring-In Employees (including, without limitation, all wages, bonuses, commission, subscriptions, PAYE and national insurance contributions and pension contributions) which are attributable in whole or in part to the period up to and including the Commencement Date (including bonuses or commission which are payable after the Commencement Date but attributable in whole or in part to the period on or before the Commencement Date), and will indemnify and keep indemnified and hold the Contractor harmless from and against all actions, suits, claims, demands, losses, charges, damages, costs and expenses and other liabilities which the Contractor may incur in respect of the same. D4.2 The Contractor shall be responsible for all emoluments and outgoings in respect of the Transferring-In Employees (including, without limitation, all wages, bonuses, commission, subscriptions, PAYE and national insurance contributions and pension contributions) which are attributable in whole or in part to the period after the Commencement Date (including any bonuses, commission, subscriptions and any other pre-payments which are payable before the Commencement Date but which are attributable in whole or in part to the period after the Commencement Date) and will indemnify and keep indemnified and hold the Authority harmless from and against all actions, suits, claims, damages, costs and expenses and other liabilities which the Authority may incur as a result of the same.

Payments to Employees. D4.1 6.1 The Authority shall be responsible for all emoluments and outgoings in respect of the Transferring-In Employees (including, without limitation, all wages, bonuses, commission, premia, subscriptions, PAYE and national insurance contributions and pension contributions) which are attributable in whole or in part to the period up to and including the Commencement Effective Date (including bonuses or commission which are payable after the Commencement Effective Date but attributable in whole or in part to the period on or before the Commencement Effective Date), and will indemnify and keep indemnified and hold the Contractor Fund or the Agent harmless from and against all actions, suits, claims, demands, losses, charges, damages, costs and expenses and other liabilities which the Contractor Fund or the Agent may incur in respect of the same. D4.2 6.2 The Contractor Fund and the Agent shall be responsible for all emoluments and outgoings in respect of the Transferring-In Employees (including, without limitation, all wages, bonuses, commission, premia, subscriptions, PAYE and national insurance contributions and pension contributions) which are attributable in whole or in part to the period after the Commencement Effective Date (including any bonuses, commission, premia, subscriptions and any other pre-payments which are payable before the Commencement Effective Date but which are attributable in whole or in part to the period after the Commencement Effective Date) and will indemnify and keep indemnified and hold the Authority harmless from and against all actions, suits, claims, damages, costs and expenses and other liabilities which the Authority may incur as a result of the same.

D4.2 . The Contractor shall be responsible for all emoluments and outgoings in respect of the Transferring-In Employees (including, without limitation, all wages, bonuses, commission, subscriptions, PAYE and national insurance contributions and pension contributions) which are attributable in whole or in part to the period after the Commencement Date (including any bonuses, commission, subscriptions and any other pre-payments which are payable before the Commencement Date but which are attributable in whole or in part to the period after the Commencement Date) and will indemnify and keep indemnified and hold the Authority harmless from and against all actions, suits, claims, damages, costs and expenses and other liabilities which the Authority may incur as a result of the same.. Not later than twelve (12) Months prior to the end of the Framework Agreement Period or such other period as may be specified by the Authority, the Contractor shall fully and accurately disclose to the Authority all information that the Authority may reasonably request in relation to the Contractor’s Personnel including the following Re-tendering Employment Information: ‫‍ ‫‍the total number of Transferring-Out Employees; current salary; length of service; hours of work; arrangements for overtime; factors that may affect redundancy entitlement; outstanding industrial injury or other claims; probationary periods; periods of notice for termination of employment; current pay agreement and any agreed settlement yet to come into effect; age;
