Payout Factor. Subject to possible reduction under Section 3, the number of Performance Shares to be issued or otherwise delivered to Recipient shall be determined by multiplying the Payout Factor (as defined below) by the Target Share Amount. The “Payout Factor” shall be equal to (a) the TSR Modifier as determined under Section 2.2, multiplied by (b) the EPS Payout Factor as determined under Section 2.3 below; provided, however, that the Payout Factor shall not be greater than 200% and the Payout Factor shall be 0% if the ROIC Performance Threshold (as defined in Section 2.4 below) is not satisfied. Notwithstanding the foregoing, if a Change in Control (as defined in Section 3.7) occurs before the last day of the Award Period, the Payout Factor shall be 100%.
Payout Factor. Subject to adjustment under Sections 3, 4, 5 and 6, the cash amount to be paid to Recipient shall be determined by multiplying the Payout Factor by the Target Amount. The “Payout Factor” shall be equal to the sum of (a) 40% of the Cash Flow Payout Factor as determined under Section 2.2 below, plus (b) 60% of the Revenue Growth Payout Factor as determined under Section 2.3 below.
Payout Factor. (a) The “Payout Factor” shall be the weighted average of the Performance Measure Payout Factor (as defined below) for each Performance Condition during the Award Period. The Performance Measure Payout Factor achieved by the Company for each Performance Condition during the Award Period shall be determined as follows: If the result achieved by the Company during the Award Period for the Performance Measure (“Performance Measure Result”) is between any two Performance Measure data points set forth in the below table, the Performance Measure Payout Factor shall be interpolated as follows: The excess of the Performance Measure Result over the Performance Measure of the lower data point shall be divided by the difference between the Performance Measure of the higher data point and the Performance Measure of the lower data point. The resulting fraction shall be multiplied by the difference between the Performance Measure Payout Factors in the above table corresponding to the two data points. The product of that calculation shall be rounded to the nearest hundredth of a percentage point and then added to the Performance Measure Payout Factor corresponding to the lower data point, and the resulting sum shall be the Performance Measure Payout Factor for that Performance Condition. (b) The “Performance Measures” for each Performance Condition, together with the weight attributed to the Performance Measure Payout Factor for each If the Performance Measure Result for a Performance Condition is: Then the “Performance Measure Payout Factor” for that Performance Condition shall be: Less than Threshold 0% Threshold 50% Target 100% Maximum 150%
Payout Factor. Subject to adjustment under Sections 3, 4, 5 and 6, the number of Common Shares to be issued to Recipient shall be determined by multiplying the Payout Factor by the number of PSUs granted pursuant to Section 1.
Payout Factor. 2.2.1 The “Payout Factor” shall be determined under the table below based on the Return on Net Assets (“RONA”), as defined in and calculated pursuant to Section 2.2.2: If RONA is between any two adjacent data points set forth in the first column of the above table, the Payout Factor shall be determined by interpolation between the corresponding data points in the second column of the table as follows: the difference between RONA and the next lower data point in the first column shall be divided by the difference between the next higher data point and the next lower data point in the first column, the resulting fraction shall be multiplied by the difference between the two corresponding data points in the second column of the table, and the resulting product shall be added to the lower corresponding data point in the second column of the table, with the resulting sum being the Payout Factor. 2.2.2 RONA shall be calculated by taking the sum of operating income for the Company’s 2018 fiscal year (“Fiscal 2018”) plus or minus, as applicable, items of other income and expense incurred in Fiscal 2018 in the normal course of business as determined by the Board in its discretion, and dividing that amount by the Average Net Assets. “Average Net Assets” is defined as total assets, excluding cash and intercompany receivables, less total liabilities, excluding intercompany and external debt, calculated as an average of the monthly closing balances for each month in Fiscal 2018, all as determined by the Board in its discretion.

The “Payout Factor” shall be equal to the sum of (a) 50% of the rTSR Payout Factor as determined under Section 2.2 below, plus (b) 16⅔% of the MRB Payout Factor as determined under Section 2.3 below, plus (c) 16⅔% of the APB Payout Factor as determined under Section 2.4 below, plus (d) 16⅔% of the SMB Payout Factor as determined under Section 2.5 below.

Payout Factor. (a) The “Payout Factor” shall be the weighted average of the Performance Measure Payout Factor (as defined below) for each Performance Objective during the Award Period. The Performance Measure Payout Factor achieved by the Company for each Performance Objective during the Award Period shall be determined as follows: If the Performance Measure Result for a Performance Objective is: Then the “Performance Measure Payout Factor” for that Performance Objective shall be: Less than Threshold 0% Threshold 50% Target 100% Maximum 150%
Payout Factor. 2.1.1 Subject to adjustment under Sections 3, 4, 5, 6 and 7, the number of Performance Shares to be issued to Recipient shall be determined by multiplying the Payout Factor by the Target Share Amount; provided, however, that the maximum number of Performance Shares to be issued to Recipient shall not exceed 100,000 shares as required by Section 10(d) of the Plan; provided further, however, that if the shareholders of the Company approve an amendment to the Plan to increase the 100,000 share limit under Section 10(d) of the Plan prior to any issuance of shares under this Agreement, the maximum number of Performance Shares issuable to Recipient shall increase to the new limit under Section 10(d) of the Plan as approved by shareholders. 75223456.1 0068163-00004 2.1.2 The “Payout Factor” shall be equal to the average of the Annual Payout Factors determined for each of the _____ fiscal years of the Performance Period. The “Annual Payout Factor” for each fiscal year shall be equal to the sum of (a) the MRB/APB Weight (as defined below) for the fiscal year multiplied by the MRB/APB Payout Factor for the fiscal year as determined under Section 2.2 below, plus (b) the SMB Weight (as defined below) for the fiscal year multiplied by the SMB Payout Factor for the fiscal year as determined under Section 2.3 below. The “SMB Weight” for each fiscal year shall be equal to a fraction, the numerator of which is the revenues of the Company’s Steel Manufacturing Business (“SMB”) for the fiscal year before intercompany revenue eliminations, and the denominator of which is the sum of the revenues of SMB for the fiscal year, the revenues of the Company’s Metals Recycling Business (“MRB”) for the fiscal year and the revenues of the Company’s Auto Parts Business (“APB”) for the fiscal year, in each case before intercompany revenue eliminations. The “MRB/APB Weight” shall be equal to one (1) minus the SMB Weight.

The “Payout Factor” shall be determined under the table below based on the NIR Upgrade ROI. If the NIR Upgrade ROI is between any two data points set forth in the first column of the above table, the Payout Factor shall be determined by interpolation between the corresponding data points in the second column of the table as follows: the difference between the NIR Upgrade ROI and the lower data point shall be divided by the difference between the higher data point and the lower data point, the resulting fraction shall be multiplied by the difference between the two corresponding data points in the second column of the table, and the resulting product shall be added to the lower corresponding data point in the second column of the table, with the resulting sum being the Payout Factor.
