---PEG ACCESS CABLECASTING. (a) In order that the Town and/or its designee(s) can cablecast its Programming over the PEG Access Downstream Channels, PEG Access programming shall be modulated, then transmitted on the Institutional Network from an Institutional Network drop site to the Headend, without charge, for such purpose. At the Headend, said Access programming shall be retransmitted in the downstream direction on one of the three (3) Downstream PEG Access Channels. (b) The Licensee shall continue to own, operate, maintain, repair or replace equipment at the Headend in order to receive and process upstream Programming from the Institutional Network and routing such programming through the Headend for distribution to the Subscriber Network. (c) Within thirty (30) days of executing a cable television renewal license with the Town of Wareham, but in no event no later than January 31, 2005 unless mutually agreed upon by both parties, the Licensee shall, at its cost, provide origination capability through the Institutional Network from the demarcation point at the Old Rochester Regional High School to the Licensee’s Headend. (d) The Licensee shall provide the Town and its designee(s) with the capability to ensure that said Programming is properly switched electronically to the appropriate PEG Access Downstream Channel, in an efficient and timely manner. At the Headend, said Access Programming shall be retransmitted in the downstream direction on one of the PEG Access Downstream Channels. The Licensee shall not charge the Town and/or its designee(s) for such electronic switching responsibility. Any manual switching that may be necessary for multiple remote origination cablecasting shall be the responsibility of the Issuing Authority or its designee(s). The Licensee and the Issuing Authority shall negotiate in good faith any difficulties that arise regarding cablecasting of PEG Access Programming. (e) The Licensee shall provide and maintain, at no cost to the Town, all necessary processing equipment in order to switch upstream Signals from the Town and/or its designee(s) to the designated Downstream Access Channel. (c) Within thirty (30) days of executing a cable television renewal license with the Town of Wareham, but in no event no later than January 31, 2005 unless mutually agreed upon by both parties, the Licensee shall, at its cost, provide origination capability through the Institutional Network from the demarcation point at the Old Rochester Regional High School to the Licensee’s Headend.
(d) The Licensee shall provide the Town and its designee(s) with the capability to ensure that said PEG Access Programming is properly automatically switched electronically at the Headend or Hub to the appropriate Subscriber Network PEG Access Downstream Channel, in an efficient and timely manner. At the HeadendHeadend or the Hub, said PEG Access Programming shall be retransmitted in the downstream direction on one of the Subscriber Network PEG Access Downstream Channels. The Licensee shall not charge the Town Issuing Authority and/or its designee(s) for such electronic switching routing responsibility. Any manual channel and/or content switching or routing that may be necessary for multiple remote origination cablecasting shall be the responsibility of the Issuing Authority or and/or its designee(s). The Licensee and the Issuing Authority shall negotiate in good faith any difficulties that arise regarding cablecasting of PEG Access Programming.
(ed) The Licensee shall provide and own, maintain, at no cost to the Townrepair and/or replace any Headend, all necessary audio and/or video Signal processing equipment in order to switch upstream Signals from the equipment. The Town and/or its designee(s) shall own, maintain, repair and/or replace studio or remote location transmitter or receiver interface equipment. Unless agreed to otherwise, the designated Downstream demarcation point between the Licensee’s equipment and the Town’s and/or its designee(s)’ equipment shall be at the output of the Town’s and/or its designee(s)’ output interface device(s) at the PEG Access Channel. Nothing herein shall require Hub Site.
(e) After the end of the three (3) year period referenced in Section 3.2, as of October 15, 2019, the Licensee shall have no further obligations to provideprovide PEG Access video return capability from the locations identified in Exhibit 1. At such time, repairthe Issuing Authority shall be responsible for and shall provide PEG Access video return capability, maintain or replace endpicking-user equipmentup PEG Access Signals at the local PEG Access studio located at 000 Xxxxxxx Xxxxxx in Amherst.

(ed) The Licensee shall provide and own, maintain, at no cost to repair and/or expeditiously replace any Headend and/or Xxxxxxx and/or PEG Access Origination Location Signal processing equipment. The Licensee shall utilize only up-to-date and current state-of-the-art Signal processing equipment. Unless otherwise agreed to, the demarcation point between the Licensee’s equipment and/or the Town, all necessary processing equipment in order to switch upstream Signals from the Town and/or ’s or its designee(s) to )’s equipment shall be at the designated Downstream Access Channel. Nothing herein shall require output of the Licensee to provide, repair, maintain Town’s or replace end-user equipmentits designee(s)’s modulator or equivalent device.

(b) Licensee shall provide and maintain all necessary switching and/or processing equipment located at its hub-site or headend in order to switch upstream signals carrying PEG Access Programming from the location listed in Exhibit B to the designated Licensee-owned Subscriber Network downstream PEG Access Channel.
(c) Licensee shall own, maintain, repair and/or replace any Licensee-owned headend or hub-site audio and/or video signal processing equipment. The Town and/or PEG access provider shall own, maintain, repair and/or replace studio and/or portable modulators and demodulators. The demarcation point between Licensee’s equipment and the Town’s or PEG Access provider’s equipment shall be at the output of the Town’s and/or the PEG Access provider’s modulator(s) or equivalent device at any of the origination locations in Exhibit B.
(d) Subject to written request and payment by the Town or its Access Provider as set out herein, the Licensee shall, within thirty-six (36) months of the Effective Date of this License, purchase, install and operate standard definition serial digital interface (SD/SDI) equipment at the PEG Access video return hub for three (3) SD PEG Access Channels and high definition interface equipment for one (1) HD PEG Access Channel. Said equipment shall be used for transport ofsaid PEG Access signal(s) to Comcast’s headend facility to enable the Issuing Authority, its designee(s) and/or the Access Provider to cablecast their PEG Access Programming over the Subscriber Network PEG Access Downstream Channels. The Licensee shall not charge provide the Town and/or its designee(s) with an invoice for such electronic switching responsibilitythe cost of the project. Any manual switching that may be necessary for multiple remote origination cablecasting Prior to making any payment to the Licensee, the Licensee shall be the responsibility of provide the Issuing Authority or its designee(s)with a written invoice detailing the cost for said serial digital interface equipment. The Licensee and the Issuing Authority shall negotiate in good faith any difficulties that arise regarding cablecasting of PEG Access Programming.
(e) The Licensee shall provide and maintain, at no cost to the Town, all necessary processing equipment in order to switch upstream Signals from the Town and/or its designee(s) to the designated Downstream Access Channel. ---PEG ACCESS CABLECASTING. (a) In No later than September 30, 2010, in order that the Town and/or its designee(s) the Access Corporation can cablecast its Programming over the PEG Access Downstream Channels, the Licensee shall connect its Cable System to equipment owned by the Town and/or the Access Corporation at the PEG Access programming Hub Site, located at Pine St., Canton, MA, in order to cablecast all PEG Access Programming. The Town shall own, operate and maintain its fiber-optic network, which network shall be modulatedused to, then transmitted on among other things, transmit PEG Access Programming from remote locations within the Institutional Network from an Institutional Network drop site Town to the Headend, without charge, for such purposePEG Access Hub Site. At the PEG Access Hub Site, the Town and/or the Access Corporation shall aggregate all of such PEG Access Programming Signals. The Licensee shall be responsible for the delivery of all of said aggregated PEG Access Programming Signals from the PEG Access Hub Site to the Licensee’s Headend, where said Access programming Signals shall be retransmitted in switched by the downstream direction on one of Licensee to the three (3) Downstream appropriate PEG Access ChannelsDownstream Channel(s), without charge(s) to the Town and/or the Access Corporation. Until September 30, 2010, the Licensee shall continue to be responsible for operating and maintaining its Institutional Network for Origination Capability, as said Institutional Network existed prior to the Effective Date of this Renewal License.
(b) The Licensee shall continue to own, operate, maintain, repair or replace equipment at the Headend in order to receive and process upstream Programming from the Institutional Network and routing such programming through the Headend for distribution to the Subscriber Network.

---PEG ACCESS CABLECASTING. (a) In order that the Town City and/or the Access Corporation can continue to transmit its designee(sprogramming from its studio and/or other remote locations, identified in Exhibit 6.3 attached hereto, to North Xxxxx Subscribers on a live basis, the Licensee shall make three (3) can cablecast its Programming over the PEG Access Downstream Channels, PEG Access programming shall be modulated, then transmitted on the Institutional Network from an Institutional Network drop site 6 MHz Upstream Channels available to the HeadendCity and the Access Corporation in accordance with Section 6.2(a) herein, without charge, for such purposecharge(s). At the Headend, said PEG Access programming Programming shall be retransmitted in the downstream direction switched to, and retransmitted, on one of the three (3) Downstream PEG Access Channels, as designated by the Issuing Authority and/or its designee(s). It shall be the Licensee's responsibility and cost to ensure that said PEG Access Programming is properly switched, either manually or electronically, to the appropriate PEG Access Downstream Channels, in an efficient and timely manner, upon reasonable prior notice to the Licensee. Unless otherwise notified the Issuing Authority or the Access Corporation, PEG Access Programming shall be cablecast by the Licensee to each of the following NorthBerkshire communities - - North Adams, Adams, Cheshire and Clarksburg. The Licensee shall not charge the Issuing Authority, its designees, the City and/or PEG Access Users for such switching.
(b) The Licensee shall continue maintain the plant with upstream capability for digital, audio, and video return for PEG access programming, including, as provided in Section 5.7 of the prior license. Upon the completion of any upgrade of the Cable System, the North Xxxxx Cable System shall be interconnected with the Cable Systems of the Towns of Xxxxx, Cheshire and Clarksburg so as to ownallow at least three (3) separate and simultaneous PEG Access channels in each direction and to allow separate live PEG broadcasts from each of the respective cable systems (North Adams, operateAdams, maintainCheshire and Clarksburg) to be shown on each of the municipalities respective PEG channels (i.e. a different Public, repair or replace equipment at Educational and/or Government Access Program simultaneously shown on each of the Headend in order to receive respective municipalities public, educational and process upstream Programming from the Institutional Network and routing such programming through the Headend for distribution to the Subscriber Networkgovernment channels).
(c) Within thirty (30) days of executing a cable television renewal license with the Town of Wareham, but in no event no No later than January 31eighteen (18) months from the Effective Date of this Renewal License, 2005 unless mutually agreed upon whichever is earlier, the Licensee shall construct and make fullyoperationala dedicated pathway between the studio and the headend, by both partiesmeans of a point to point fiber optic link between the Access studio and the headend, to allow for channel delivery of all three PEG channels to the studio for processing prior to delivery to Subscribers, as well as the ability to simultaneously deliver the three PEG channels back to the Licensee’s headend for cablecasting to Subscribers. The Licensee shall provide the optical transmitters and receivers needed to make the transition from coaxial RF in the headend to optical energy for delivery over the fiber to the studio, and back, as well as all processing equipment required, however the Access Corporation shall be responsible for one-half ofthe cost of said optical and processing equipment or Ten Thousand Five Hundred Dollars ($10,500), whichever is less. (The Licensee shall provide copies of the actual invoices paid for said equipment to the Issuing Authority.) The Licensee shall be responsible for the repair and/or replacement, as needed due to normal wear and tear, of the optical and processing equipment. The Access Corporation, and not the Licensee, shall be responsible for repairing and/or replacing any such optical and/or processing equipment in the Access studio damaged by the negligence or intentional act of the Access Corporation or by someone for whom it is responsible for. The Licensee shall not include the cost of the point to point fiber optic link in any Subscriber rate filing, nor as capital or other costs in a cost of service rate filing, nor shall such costs be added on to maximum permitted rates or otherwise passed-thru or incorporated into charges to Subscribers, however the Licensee may include its one-half of the cost, up to a maximum of Ten Thousand Five Hundred Dollars ($10,500), for the above referenced optical and processing equipment in a Subscriber rate filing in accordance with applicable law.
(d) Origination sites, to enable the Issuing Authority and/or its designees to transmit live PEG Access programming, shall be installed and maintained by the Licensee, without charge to the City or Access Corporation, at the sites listed in Exhibit 6.3 attached hereto and made a part hereof. In addition, after the upgrade of the Subscriber Network, the Licensee shall, at its costexpense, provide install up to two (2) additional origination capability through points along the Institutional Network from cable route in the demarcation point at City of North Xxxxx as requested by the Old Rochester Regional High School to the Licensee’s HeadendIssuing Authority.
(de) The Licensee shall provide the Town and its designee(s) with the capability to ensure that said Programming is properly switched electronically to the appropriate PEG Access Downstream Channel, in an efficient and timely manner. At the Headend, said Access Programming shall be retransmitted in the downstream direction on one of monitor the PEG Access Downstream Channels. The Licensee shall not charge the Town and/or its designee(s) Channels for such electronic switching responsibility. Any manual switching signal quality to maintain said Channels standards commensurate with those which apply to other Cable System channels, provided, however, that may be necessary for multiple remote origination cablecasting shall be the responsibility of the Issuing Authority or its designee(s). hereby acknowledges that the Licensee is not responsible for the technical quality of the actual programming and is not responsible for programming on such Access Channels.
(f) The Licensee and the Issuing Authority shall negotiate in good faith any difficulties that arise regarding the cablecasting of PEG Access Programmingprogramming.
(e) The Licensee shall provide and maintain, at no cost to the Town, all necessary processing equipment in order to switch upstream Signals from the Town and/or its designee(s) to the designated Downstream Access Channel. Nothing herein shall require the Licensee to provide, repair, maintain or replace end-user equipment.

---PEG ACCESS CABLECASTING. (a) In order that the Town and/or Issuing Authority, its designee(s) and/or the Access Corporation can cablecast its PEG Access Programming over the Subscriber Network PEG Access Downstream Channels, all PEG Access programming Programming shall be modulatedmodulated by the Access Corporation from the PEG Access studio, then transmitted located as of the Effective Date at 000 Xxxxxxxx Xxxxxx, to the Cable System Headend or Hub, on the Institutional Network from an Institutional Network drop site to the HeadendLicensee’s I-Net made available, without charge, to the Issuing Authority, its designee(s) and/or the Access Corporation for such purpose. At the Headend, said Access programming shall be retransmitted in the downstream direction on one of the three (3) Downstream PEG Access Channelstheir use.
(b) The Licensee shall continue to own, operate, maintain, repair or replace equipment ensure that said PEG Access Programming is automatically switched electronically at the Headend in order to receive and process upstream Programming from the Institutional Network and routing such programming through the Headend for distribution to the Subscriber Network.
(c) Within thirty (30) days of executing a cable television renewal license with the Town of Wareham, but in no event no later than January 31, 2005 unless mutually agreed upon by both parties, the Licensee shall, at its cost, provide origination capability through the Institutional Network from the demarcation point at the Old Rochester Regional High School to the Licensee’s Headend.
(d) The Licensee shall provide the Town and its designee(s) with the capability to ensure that said Programming is properly switched electronically or Hub to the appropriate Subscriber Network PEG Access Downstream Channel, in an efficient and timely manner. At the HeadendHeadend or the Hub, said PEG Access Programming shall be retransmitted in the downstream direction on one of the Subscriber Network PEG Access Downstream Channels. The Licensee shall not charge the Town and/or Issuing Authority, its designee(s) and/or the Access Corporation for such electronic switching responsibility. Any manual switching that may be necessary for multiple remote origination cablecasting shall be the responsibility of the Access Corporation or the Issuing Authority or its designee(s)Authority. The Licensee and the Issuing Authority shall negotiate discuss in good faith any difficulties that arise regarding cablecasting of PEG Access Programming.
(ec) The Licensee shall provide and own, maintain, at no cost to the Townrepair and/or replace any Headend or Xxxxxxx Signal processing equipment. The Issuing Authority, all necessary processing equipment in order to switch upstream Signals from the Town and/or its designee(s) to and/or the designated Downstream Access ChannelCorporation shall own, maintain, repair and/or replace studio or portable modulators and demodulators. Nothing herein Unless otherwise agreed to, the demarcation point between the Licensee’s equipment and/or the Town’s or the Access Corporation’s equipment shall require be at the Licensee to provide, repair, maintain or replace end-user equipmentoutput of the Access Corporation’s master control output.

(c) Within thirty (30) days of executing a cable television renewal license with the Town of Wareham, but in no event no later than January 31, 2005 unless mutually agreed upon by both parties, the Licensee shall, at its cost, provide origination capability through the Institutional Network from the demarcation point at the Old Rochester Regional High School to the Licensee’s Headend.

Any manual switching that may be necessary for multiple remote origination cablecasting shall be the responsibility of the Issuing Authority or and/or its designee(s). The Licensee and the Issuing Authority shall negotiate discuss in good faith any difficulties that arise regarding cablecasting of PEG Access Programming.
(ec) The Licensee shall provide own, maintain, repair and/or replace any Headend or PEG Access Hub-Site Signal processing equipment. The Issuing Authority and/or its designee(s) shall own, maintain, repair and/or replace studio or portable modulators and maintaindemodulators. Unless otherwise agreed to, the demarcation point between the Licensee's equipment and/or the Town's and/or its designee(s)'s equipment shall be at the output of the Town's and/or its designee(s)' modulator or equivalent device(s).
(d) The Town and/or its designee(s) shall make available at the location of the Licensee's PEG Access Hub-Site, at no cost to the TownLicensee, all necessary processing space for the Licensee-owned rack and transmission equipment in order to switch upstream Signals from the Town and/or its designee(s) required for said PEG Access Hub-Site and transmission of PEG Access Programming back to the designated Downstream Access Channel. Nothing herein shall require the Licensee to provide, repair, maintain or replace end-user equipmentLicensee's Headend.

(b) Licensee shall provide and maintain all necessary switching and/or processing equipment located at its hub-site or headend in order to switch upstream signals carrying PEG Access Programming from the location listed in Exhibit B to the designated Licensee-owned Subscriber Network downstream PEG Access Channel.
(c) Licensee shall own, maintain, repair and/or replace any Licensee-owned headend or hub-site audio and/or video signal processing equipment. The Town and/or PEG access provider shall own, maintain, repair and/or replace studio and/or portable modulators and demodulators. The demarcation point between Licensee’s equipment and the Town’s or PEG Access provider’s equipment shall be at the output of the Town’s and/or the PEG Access provider’s modulator(s) or equivalent device at any of the origination locations in Exhibit B.
(d) Subject to written request and payment by the Town or its Access Provider as set out herein, the Licensee shall, within thirty-six (36) months of the Effective Date of this License, purchase, install and operate standard definition serial digital interface (SD/SDI) equipment at the PEG Access video return hub for three (3) SD PEG Access Channels and high definition interface equipment for one (1) HD PEG Access Channel. Said equipment shall be used for transport of said PEG Access signal(s) to Comcast’s headend facility to enable the Issuing Authority, its designee(s) and/or the Access Provider to cablecast their PEG Access Programming over the Subscriber Network PEG Access Downstream Channels. The Licensee shall not charge provide the Town and/or its designee(s) with an invoice for such electronic switching responsibilitythe cost of the project. Any manual switching that may be necessary for multiple remote origination cablecasting Prior to making any payment to the Licensee, the Licensee shall be the responsibility of provide the Issuing Authority or its designee(s)with a written invoice detailing the cost for said serial digital interface equipment. The Licensee and the Issuing Authority shall negotiate in good faith any difficulties that arise regarding cablecasting of PEG Access Programming.
(e) The Licensee shall provide and maintain, at no cost to the Town, all necessary processing equipment in order to switch upstream Signals from the Town and/or its designee(s) to the designated Downstream Access Channel. Nothing herein shall require the Licensee to provide, repairown, maintain or replace end-user equipment.and repair and/or, if necessary, replace, said equipment for the entire term of this Renewal License

The Licensee and the Issuing Authority shall negotiate in good faith any difficulties that arise regarding cablecasting of PEG Access Programming.
(ec) The Licensee shall provide and maintain, at no its sole cost to the Townand expense, all necessary processing equipment in order to switch upstream Upstream Signals from the Town Issuing Authority and/or its designee(s) to the designated Downstream Access Channel. Nothing herein shall require the Licensee to provide, repair, maintain or replace provide end-user equipment.
(d) The Licensee shall cablecast those governmental meetings and other Town events in real time and/or delayed, as designated by the Issuing Authority or its designee (both as to which events and cablecast timing), to all Lexington Subscribers, without any charge(s) to the Issuing Authority, the Town, the program originators, and/or any Lexington Subscriber. In the event the Licensee cannot obtain a high-quality Signal (or timely videotape, if deemed acceptable by the Issuing Authority or its designee) of suitable coverage of those meetings and events from another source, the Licensee shall cover and tape them in order to be able to accomplish the above prescribed cablecasting, again without any charge(s) to the Issuing Authority, the Town, the program originators, and/or any Lexington Subscriber.
