Penalties and late payment interest. Each of the French Sellers shall remain entitled to waive its rights to any penalties and late payment interests payable by the Debtors in relation to the Transferred Receivables and to make corresponding adjustments to its books. For this purpose, each of the French Sellers shall verify the Asset Account by all means at its disposal. As specified in Clause 3.2, invoices corresponding to penalties and late payment interests are Excluded Receivables.

Penalties and late payment interest. 9.1 The Lessee hereby agrees and accepts that the Lessor shall be entitled to apply the specific Penalties in cases provided for in Annex B) attached hereto, and Lessee shall be obliged to pay to the Lessor such specific Penalties, without delay, within the relevant Payment Dates. 9.2 Should the Lessee fail to pay the Outstanding Amounts as they fall due under this Agreement, the Lessee shall be liable to pay to the Lessor the Late Payment Interest on such Outstanding Amounts, at the rate determined and calculated pursuant to Annex B) attached hereto. Annex B) contains a sample of the Late Payment Interest calculation. 9.3 The application of the Penalties and of the Late Payment Interest is without prejudice to the Lessor’s entitlement to any other remedy under the law or under this Agreement, including the right to terminate this Agreement pursuant to Article 12 and to start the repossession procedures envisaged in Article 13 hereunder.
Penalties and late payment interest. With a view to maintaining control over its commercial relations with its customers, the Originator expressly reserves the right to avail itself or to abandon its rights to any penalties and late payment interest payable by its Debtors for assigned receivables and make the corresponding adjustments to its books.   • Late Payment Charge If any principal, interest or any other sums due under the Loan Documents (including the amounts due on the Maturity Date) are not paid by Borrower on or prior to the date on which it is due, Borrower shall pay to Lender upon demand an amount equal to the lesser of four percent (4%) of such unpaid sum or the Maximum Legal Rate in order to defray the expense incurred by Lender in handling and processing such delinquent payment and to compensate Lender for the loss of the use of such delinquent payment. Any such amount shall be secured by the Mortgages and the other Loan Documents to the extent permitted by applicable law.
