Performance of Seller Obligations. Seller shall have performed all of the obligations required to be performed by Seller under this Agreement on or before the Closing.

Performance of Seller Obligations. All of Seller’s representations and warranties made in this Agreement shall be, and remain true and correct in all material respects as of the date hereof and as of the date of Closing as if then made and Seller shall have performed in all material respects all of its covenants and other obligations under this Agreement.
Performance of Seller Obligations. Seller shall have delivered all documents and agreements described in Section 4.2 and shall have otherwise performed in all material respects all obligations required under this Agreement, including under Section 7, by them on or prior to the Closing Date.

Performance of Seller Obligations. A Designated Third Party shall have the right, but not the obligation, to pay all sums due under this Agreement and to perform any other act, duty or obligation required of Seller hereunder or cause to be cured any default of Seller hereunder in the time and manner provided by the terms of this Agreement. Nothing herein requires the Designated Third Party to cure any default of Seller under this Agreement (unless such party has succeeded to Seller's interests under this Agreement) or (unless such party has succeeded to Seller's interests under this Agreement) to perform any act, duty or obligation of Seller under this Agreement, but Buyer hereby gives such party the option to do so, provided any such cure, act, duty or obligation is performed in accordance with this the terms of this Agreement.
