Common use of Permitted assurance and receipts Clause in Contracts

Permitted assurance and receipts. Nothing in this Agreement shall restrict the ability of any Senior Creditor to: (a) arrange with any person (other than a member of the Group) any assurance against loss in respect of, or reduction of its credit exposure to, the Borrower (including assurance by way of credit based derivative or sub-participation); or (b) to receive or recover any sum in respect of its Liabilities as a result of any assignment or transfer permitted by Clause 16 (Change of Party), and that Senior Creditor shall not be obliged to account to any other Party for any sum received by it as a result of that action.

Permitted assurance and receipts. Nothing in this Agreement shall restrict the ability of any Senior Primary Creditor to: (a) arrange with any person (other than which is not a member of the Group) Group any assurance against loss in respect of, or reduction of its credit exposure to, the Borrower a Debtor (including assurance by way of credit based derivative or sub-participation); or (b) to receive or recover any sum in respect of its Liabilities as a result of make any assignment or transfer permitted by Clause 16 17 (Change of PartyChanges to the Parties), which is permitted by the Senior Loan Agreement or any New Financing Equivalent or the Junior Note Agreements, as applicable; and that Senior Primary Creditor shall not be obliged to account to any other Party for any sum received by it as a result of that action.

Nothing in this Agreement shall restrict the ability of any Senior Creditor toCreditor: (a) 36.2.1 to arrange with any person (other than a member of the GroupBorrower) any assurance against loss in respect of, or reduction of its credit exposure to, the Borrower (including assurance by way of credit based derivative or sub-participation); or (b) 36.2.2 to receive or recover any sum in respect of its Liabilities as a result of any assignment or transfer permitted by Clause 16 24 (Change of PartyChanges to the Lenders) or 25 (Changes to the Hedge Counterparties), and that Senior Creditor shall not be obliged to account to any other Party for any sum received by it as a result of that action.

Nothing in this Agreement shall restrict the ability of any Senior Creditor to: (a) arrange with any person (other than which is not a member of the Groupgroup to which the Debtors belong) any assurance against loss in respect of, or reduction of its credit exposure to, the Borrower a Debtor (including assurance by way of credit based derivative or sub-participation); or (b) to receive or recover any sum in respect of its Liabilities as a result of make any assignment or transfer permitted by Clause 16 Xxxxxx 12 (Change of PartyChanges to the Parties), which is permitted under this Agreement, and that Senior Creditor shall not be obliged to account to any other Party for any sum received by it as a result of that action.

Nothing in this Agreement shall restrict the ability of any Senior Creditor toCreditor: (a) 38.2.1 to arrange with any person (other than a member of the Group) any assurance against loss in respect of, or reduction of its credit exposure to, the Borrower an Obligor (including assurance by way of credit based derivative or sub-participation); or (b) 38.2.2 to receive or recover any sum in respect of its Liabilities as a result of any assignment or transfer permitted by Clause 16 25 (Change of PartyChanges to the Lenders) or 26 (Changes to the Hedge Counterparties), and that Senior Creditor shall not be obliged to account to any other Party for any sum received by it as a result of that action.

Nothing in this Agreement shall restrict the ability of any Senior Creditor to: (a) arrange with any person (other than which is not a member of the Group) Group any assurance against loss in respect of, or reduction of its credit exposure to, the Borrower a Debtor (including assurance by way of credit based derivative or sub-participation); or (b) to receive or recover any sum in respect of its Liabilities as a result of make any assignment or transfer permitted by Xxxxxx 19 (Changes to the Parties), which: (i) is permitted by the Senior Facilities Agreement; and (ii) is not in breach of Clause 16 4.5 (Change No acquisition of PartyHedging Liabilities), and that Senior Creditor shall not be obliged to account to any other Party for any sum received by it as a result of that action.

Nothing in this Agreement shall restrict the ability of any Senior Creditor to: (a) arrange with any person (other than which is not a member of the Group) Group any assurance against loss in respect of, or reduction of its credit exposure to, the Borrower a Debtor (including assurance by way of credit based derivative or sub-participation); or (b) to receive or recover any sum in respect of its Liabilities as a result of make any assignment or transfer permitted by Clause 16 clause 13 (Change of Party), Changes to the Parties) which is permitted by the Debt Documents and that Senior Creditor shall not be obliged to account to any other Party for any sum received by it as a result of that action.

Permitted assurance and receipts. ‌ Nothing in this Agreement shall restrict the ability of any Senior Secured Creditor to: (a) arrange with any person (other than which is not a member of the Group) Group any assurance against loss in respect of, or reduction of its credit exposure to, the Borrower Company (including assurance by way of credit based derivative or sub-participation); or (b) to receive or recover make any sum in respect of its Liabilities as a result of any assignment or transfer permitted by Clause 16 15 (Change of Party), Changes to the Parties) which is permitted by the Secured Documents to which such Secured Creditor is a party; and and that Senior Secured Creditor shall not be obliged to account to any other Party for any sum received by it as a result of that action.

Nothing in this Agreement shall restrict the ability of any Senior Creditor to: (a) arrange with any person (other than Person that is not a member of the Group) Group Member any assurance against loss in respect of, or reduction of its credit exposure to, the Borrower a Debtor (including assurance by way of credit based derivative or sub-sub participation); or (b) to receive or recover any sum in respect of its Liabilities as a result of make any assignment or transfer permitted by Clause 16 Section 15, that: (Change of Party)i) is not prohibited by the Credit Agreement; and (ii) is not in breach of: (A) Section 4.5; or (B) Section 5.4, and that Senior such Creditor shall not be obliged to account to any other Party for any sum received by it as a result of that such action.

Nothing in this Agreement shall restrict the ability of any Senior Creditor Lender to: (a) 27.2.1 arrange with any person (other than a member of the Group) any assurance against loss in respect of, or reduction of its credit exposure to, the any Borrower (including assurance by way of credit based derivative derivative, insurance policy or sub-participation); or (b) 27.2.2 to receive or recover any sum in respect of its Liabilities Secured Obligations as a result of any assignment or transfer permitted by Clause 16 19 (Change Assignment of PartyRights), and that Senior Creditor Lender shall not be obliged to account to any other Party for any sum received by it as a result of that action.
