Common use of Personal Property Leased and Purchase Options Clause in Contracts

Personal Property Leased and Purchase Options. Attached as SCHEDULE 4.10 is a list of all leases of personal property (the "Personal Property Leases") to which CCI is a party. CCI has provided to GTS true and complete copies of the Personal Property Leases, including all amendments and modifications thereto and true and complete copies of all agreements regarding CCI's rights to purchase the leased personal property which is the subject of the Personal Property Leases ("the Leased Personal Property") on or before the expiration of the Personal Property Leases, including all amendments and modifications thereto (the "Purchase Options"). CCI enjoys peaceful and undisturbed possession of the Leased Personal Property, and the Personal Property Leases and Purchase Options are the valid and legally binding obligations of CCI and the respective lessors and option grantors, enforceable against CCI and the respective lessors and option grantors in accordance with their respective terms, and are in full force and effect. CCI has not received written notice of default under any of the Personal Property Leases and is not in default of any Personal Property Leases, and no event has occurred which, with the passage of time or the giving of notice or both, would constitute a material default under any of the Personal Property Leases. None of the Purchase Options have expired.

CCI USI has provided to GTS Pre-Cell true and complete copies of the Personal Property Leases, including all amendments and modifications thereto and true and complete copies of all agreements regarding CCIUSI's rights to purchase the leased personal property which is the subject of the Personal Property Leases ("the Leased Personal Property") on or before the expiration of the Personal Property Leases, including all amendments and modifications thereto (the "Purchase Options"). CCI USI enjoys peaceful and undisturbed possession of the Leased Personal Property, and the Personal Property Leases and Purchase Options are the valid and legally binding obligations of CCI USI and the respective lessors and option grantors, enforceable against CCI USI and the respective lessors and option grantors in accordance with their respective terms, subject to the effect of any bankruptcy or other similar law affecting creditors' rights generally, and are in full force and effect. CCI USI (i) has not received written notice of default under any of the Personal Property Leases and Leases, (ii) is not in default of any Personal Property Leases, and (iii) no event has occurred which, with the passage of time or the giving of notice or both, would constitute a material default under any of the Personal Property Leases. None of the Purchase Options Options, if any, have expired.

CCI Networks has provided to GTS true and complete copies of the Personal Property Leases, including all amendments and modifications thereto and true and complete copies of all agreements regarding CCI's Networks' rights to purchase the leased personal property which is the subject of the Personal Property Leases ("the Leased Personal Property") on or before the expiration of the Personal Property Leases, including all amendments and modifications thereto (the "Purchase Options"). CCI Networks enjoys peaceful and undisturbed possession of the Leased Personal Property, and the Personal Property Leases and Purchase Options are the valid and legally binding obligations of CCI Networks and the respective lessors and option grantors, enforceable against CCI Networks and the respective lessors and option grantors in accordance with their respective terms, subject to the effect of any bankruptcy or other similar law affecting creditors' rights generally, and are in full force and effect. CCI Networks (i) has not received written notice of default under any of the Personal Property Leases and Leases, (ii) is not in default of any Personal Property Leases, and (iii) no event has occurred which, with the passage of time or the giving of notice or both, would constitute a material default under any of the Personal Property Leases. None of the Purchase Options Options, if any, have expired.
