Physician’s Authorized Agent for Limited Purposes. Physician hereby authorizes CDA to offer Physician’s services to Payors and to contract with Payors on Physician’s behalf subject to the terms and conditions set forth in this Agreement. CDA may determine the prospective Payors and the provider panels for particular Products that are appropriate for inclusion of Physician. Where Physician has been selected by Payor to be offered the terms of a particular Product, CDA shall furnish upon Physician’s request a Product Description that sets forth a summary of the terms proposed by the Payor.

Physician’s Authorized Agent for Limited Purposes. Physician hereby authorizes MPP to market Physician's services to Payors and to contract with Payors on Physician's behalf subject to the terms and conditions set forth in this Agreement. MPP may furnish Product Descriptions to only those Participating Physicians who have been deemed by the prospective Payor or MPP to be appropriate for inclusion in the provider panel for a particular Product. Where Physician has been selected by Payor to be offered the terms of a particular Product, MPP shall furnish a Product Description which sets forth a summary of the terms proposed by the Payor.

  • AUTHORIZED AGENTS For the purpose of administering the terms and provisions of this Memorandum of Understanding:

  • Authorized Agent Authorized Agent means the individual(s) appointed in writing by the Depositor (or by the beneficiary following the Depositor's death) authorized to perform the duties and responsibilities set forth in the Agreement on behalf of the Depositor.   • Leave for Union Office Upon request of the Union's President, the Employer will grant leaves of absence without pay to bargaining unit employees who serve as Union representatives or officers for up to one- hundred twenty (120) days, if it is consistent with operational needs. This leave will be for no more than one time per year per employee and no more than fifteen (15) employees per year who must be from different Departments. Such employees will not be separated from the payroll and will be restored to their previous positions at the conclusion of such leaves.

  • Appointment of Process Agent The Issuer irrevocably appoints Xxxxxxx & Co. Notaries at Xxx Xxxxx Xxxx, London EC2V 8AE as its agent for service of process in any proceedings before the English courts in relation to any Dispute, and agrees that, in the event of Xxxxxxx & Co. Notaries being unable or unwilling for any reason so to act, it will immediately appoint another person as its agent for service of process in England in respect of any Dispute. The Issuer agrees that failure by a process agent to notify it of any process will not invalidate service. Nothing herein shall affect the right to serve process in any other manner permitted by law.

  • Appointment of Co-Trustee or Separate Trustee Notwithstanding any other provisions of this Agreement, at any time, for the purpose of meeting any legal requirements of any jurisdiction in which any part of the Trust Fund or property securing any Mortgage Note may at the time be located, the Master Servicer and the Trustee acting jointly shall have the power and shall execute and deliver all instruments to appoint one or more Persons approved by the Trustee to act as co-trustee or co-trustees jointly with the Trustee, or separate trustee or separate trustees, of all or any part of the Trust Fund, and to vest in such Person or Persons, in such capacity and for the benefit of the Certificateholders, such title to the Trust Fund or any part thereof, whichever is applicable, and, subject to the other provisions of this Section 8.10, such powers, duties, obligations, rights and trusts as the Master Servicer and the Trustee may consider necessary or desirable.   • Leave of Absence for Employees Who Serve as Local Coordinators for the Ontario Nurses' Association An employee who serves as Local Coordinator for the Ontario Nurses' Association shall be granted leave of absence without pay up to a total of thirty-five (35) days annually. Leave of absence for Local Coordinators for the Ontario Nurses' Association will be separate from the Union leave provided in (a) above.

  • Place of Jurisdiction and Applicable Law (1) The place of jurisdiction for any disputes arising from this Master Agreement and the individual agreement is Kassel, Germany. Disputes shall be ruled on by ordinary jurisdiction.

  • Registered Office and Registered Agent The street address of the registered office of the Company in the State of Delaware shall be as selected by the Board. The Board may elect to change the registered office and the registered agent of the Company at any time.

  • EMPLOYMENT OF UNAUTHORIZED ALIENS PROHIBITED In accordance with §2.2-4311.1 of the Code of Virginia, as amended, the Contractor must not during the performance of this Contract knowingly employ an unauthorized alien, as that term is defined in the federal Immigration Reform and Control Act of 1986.
