PLACE OF CONTRACT/CONTROLLING LAW. 16.1 This Agreement shall be governed by the laws of the State of Illinois. All references in this contract to the "state" shall mean the State of Illinois. All regulations, laws and requirements of the state shall mean the regulations, laws or requirements of the State of Illinois. The venue for any action brought pursuant to this Agreement shall be Cook County, Illinois.

PLACE OF CONTRACT/CONTROLLING LAW. 29.1 This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Ohio, without regard to conflict of law principles. The Parties agree that any action at law or equity instituted against either Party to this Agreement must be commenced only in the Hamilton County, Ohio Common Pleas Court or the United States District Court for the Southern District of Ohio. District irrevocably consents to the personal jurisdiction of the state and federal courts of Ohio as set forth above.
