Common use of Plan Prevails Clause in Contracts

Plan Prevails. Any determination or interpretation by the Committee under or pursuant to this Agreement shall be final and conclusive on all persons affected hereby. In the event of a conflict between any term of the Agreement and the terms of the Plan, the term of the Plan shall control provided that, the Committee shall, to the maximum extent possible consistent with the terms of the Plan, interpret this Agreement in a manner that is consistent with its character as an incentive stock option under Section 422 of the Code.
