Plan Terms Control. In the event of a conflict between the Plan and this Agreement, the terms of the Plan shall control, it being understood that variations in this Agreement from terms set forth in the Plan shall not be considered to be in conflict if the Plan permits such variations.
Plan Terms Control. The Holder acknowledges and agrees that the Holder has received a copy of the Plan and agrees to be bound by all the terms and provisions of the Plan, regardless of whether such terms and provisions have been set forth in this Agreement. The Holder further acknowledges and agrees that the terms and provisions of this Agreement are governed by the terms and provisions of the Plan, and in the case of any inconsistency between the terms and provisions of this Agreement and the terms and provisions of the Plan, the terms and provisions of the Plan shall control.
Plan Terms Control. In the case of any inconsistency between the terms of this Agreement and the terms of the Plan, the terms of the Plan shall govern and control. This Agreement shall not be construed to impair or limit in any way the rights of any Person under the Plan.
Plan Terms Control. The Options shall be subject to the terms and conditions applicable to Options granted under the Plan, as described in the Plan and the applicable Award Agreement (as defined in the Plan).
Plan Terms Control. The Option has been granted under the Plan as constituted at the Grant Date. The terms of the Plan as constituted at the Grant Date are incorporated into this Agreement by reference and shall control the rights and obligations of the Company and the Optionee under this Agreement.

This Agreement is subject in all respects to the terms of the Plan (including any amendments thereto adopted at any time and from time to time unless such amendments are expressly intended not to apply to the award provided hereunder). All of the terms of the Plan are made a part of and incorporated in this Agreement as if they were each expressly set forth herein. Any capitalized terms not defined in this Agreement shall have the same meaning as is ascribed under the Plan.
Plan Terms Control. The Options shall be granted pursuant to, and subject to the terms and conditions of, the Omnibus Plan.
Plan Terms Control. The Stock Option will be subject to the terms and conditions applicable to Options granted under the Plan, as described in the Plan and the applicable Award Agreement.
Plan Terms Control. In the event of a conflict between the terms and conditions of any Award Agreement and the terms and conditions of this Plan, the terms and conditions of this Plan shall prevail. In the event of a conflict between the terms and conditions of any Award Agreement or this Plan and the terms and conditions of the Stock Incentive Plan, the terms and conditions of the Stock Incentive Plan shall prevail.
Plan Terms Control. In the event of any conflict between the terms of this Plan and the terms of any Contract issued hereunder, the Plan provisions shall control.
