Common use of Planning and Construction Clause in Contracts

Planning and Construction. Landlord and Tenant shall cooperate in good faith in the planning and construction of the Initial Tenant Improvements, and Tenant shall respond promptly to any request from Landlord for Tenant’s approval of any particular aspect thereof, it being agreed and understood that it is the intent and desire of the parties that the Premises be ready for Tenant’s access on or before July 1, 2010 (the “Estimated Premises Delivery Date”). The Estimated Premises Delivery Date is only an estimate and Landlord shall not be liable for delays, including those occasioned by Tenant Delay or otherwise.
