Political Force Majeure Events. Political force majeure events shall mean one or more of the following acts or events by or on account of GoI, GoCG or any other governmental agency: i. Change in law; means a Material Adverse Change resulting from any of the following: I. adoption, promulgation, modification, reinterpretation or repeal after the date of this Agreement by any Government authority of any statute, rule regulation, order, treaty, convention, directive, guidelines, policies; or II. the imposition by any Government authority of any material condition in connection with the issuance, renewal or modification of any Approvals after the date of this Agreement which renders the performance by the Lessee of any of the terms of this Agreement impossible. III. any Approval previously granted, ceasing to remain in full force and effect for reasons other than breach/violation by or the negligence of the Lessee or if granted for a limited period, being renewed on terms different from those previously stipulated Provided this Article 5.1.1 (c) shall not be triggered due to any increase in taxes, duties, cess and the like effected from time to time by any Government authority ii. compulsory acquisition in national interest or expropriation of any Project Assets or rights of the Lessee or of the Contractors; iii. unlawful or unauthorized or without jurisdiction revocation of, or refusal to renew or grant without valid cause, any clearance, licence, permit, authorisation, no objection certificate, consent, approval or exemption required by the Lessee or any of the Contractors to perform their respective obligations under this Agreement and the Project Agreements; provided that such delay, modification, denial, refusal or revocation did not result from the Lessee’s or any Contractor’s inability or failure to comply with any condition relating to grant, maintenance or renewal of such clearance, licence, authorisation, no objection certificate, exemption, consent, approval or permit; iv. any failure or delay of a Contractor but only to the extent caused by another Political Event and which does not result in any offsetting compensation being payable to the Lessee by or on behalf of such Contractor; or v. any event or circumstance of a nature analogous to any of the foregoing. The Affected Party shall notify the other Party of the same setting out, inter alia, the following in reasonable detail: I. The date and time the Affected Party was affected by the Force Majeure event. II. The effect of such Force Majeure event on the Affected Party. III. The measures or steps undertaken by the Affected Party to alleviate or mitigate the impact of the Force Majeure event on the Affected Party. IV. An estimate of the time period during which the Affected Party shall be unable to perform its obligations as a result of the Force Majeure event.
