Common use of Position, Duties and Authority Clause in Contracts

Position, Duties and Authority. During the Term (as defined below), Executive shall serve as Chief Executive Officer of Employer and in such other executive-level position or capacity as Employer shall request (including, without limitation, serving, if elected, as the Chief Executive Officer of any one or more of Employer’s affiliates and subsidiaries) and shall have such responsibilities, duties and authority as may, from time to time, be assigned by Employer’s Board of Directors (the “Board”). During the Term, Executive shall serve Employer faithfully and to the best of Executive’s ability, and shall devote substantially all of Executive’s business time, attention, skill and efforts exclusively to the business and affairs of Employer (including its subsidiaries and affiliates) and the promotion of its interests. Notwithstanding the foregoing, Executive may engage in (i) charitable, educational, religious, civic and similar types of activities and (ii) other business ventures not in competition with Employer or its affiliates or subsidiaries to the extent that any such activities set forth in (i) or (ii) do not inhibit or prohibit the performance of Executive’s duties hereunder or inhibit or conflict with the business of Employer, its subsidiaries and affiliates. Executive’s principal base of operation for the performance of his duties under this Agreement shall be in British Columbia; provided, however, Executive shall perform such duties and responsibilities at such other places as shall from time to time be reasonably necessary to fulfill Executive’s obligations under this Agreement in the discretion of Employer.

Any substantial changes to such responsibilities, duties and authority shall be provided to Employee in writing or otherwise agreed to between Employer and Employee. During the Term, Executive Employee shall serve Employer Employer, faithfully and to the best of Executive’s Employee's ability, and shall devote substantially all of Executive’s Employee's business time, attention, skill and efforts exclusively to the business and affairs of Employer (including its subsidiaries and affiliates) and the promotion of its interests. Notwithstanding the foregoing, Executive Employee may engage in (i) charitable, educational, religious, civic and similar types of activities and (iiall of which shall be deemed to benefit Employer) other business ventures not in competition with Employer or its affiliates or subsidiaries to the extent that any such activities set forth in (i) or (ii) do not inhibit or prohibit the performance of Executive’s Employee's duties hereunder or inhibit or conflict with the business of Employer, its subsidiaries and affiliates. Executive’s principal base In no event may Employee serve on boards of operation for directors or advisory committees without the performance prior written consent of his duties under this Agreement the Board, which consent shall not be in British Columbia; provided, however, Executive shall perform such duties and responsibilities at such other places as shall from time to time be reasonably necessary to fulfill Executive’s obligations under this Agreement in the discretion of Employerunreasonably withheld.

During the Term (as defined below), Executive Employee shall serve as Chief Executive Officer Vice President Business Development of Employer and Employer, or subject to provision 4.01 of this Agreement, or in such other executive-level position or capacity as Employer shall request (including, without limitation, serving, if elected, as the Chief Executive Officer of any one or more of Employer’s affiliates and subsidiaries) and shall have such responsibilities, duties and authority as may, from time to time, be assigned by the Employer’s 's Board of Directors (Directors, the “Board”)president of the Employer and/or the president's nominee, including, without limitation, the duties and responsibilities set forth on EXHIBIT A attached hereto. During the Term, Executive Employee shall serve Employer Employer, faithfully and to the best of Executive’s Employee's ability, and shall devote substantially all of Executive’s Employee's business time, attention, skill and efforts exclusively to the business and affairs of Employer (including its subsidiaries and affiliates) and the promotion of its interests. Notwithstanding the foregoing, Executive Employee may engage in (i) charitable, educational, religious, civic and similar types of activities and (iiall of which shall be deemed to benefit Employer) other business ventures not in competition with Employer or its affiliates or subsidiaries to the extent that any such activities set forth in (i) or (ii) do not inhibit or prohibit the performance of Executive’s Employee's duties hereunder or inhibit or conflict with the business of Employer, its subsidiaries and affiliates. Executive’s Employee's principal base of operation for the performance of his Employee's duties under this Agreement shall be in British Columbiathe State of New Jersey; provided, however, Executive that Employee shall perform such duties and responsibilities at such other places as shall from time to time be reasonably necessary to fulfill Executive’s Employee's obligations under this Agreement in the discretion of Employer.

During the Term (as defined below), Executive Employee shall serve as Chief Executive Financial Officer of Employer and in such other executive-level position or capacity as Employer shall request (including, without limitation, serving, if elected, as the Chief Executive Officer of any one or more of Employer’s affiliates and subsidiaries) and shall have such responsibilities, duties and authority as are consistent with such position and as may, from time to time, be reasonably assigned by Employer’s 's Board of Directors (the “"Board”"). Any substantial changes to such responsibilities, duties and authority shall be provided to Employee in writing or otherwise agreed to between Employer and Employee. During the Term, Executive Employee shall serve Employer Employer, faithfully and to the best of Executive’s Employee's ability, and shall devote substantially all of Executive’s Employee's business time, attention, skill and efforts exclusively to the business and affairs of Employer (including its subsidiaries and affiliates) and the promotion of its interests. The Employee will principally deliver his services at the offices of the Employer in Northvale, New Jersey or at such other location as may be determined by the Board, subject to the provisions of Section 4.01(E)(iii). Notwithstanding the foregoing, Executive Employee may engage in (i) charitable, educational, religious, civic and similar types of activities and (iiall of which shall be deemed to benefit Employer) other business ventures not in competition with Employer or its affiliates or subsidiaries to the extent that any such activities set forth in (i) or (ii) do not inhibit or prohibit the performance of Executive’s Employee's duties hereunder or inhibit or conflict with the business of Employer, its subsidiaries and affiliates. During the Term (as defined below), Executive Employee shall serve as Chief Executive Officer Vice President, Manufacturing Operations of the Employer and or in such other executive-level position or capacity as Employer shall request (including, without limitation, serving, if elected, as the Chief Executive Officer of any one or more of Employer’s affiliates and subsidiaries) and shall have such responsibilities, duties and authority as may, from time to time, be reasonably assigned by Employer’s 's Board of Directors ("Board"), the “Board”)President of the Employer and/or the President's nominee. During the Term, Executive Employee shall serve Employer Employer, faithfully and to the best of Executive’s Employee's ability, and shall devote substantially all of Executive’s Employee's business time, attention, skill and efforts exclusively to the business and affairs of Employer (including its subsidiaries and affiliates) and the promotion of its interests. Notwithstanding the foregoing, Executive Employee may engage in (i) charitable, educational, religious, civic and similar types of activities and (iiall of which shall be deemed to benefit Employer) other business ventures not in competition with Employer or its affiliates or subsidiaries to the extent that any such activities set forth in (i) or (ii) do not inhibit or prohibit the performance of Executive’s Employee's duties hereunder or inhibit or conflict in any way with the business of Employer, its subsidiaries and affiliates. Executive’s Employee's principal base of operation for the performance of his Employee's duties under this Agreement shall be in British Columbiathe State of New Jersey; provided, however, Executive that Employee shall perform such duties and responsibilities at such other places as shall from time to time be reasonably necessary to fulfill Executive’s Employee's obligations under this Agreement in the discretion of Employer.
