Positions, Duties and Responsibilities. (a) During the Term of Employment, the Executive shall be employed as the President, Chief Executive Officer and Chief Operating Officer of each of Holdings and Financial, and shall perform such duties and exercise such powers as are incident to such offices and as may be assigned (consistent with the Executive’s position with the Company) from time to time by the Board. The Executive, in carrying out his executive duties under this Agreement, shall report to the Board. It is the intention of the Parties that the Executive shall be elected to and serve as a member of the Board, and Holdings shall use its best efforts to cause its principal stockholders to cause the election of the Executive to the Board. In addition, Executive shall serve as the Deputy Chair of the Board, and the Chairman of the Board of Directors for Financial.
(b) Notwithstanding anything herein to the contrary, nothing shall preclude the Executive from (i) serving on the boards of directors of a reasonable number of other corporations or the boards of a reasonable number of trade associations and/or charitable organizations (provided that in each such case the Executive shall give the Board at least 10 business days’ advance written notice of the Executive’s intention to serve on any such board and, if the Board reasonably objects thereto, the Executive agrees not to serve on such board), (ii) engaging in charitable activities and community affairs, including political activities, and (iii) managing his personal investments and affairs, provided that such activities do not materially interfere with the proper performance of his duties and responsibilities as the Company’s President, Chief Executive Officer and Chief Operating Officer.
Positions, Duties and Responsibilities. (A) During the Term of Agreement, the Executive shall serve as Senior Vice President and Chief Financial Officer of the Company; shall have the authority, duties and responsibilities customarily exercised by an individual serving in those positions in a corporation of the size and nature of the Company; shall perform such duties relating to the management and operations of the Company, consistent with the foregoing, as may from time to time be assigned to him by the Chief Executive Officer of the Company (the “CEO”); shall be assigned no duties or responsibilities that are materially inconsistent with, or that materially impair his ability to discharge, the foregoing duties and responsibilities; and shall report solely and directly to the CEO.
(B) During the Term of Agreement, Executive will (1) devote substantial and full-time attention and energies to the business of the Company, particularly to its financial function, and diligently perform all duties incident to his/her employment; (2) use his/her best efforts to promote the interests and goodwill of the Company; and (3) perform such duties commensurate with his office as Senior Vice President and Chief Financial Officer of the Company as may be assigned to him/her by the CEO.
Positions, Duties and Responsibilities. (a) During the Executive’s employment under this agreement, the Executive shall be employed as the co-chief executive officer with Lxxxxxx Xxxxxxxxx or chief executive officer of the Company and be responsible for the general management of the affairs of the Company. It is the intention of the parties that the Executive be elected to and serve as a member of the board of directors of the Company. The Executive, in carrying out his duties under this agreement, shall report to the board of directors of the Company.
(b) Nothing in this agreement shall preclude the Executive from (i) serving on the boards of directors of a reasonable number of other corporations or the boards of a reasonable number of trade associations and/or charitable organizations, (ii) engaging in charitable activities and community affairs and (iii) managing his personal investments and affairs, provided that such activities do not materially interfere with the proper performance of his duties and responsibilities under this agreement.

The Executive shall report solely to the CEO unless the CEO, the Board or a committee of the Board determines otherwise. The Executive agrees to serve without additional compensation in such capacities (including, without limitation, as an employee or director) with Company and its affiliates as the CEO, the Board or a committee of the Board may in its discretion prescribe. Upon termination of the Executive’s employment with the Company, any employment, board membership or other service relationship with the Company and any Company affiliate shall automatically terminate unless otherwise determined by the parties hereto.
Positions, Duties and Responsibilities. (A) During the Term of Agreement, the Executive shall serve as a Senior Vice President, Operations, of the Company and shall perform such senior executive functions and duties as shall be determined by the Chief Executive Officer.
(B) During the Term of Agreement, Executive will (1) devote substantial and full-time attention and energies to the business of the Company, particularly its Operations function, and diligently perform all duties incident to his/her employment; (2) use his/her best efforts to promote the interests and goodwill of the Company; and (3) perform such duties as may be assigned to him/her by the CEO.

The Executive shall serve as Executive Vice President, Acting President of the Company, and upon the hiring of a President by the Company, shall cease to serve as Executive Vice President, Acting President of the Company and shall be employed as Executive Vice President, Marketing of the Company, and/or in such other positions as the Chief Executive Officer of the Company (the “CEO”), the Board of Directors of the Company (the “Board”) or a committee of the Board may from time to time prescribe, with such duties and responsibilities as are customarily assigned to such position(s). The Executive shall report solely to the CEO unless the CEO, the Board or a committee of the Board determines otherwise. Positions, Duties and Responsibilities. The Employee shall serve as Chief Executive Officer of Southwest, and, for so long as he shall be elected to the Board of Directors of Southwest, he shall serve as Vice Chairman of the Board without additional compensation hereunder. The Employee's duties and responsibilities as Chief Executive Officer shall include general oversight of the operational performance of Southwest; managing costs and generating revenues in order to achieve excellent financial performance; representing Southwest to its multitude of exterior constituencies; implementing Southwest's current and long range business policies and programs; handling, or overseeing, major contract negotiations; and, in general, maintaining employee morale and esprit de corps. In addition, he shall perform such other corporate duties and discharge such other corporate responsibilities as are specified in the bylaws of Southwest or are designated from time to time by either the Chairman of the Board of Directors of Southwest or the full Board of Directors.
Positions, Duties and Responsibilities. The Executive at all times shall serve as, and with the title, office, and authority of, the Chief Executive Officer of LifePoint, reporting directly to the Board of Directors of LifePoint (the "Board of Directors" or "Board") as well as serving as a member of the Board and as the Chairman of the Board. LifePoint shall use its best efforts to take such action as may be required to maintain the Executive's status as such.

(A) During the Term of Agreement, the Executive shall serve as Senior Vice President, Marketing of the Company, shall have the authority, duties and responsibilities customarily exercised by an individual serving in such a position in a corporation of the size and nature of the Company, shall perform such duties relating to the Company, consistent with the foregoing, as may from time to time be assigned to her by the Chief Executive Officer of the Company (the "CEO"); shall be assigned no duties or responsibilities that are materially inconsistent with, or that materially impair her ability to discharge the foregoing duties and responsibilities; and shall report solely and directly to the CEO.
(B) During the Term of Agreement, Executive will (1) devote substantial and full-time attention and energies to the business of the Company, particularly to its marketing function, and diligently perform all duties incident to her employment;
Positions, Duties and Responsibilities. (a) During the Term of Employment, the Executive shall be employed as the Chairman of the Company and be responsible for assisting the CEO with the general management of the affairs of the Company, and shall perform such duties and exercise such powers as are incident to the offices of Chairman of the Company. The Executive, in carrying out his executive duties under this Agreement, shall report to the Board.
(b) As a condition of the Executive's employment and of the Company's obligations under this Agreement, the Executive will execute and perform the Company's NDA and Non-Compete Agreement, the company's xxxxxxx xxxxxxx and insider selling policies which are hereby incorporated into this Agreement and made a part hereof.
(c) Subject to the Executive's obligations hereunder, the Executive may (i) serve on the boards of directors of a reasonable number of other corporations or the boards of a reasonable number of trade associations and/or charitable organizations, (ii) engage in charitable activities and community affairs, including political activities, and (iii) manage his personal investments and affairs, provided that such activities do not, in the reasonable judgment of the Board, after notice, materially interfere with the proper performance of his duties and responsibilities as the Company's Chairman.
