Position; Duties. (a) During the Employment Term (as defined in Section 2 below), the Executive shall serve as a Chief Executive Officer of the Company. In this capacity the Executive shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized companies and such other reasonable duties and responsibilities as the Board of Directors of the Company (the "Board") shall designate. The Executive shall report directly to the Board. The Executive shall obey the lawful directions of the Board and shall use his diligent efforts to promote the interests of the Company and to maintain and promote the reputation thereof. (b) During the Employment Term, the Executive shall use his best efforts to perform his duties under this Agreement and shall devote all of his business time, energy and skill in the performance of his duties with the Company. The Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder.

Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder.

Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder.

Position; Duties. (a) During the Employment Term (as defined in Section 2 belowhereinafter defined), the Executive shall serve as a the Vice President, Chief Executive Operating Officer and Chief Financial Officer of the Company; provided, that prior to a Change in Control (as defined in Section 8(b)), the Company may in its sole discretion remove any or all of the Executive’s titles (and the related responsibilities) other than Chief Operating Officer. In this capacity capacity, the Executive shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized companies companies, and such other reasonable duties duties, authorities and responsibilities as the Board of Directors Chief Executive Officer of the Company (the "Board"“CEO”) shall designatedesignate that are consistent with the Executive’s positions. The Executive shall report directly to the Board. The Executive shall obey the lawful directions of the Board and shall use his diligent efforts to promote the interests of the Company and to maintain and promote the reputation thereofCEO. (b) During the Employment Term, the Executive shall use his best efforts to perform his duties under this Agreement and shall devote all of his business time, energy and skill in and his best efforts to the performance of his duties with the Company. The Executive ; provided, however, that the foregoing shall not during prevent the Employment Term Executive from (except as a representative i) serving on the board of directors of non-profit organizations and, with the prior written approval of the Board of Directors of the Company or with consent in writing of (the “Board) be directly or indirectly engaged or concerned in any ”), other business activity. Notwithstanding the foregoing provisionscompanies, the Executive is not prohibited from (1ii) participating in charitable, civic, educational, professional professional, community or community industry affairs or serving on the board of directors or advisory committees of non-profit entities, and (2iii) managing his and his family's ’s passive personal investments, in each case, provided that investments so long as such activities in the aggregate do not materially interfere or conflict with the performance of his duties hereunderhereunder or create a potential business conflict.

The Executive shall report directly to the Board. The Executive shall obey the lawful directions of the Board and shall use his diligent efforts to promote the interests of the Company and to maintain and promote the reputation thereof. (b) During the Employment Term, the Executive shall use his best efforts to perform his duties under this Agreement and shall devote all of his business time, energy and skill in the performance of his duties with the Company. The Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder.

Position; Duties. (a) During the Employment Term (as defined Term, you will hold the title and office of, and serve in Section 2 below)the position of, the Executive shall serve as a Chief Executive Officer of the Company. In this capacity the Executive shall have such dutiesVice President, authorities Treasurer and responsibilities commensurate with the dutiesSecretary, authorities and responsibilities of persons in similar capacities in similarly sized companies and such other reasonable duties and responsibilities position(s) of a senior executive nature as the Board of Directors shall from time to time assign to you. You shall report to the Chief Financial Officer of the Company (the "Board"“CFO”) and/or such senior executive designee as the Board of Directors may name and shall designate. The Executive shall report directly to have such authorities and duties consistent with your positions in a company the Board. The Executive shall obey the lawful directions size and nature of the Board Company. (b) During the Employment Term, you shall (i) devote your full business time and attention to the Executive shall business and affairs of the Company (and the other members of the General Maritime Group, to the extent requested pursuant to Section 2(a) above) and use his your reasonable best efforts to faithfully perform his your duties under this Agreement and shall devote responsibilities and (ii) abide by all of his business time, energy and skill in the performance of his duties with the Company. The Executive shall not during the Employment Term (except as a representative applicable policies of the Company or with consent in writing and the other members of the BoardGeneral Maritime Group from time to time in effect known to you or provided to you electronically or in writing. To the extent consistent with your duties and responsibilities hereunder, you may (A) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating engage in charitable, civiceducational and community affairs, educational, professional or community affairs or including serving on the board of directors of any charitable, educational or advisory committees community organization, (B) manage your personal passive investments, (C) upon approval of non-profit entitiesthe CFO, serve as a director of another company and (2D) managing his and his family's personal investments, engage in each case, provided that such activities in approved by the aggregate do not materially interfere with his duties hereunderBoard of Directors.

In this capacity the Executive shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized companies and such other reasonable duties and responsibilities as the Board of Directors of the Company (the "Board") shall designate. The designate that are consistent with the Executive's position as Chairman and Chief Executive shall report directly to the Board. (b) During the Employment Term, the Executive shall use his best efforts to perform his duties under this Agreement and shall devote substantially all of his business time, energy time (excluding periods of vacation and skill other approved leaves of absence) in the performance of his duties with the Company. The Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding , provided the foregoing provisions, will not prevent the Executive is not prohibited from (1i) participating in charitable, civic, educational, professional professional, community or community industry affairs or serving on the board of directors or advisory committees boards of non-other companies; provided, however, that the Executive shall not serve as a director on more than three boards of directors or advisory boards of other for profit entitiescompanies or with regard to any competitive company without the prior written approval of the Board, and (2ii) managing his and his family's personal investments, in each case, provided that investments so long as such activities in the aggregate do not materially interfere with his duties hereunder. (c) The Board shall take such action as may be necessary to appoint or elect the Executive as a member of the Board as of the Effective Date. Thereafter, during the Employment Term, the Board shall nominate the Executive for re-election as a member of the Board at the expiration of his then current term.

In this capacity the Executive shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized Internet and advertising companies and such other reasonable duties and responsibilities as the Board of Directors of the Company (the "Board") shall designate. The Executive shall report directly to the Board. The Executive shall obey the lawful directions of the Board Board, the Company's Chief Executive Officer and any other senior executive of the Company to whom the Executive reports and shall use his diligent efforts to promote the interests of the Company and to maintain and promote the reputation thereof. (b) During the Employment Term, the Executive shall use his best efforts to perform his duties under this Agreement and shall devote all of his business time, energy and skill in the performance of his duties with the Company. The Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder.

The Executive shall report directly to the Board. Notwithstanding Companies, provided the foregoing provisions, will not prevent the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's ’s personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder. Position; Duties. (aA) During The Company hereby employs the Employment Executive as Chief Executive Officer of the Company during the Term (as defined in Section 2 below)) on the terms set forth herein. During the course of his employment, the Executive shall serve as a have those duties and responsibilities, and the authority, customarily possessed by the Chief Executive Officer of the Company. In this capacity the Executive shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized companies a corporation and such other reasonable additional duties and responsibilities as may be assigned to him from time to time by the Board of Directors of the Company (the "“Board"”) shall designateor a committee thereof. The Executive shall report directly to the Board. The Executive shall obey the lawful directions of the Board and shall use his diligent efforts to promote the interests of the Company and to maintain and promote the reputation or a committee thereof. (bB) During the Employment Term, Term the Executive shall use his best efforts to perform his duties under this Agreement and shall devote all of his the Executive’s business time, energy and skill to the performance of the Executive’s duties hereunder. The Executive agrees that, during the Term, the Executive will not engage in any other business activity or have any business interests that may conflict with or impair the performance of any of the Executive’s duties hereunder or create any potential business conflicts with the Company or any subsidiary thereof (collectively, the “Company Group”). Service by the Executive on the board of directors of other companies that are not competitors of the Company shall not be deemed to be a violation of this Agreement, provided that such service is pre-approved in writing by the Board or a committee thereof and does not significantly interfere with the confidentiality provisions of this Agreement or the performance of his duties with hereunder. (C) Until such time as the Company. The Executive shall not during has been appointed to the Employment Term (except as a representative Board via due process of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisionsNominating Committee thereof, the Executive is not prohibited from (1) participating shall be invited to attend all meetings of the Board in charitable, civic, educational, professional or community affairs or serving on his capacity as Chief Executive Officer of the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunderCompany.

The Executive shall report directly to Chairman the BoardBoard of Directors and the Boards of Directors. The Executive shall obey the lawful directions of the Board of Directors, the Company's Chief Executive Officer and Chairman of the Board of Directors to whom the Executive reports and shall use his diligent efforts to promote the interests of the Company and to maintain and promote the reputation thereof. (b) During the Employment Term, the Executive shall use his best efforts to perform his duties under this Agreement and shall devote all of his business time, energy and skill in the performance of his duties with the Company. The Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder.

In this capacity the Non Executive shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized companies and such other reasonable duties and responsibilities as the Board of Directors of the Company (the "Board") shall designate. The Non Executive shall report directly to the BoardChief Executive Officer. The Non Executive shall obey the lawful directions of the Board Board, the Company's Chief Executive Officer and any other senior executive of the Company to whom the Non Executive reports and shall use his diligent efforts to promote the interests of the Company and to maintain and promote the reputation thereof. (b) During the Employment Term, the Non Executive shall use his best efforts to perform his duties under this Agreement and shall devote all of his business time, energy and skill in the performance of his duties with the Company. The Non Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisions, the Non Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that providedthat such activities in the aggregate do not materially interfere with his duties hereunder.

(b) During the Employment Term, the Executive shall use his best efforts to perform his duties under this Agreement and shall devote all of his business time, energy and skill in and his best efforts to the performance of his duties with the Company. The Executive , provided the foregoing shall not during prevent the Employment Term Executive from (except as a representative i) serving on the board of directors of non-profit organizations and, with the Company or with consent in writing prior written approval of the Board) be directly or indirectly engaged or concerned in any , other business activity. Notwithstanding the foregoing provisionscompanies, the Executive is not prohibited from (1ii) participating in charitable, civic, educational, professional professional, community or community industry affairs or serving on the board of directors or advisory committees of non-profit entities, and (2iii) managing his and his family's ’s passive personal investments, in each case, provided that investments so long as such activities in the aggregate do not materially interfere or conflict with his duties hereunderhereunder or create a potential business conflict. (c) The Board shall take such action as may be necessary to appoint or elect the Executive as a member of the Board as of the Effective Date. Thereafter, during the Employment Term, the Board shall nominate the Executive for re-election as a member of the Board at the expiration of the then current term, provided that the foregoing shall not be required to the extent prohibited by legal or regulatory requirements.

Position; Duties. (a) During the Employment Term (as defined in Section 2 below), the Executive shall serve as a Chief Executive Officer of the Company. In this capacity the Executive shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized companies and such other reasonable duties and responsibilities as the Board of Directors of the Company (the "Board") shall designate. The Executive shall report directly to Chairman the BoardBoard of Directors. The Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder.

(b) During the Employment Term, the Executive shall use his best efforts to perform his duties under this Agreement and shall devote all of his business time, energy and skill in the performance of his duties with the Company. The Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder.

In this capacity the Executive shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized companies and such other reasonable duties and responsibilities as the Board of Directors of the Company (the "Board") shall designate. The Executive shall report directly to the Board. The Executive shall obey the lawful directions of the Board and shall use his diligent efforts to promote the interests of the Company and to maintain and promote the reputation thereof. (b) During the Employment Term, the Executive shall use his best efforts to perform his duties under this Agreement and shall devote all of his business time, energy and skill in the performance of his duties with the Company. The Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that providedthat such activities in the aggregate do not materially interfere with his duties hereunder.

(b) During the Employment Term, the Executive shall use his best efforts to perform his duties under this Agreement and shall devote substantially all of his business timetime (excluding periods of vacation and sick leave), energy and skill in the performance of his duties with the Company. The Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding , provided the foregoing provisions, will not prevent the Executive is not prohibited from (1i) participating in charitable, civic, educational, professional professional, community or community industry affairs or serving on the board of directors or advisory committees of non-profit entities, and (2ii) managing his and his family's personal investments, in each case, provided that investments so long as such activities in the aggregate do not materially interfere with his duties hereunder. The Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding activity during the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunderEmployment Term.

Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder.

In this capacity the Executive shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized companies and such other reasonable duties and responsibilities as the Board of Directors of the Company (the "Board") shall designate. The Executive shall report directly to both the BoardChief Executive Officer and Chairman of Board of Directors. The Executive shall obey the lawful directions of the Board Board, the Company's Chief Executive Officer and any other senior executive of the Company to whom the Executive reports and shall use his diligent efforts to promote the interests of the Company and to maintain and promote the reputation thereof. (b) During the Employment Term, the Executive shall use his best efforts to perform his duties under this Agreement and shall devote all of his business time, energy and skill in the performance of his duties with the Company. The Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder.

The Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity's in-house Collections, Financial Reporting, Maintaining All Books and Records and Investor Relations. Notwithstanding the foregoing provisionsforegoing, the Executive is however, this Agreement shall not prohibited be interpreted to prohibit Employee from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's making personal investments, in each caseserving on other boards of directors and advisory boards, provided that such attending educational classes, or conducting private business affairs if those activities in the aggregate do not materially interfere with his duties hereunderthe services required under this Agreement, provided that Employee shall not directly or indirectly acquire, hold or retain any material interest in any business competing, directly or indirectly, with the business of Company, except for investments in mutual and other similar funds.

Position; Duties. (a) During the Employment Term (as defined in Section 2 below), the Executive shall serve as a Director of Finance, and acting Chief Executive Financial Officer of the Company. In this capacity the Executive shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized companies and such other reasonable duties and responsibilities as the Board of Directors of the Company (the "Board") shall designate. The Executive shall report directly to the Board. The Executive shall obey the lawful directions of the Board and shall use his diligent efforts to promote the interests of the Company and to maintain and promote the reputation thereof. (b) During the Employment Term, the Executive shall use his best efforts to perform his duties under this Agreement and shall devote all of his business time, energy and skill in the performance of his duties with the Company. The Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder.

The Executive shall report directly faithfully perform for CombinedCo and the Company the duties of said position and shall perform such other duties of an executive, managerial or administrative nature as shall be reasonably commensurate with his position and specified and designated from time to time by the BoardCEO, including but not limited to serving as an officer and/or director of one or more affiliates of the Company (in addition to CombinedCo) from time to time. The Executive shall obey the lawful directions of the Board and shall use his diligent efforts to promote the interests of the Company and to maintain and promote the reputation thereof. (b) During the Employment Term, the Executive shall use his best efforts to perform his duties under this Agreement and shall devote all of his business time, energy time and skill in efforts to the performance of his duties with the Companyhereunder. The Executive shall have the right to engage in various activities outside of his employment with the Company, including charitable and community activities and making personal investments that do not during constitute corporate opportunities and, with the Employment Term (except approval of the CEO, serving as a representative director of one or more other companies (other than any directorships in effect as of the Company or with consent in writing of the BoardEffective Date, which shall not require such approval) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that so long as such activities in the aggregate do not materially interfere with the Executive’s ability to perform his duties hereunder.

(b) During the Employment Term, the Executive shall use his best efforts to perform his duties under this Agreement and shall devote all of his business time, energy and skill in the performance of his duties with the Company. The Executive shall not during the Employment Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder.

Position; Duties. (a) During the Employment Engagement Term (as defined in Section 2 below), the Executive Employee shall serve as a the Chief Executive Financial Officer of the Company. In this their capacity the Executive Employee shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized companies and such other reasonable duties and responsibilities as the Board of Directors of the Company Chief Financial Officer (the "Board"“CFO”) shall designate. The Executive Employee shall report directly to the BoardCFO. The Executive Employee shall obey the lawful directions of the Board CFO and shall use his their diligent efforts to promote the interests of the Company and to maintain and promote the reputation thereof. Notwithstanding the foregoing provisions, the Executive Employee is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his their and his their family's ’s personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his their duties hereunder.

Notwithstanding the foregoing provisions, the Executive is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder.

In this capacity the Executive Consultant shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized companies and such other reasonable duties and responsibilities as the Board of Directors Chief Executive of the Company (the "Board"“CEO”) shall designate. The Executive Consultant shall report directly to the BoardCEO. The Executive Consultant shall obey the lawful directions of the Board CEO and shall use his diligent efforts to promote the interests of the Company and to maintain and promote the reputation thereof. (b) During the Employment Consulting Term, the Executive Consultant shall use his best efforts to perform his duties under this Agreement and shall devote all of his business time, energy and skill in the performance of his duties with the Company. The Executive Consultant shall not during the Employment Consulting Term (except as a representative of the Company or with consent in writing of the Board) be directly or indirectly engaged or concerned in any other business activity. Notwithstanding the foregoing provisions, the Executive Consultant is not prohibited from (1) participating in charitable, civic, educational, professional or community affairs or serving on the board of directors or advisory committees of non-profit entities, and (2) managing his and his family's ’s personal investments, in each case, provided that such activities in the aggregate do not materially interfere with his duties hereunder.
