Common use of Possession and Use Clause in Contracts

Possession and Use. STM shall be entitled to the use and possession of the Season Tickets for each pre- season and regular season football game played in the Stadium by the Bills during the NFL season identified on the first page of this Agreement, and any renewals of this Agreement as described herein (the “Term”), subject to the provisions of the Agreement. Each NFL football season in which the Bills is a franchise playing football shall be a “Season”. Access to the Season Ticket seats shall be controlled by the Bills and shall require the presentation by each person using such area of a ticket for admission thereto. The Agreement only provides STM with the right and privilege to possess and use the Season Tickets in the manner set forth in the Agreement. The Agreement does not confer upon STM and STM’s guests any greater or lesser rights and privileges with respect to admission to the Stadium than afforded to other holders of tickets for admission thereto. STM and STM’s guests, and anyone using the Season Tickets on STM’s behalf, shall be bound by and shall observe the terms and conditions upon which admission to the Stadium is permitted, including without limitation, all applicable policies of the Bills such as the Buffalo Bills Fan Code of Conduct and the Bills’ policy on the cancellation or postponement of a game. The Buffalo Bills Fan Code of Conduct can be found on the Bills’ website xxx.xxxxxxxxxxxx.xxx. STM and all those using the Season Tickets shall maintain proper decorum and comply with all laws, rules and regulations of all governmental authorities and the Bills. STM shall not suffer or permit the use of the Season Tickets in violation of the Agreement or any of the rules and regulations referenced herein. STM is strictly responsible for the compliance of all such rules by himself/herself and any person utilizing STM’s Season Tickets. STM assumes full responsibility for the character, acts, and conduct of each person who gains admission to the Stadium by presentation of the Season Tickets. For purposes of STM’s obligations hereunder, the act of any such person shall be deemed the act of the STM. STM, for him/herself, his/her heirs, executors, administrators, successors and assigns, hereby releases, waives, relinquishes, discharges, and agrees to indemnify, defend, and hold the Bills, its successors, assigns, agents, officers, and employees, harmless from and against any and all claims, demand, liabilities, suits or actions (including all reasonable expenses and attorney’s fees incurred by or imposed on the Bills in connection therewith) for loss, injury or other casualty arising from conduct referenced herein. For violation of this Agreement or any applicable law, rule, or regulation of the Bills or any entity with authority, the Bills may exclude any person from the Stadium or the Season Tickets, or immediately terminate the right of any person to obtain access to the Season Tickets or remain within the Stadium, and remove or cause such person(s) to be removed therefrom. This Agreement does not entitle STM to any future or renewal rights unless and only to the extent expressly stated herein.

Possession and Use. STM shall be entitled (a) Licensee will have access to the use Stadium and possession of the Season Tickets for each pre- season and regular season football game played in the Stadium by the Bills during the NFL season identified on the first page of Seats to which this Agreement, and any renewals of this Agreement as described herein (the “Term”), subject to the provisions of the Agreement. Each NFL football season in which the Bills is a franchise playing football shall be a “Season”. Access to the Season Ticket seats shall be controlled by the Bills and shall require the PSL relates only upon presentation by each person using such area of a ticket for admission theretoto a Stadium event. The Agreement only provides STM with the right and privilege to possess and use the Season Tickets in the manner set forth in the Agreement. The Agreement does not confer upon STM and STM’s guests any greater or lesser rights and privileges with respect to admission to the Stadium than afforded to other holders of tickets for admission thereto. STM and STM’s guests, and anyone using the Season Tickets on STM’s behalf, Licensee shall be bound by and shall observe the terms and conditions upon which tickets for admission to the Stadium is permittedare issued, including including, without limitation, all applicable policies of the Bills such as the Buffalo Bills Fan Code of Conduct and the Bills’ any policy on adopted with respect to the cancellation or postponement of a gamegames or events. STM is strictly Licensee shall be responsible for the compliance of all such rules by himself/herself and any person utilizing STM’s Season Tickets. STM assumes full responsibility for the character, acts, and conduct of each person who gains admission to the Stadium by presentation of the Season Tickets. For purposes of STM’s obligations hereunder, the act of any such person shall be deemed the act of the STM. STM, for him/herself, his/her heirs, executors, administrators, successors and assigns, hereby releases, waives, relinquishes, discharges, and agrees to indemnify, defend, and hold the Bills, its successors, assigns, agents, officers, and employees, harmless from and against any and all claims, demand, liabilities, suits or actions (including all reasonable expenses and attorney’s fees incurred by or imposed on the Bills in connection therewith) for loss, injury or other casualty arising from conduct referenced herein. For violation of this Agreement or any applicable law, rule, or regulation of the Bills or any entity with authority, the Bills may exclude any person from the Stadium or the Season Tickets, or immediately terminate the right of any person to obtain access whom Licensee directly or indirectly gives or otherwise transfers tickets to the Season Tickets Seats. A violation of this Section 8(a) by Licensee or remain within someone using its tickets may cause Licensee’s rights under this PSL Agreement and its Club Seat Agreement to be terminated pursuant to Section 9. (b) If Licensee has a disability requiring an accommodation at the Stadium, and remove or cause becomes disabled such person(s) that an accommodation at the Stadium is required, then upon Licensee’s written request (to the Jets Box Office at the e- mail address listed in the Confirmation), accommodations will be removed therefromarranged in an accessible seating area near the Seats. This Agreement does Accessible seats, like all Stadium seats, are subject to availability. If Licensee thereafter transfers this PSL pursuant to Section 5 above, the transferee’s PSL shall relate to the Seats (or seats substantially similar thereto, if the Seats are not entitle STM available), not to any future or renewal rights unless and only other seats provided as an accommodation pursuant to the extent expressly stated hereinthis Section 8(b).

Each NFL football AHL season in which the Bills Americans is a franchise playing football ice hockey shall be a “Season”. Access to the Season Ticket seats shall be controlled by the Bills Americans and shall require the presentation presentation, by each person using such area area, of a ticket for admission thereto. The This Agreement only provides STM with the right and privilege to possess and use the Season Tickets in the manner set forth in the this Agreement. The This Agreement does not confer upon STM and STM’s guests any greater or lesser rights and privileges with respect to admission to the Stadium Arena than afforded to other holders of tickets for admission thereto. STM and STM’s guests, and anyone using the Season Tickets on STM’s behalf, shall be bound by and shall observe the terms and conditions upon which admission to the Stadium Arena is permitted, including without limitation, all applicable policies of the Bills such as Americans, the Buffalo Bills Arena, and the AHL Fan Code of Conduct and the Bills’ policy on the cancellation or postponement of a game. STM and all those using the Season Tickets shall maintain proper decorum and comply with all applicable laws, rules and regulations of all governmental authorities and the BillsAmericans including, but not limited to, any regulations or rules as relate to the COVID 19 pandemic. STM shall not suffer or permit the use of the Season Tickets in violation of the this Agreement or any of the rules and regulations referenced herein. STM is strictly responsible for the compliance of all such rules by himself/herself and any person utilizing STM’s Season Tickets. STM assumes full responsibility for the character, acts, and conduct of each person who gains admission to the Stadium Arena by presentation of the Season Tickets. For purposes of STM’s obligations hereunder, the act of any such person shall be deemed the act of the STM. STM, for him/herself, his/her heirs, executors, administrators, successors and assigns, hereby releases, waives, relinquishes, discharges, and agrees to indemnify, defend, and hold the BillsAmericans, its and Rochester Arena, LLC (“RA”), and each of their respective successors, assigns, affiliates, agents, officers, directors, members, and employees, harmless from and against any and all claims, demanddemands, liabilities, suits or actions (including all reasonable expenses and attorney’s attorneys’ fees incurred by or imposed on the Bills Americans and RA in connection therewith) for loss, injury or other casualty arising from conduct referenced herein. For violation of this Agreement or any applicable law, rule, or regulation of the Bills Americans or any entity with authority, the Bills Americans may exclude any person from the Stadium Arena or the Season Tickets, or immediately terminate the right of any person to obtain access to the Season Tickets or remain within the StadiumArena, and remove or cause such person(s) to be removed therefrom. This Agreement does not entitle STM to any future or renewal rights unless and only to the extent rights, except as expressly stated herein. The Americans, in its sole discretion, reserves the right for any reason whatsoever not to renew any Season Tickets or to change the seat location previously assigned to STM.

Possession and Use. STM A) Throughout the term of this Agreement and so long as Lessee shall not be in default under this Agreement, Lessee shall be entitled to the possession, use and possession quiet enjoyment of the Season Tickets for each pre- season and regular season football game played Cars (i) in accordance with the Stadium by the Bills during the NFL season identified on the first page terms of this Agreement; (ii) in conformity with all Interchange Rules; and (iii) solely in the use, service and any renewals of this Agreement as described herein (manner for which the “Term”), subject to Cars were designed. The Agreement does not confer upon STM and STM’s guests any greater or lesser rights and privileges with respect to admission to the Stadium than afforded to other holders of tickets for admission thereto. STM and STM’s guests, and anyone using the Season Tickets on STM’s behalf, shall be bound by and shall observe the terms and conditions upon which admission to the Stadium is permitted, including without limitation, all applicable policies of the Bills such as the Buffalo Bills Fan Code of Conduct and the Bills’ policy on the cancellation or postponement of a game. The Buffalo Bills Fan Code of Conduct can be found on the Bills’ website xxx.xxxxxxxxxxxx.xxx. STM and all those using the Season Tickets shall maintain proper decorum and comply compliance with all lawslawful acts, rules rules, regulations and regulations orders of all any governmental authorities and the Bills. STM shall not suffer bodies or permit officers having power to regulate or supervise the use of the Season Tickets in violation of the Agreement or any of the rules and regulations referenced herein. STM is strictly responsible for the compliance of all such rules by himself/herself and any person utilizing STM’s Season Tickets. STM assumes full responsibility for the character, actsproperty, and conduct of each person who gains admission to in accordance with applicable rules established by the Stadium AAR, except that either Lessor or Lessee may, by presentation of appropriate proceedings timely instituted and diligently conducted, contest the Season Tickets. For purposes of STM’s obligations hereunder, the act application of any such person act, rule, regulation or order at the expense of the applicant. A minimum of fifty-one percent (51%) of each Car's use within each twelve-month period (measured from September 1st to August 31st in each year of each term under each Schedule hereto) shall be deemed within the act United States of America. C) At Lessor's election, Cars may be marked to indicate the rights of Lessor, of an assignee, mortgagee, trustee, pledgee or security holder of Lessor, or of a lessor to Lessor. Except for original markings on a Car at Delivery, and renewal and maintenance of the STM. STMaforesaid markings or lettering indicating that a Car is leased to Lessee or is assigned in accordance with demurrage tariffs, for him/herself, his/her heirs, executors, administrators, successors no lettering or marking shall be placed upon any Car by Lessee and assigns, hereby releases, waives, relinquishes, discharges, and agrees to indemnify, defend, and hold the Bills, its successors, assigns, agents, officers, and employees, harmless from and against Lessee will not remove or change any and all claims, demand, liabilities, suits reporting xxxx or actions (including all reasonable expenses and attorney’s fees incurred by or imposed number indicated on the Bills in connection therewithapplicable Schedule except upon the written direction or consent of Lessor. Lessee shall be responsible for all costs associated with any marking changes made at its request. D) for lossLessee shall not, injury with regard to the Cars, or other casualty arising from conduct referenced herein. For violation of any interest therein, including the revenues thereon, or with regard to this Agreement or any applicable lawSchedule hereto, ruledirectly or indirectly create, incur, assume, or regulation of the Bills or suffer to exist any entity with authorityLiens arising by, the Bills may exclude any person from the Stadium or the Season Ticketsthrough, or immediately terminate the right of under it, except for Permitted Liens (as defined below). Lessee shall notify Lessor in writing within five (5) days after any person to obtain access to the Season Tickets attachment, tax lien or remain within the Stadium, and remove or cause such person(s) to be removed therefrom. This Agreement does not entitle STM other judicial process other than a Permitted Lien shall attach to any future or renewal rights unless Car. Lessee shall promptly, at its expense, take such action as may be necessary to duly discharge any Lien other than a Permitted Lien if the same shall arise at any time. If Lessee fails to take action as described in the previous sentence, Lessor may, at Lessee's expense, take such action and only to the extent expressly stated herein.Lessee shall pay

For purposes of STM’s obligations hereunder, the act of any such person shall be deemed the act of the STM. STM, for him/herself/themself, his/her her/their heirs, executors, administrators, successors and assigns, hereby releases, waives, relinquishes, discharges, and agrees to indemnify, defend, and hold the Bills, its successors, assigns, agents, officers, and employees, harmless from and against any and all claims, demand, liabilities, suits or actions (including all reasonable expenses and attorney’s fees incurred by or imposed on the Bills in connection therewith) for loss, injury injury, or other casualty arising from conduct referenced herein. For violation of this Agreement or any applicable law, rule, or regulation of the Bills or any entity with authority, the Bills may exclude any person from the Stadium or from use of the Season Tickets, or immediately terminate the right of any person to obtain access to the Season Tickets Tickets, or remain within the Stadium, and remove or cause such person(s) to be removed therefrom. This Agreement does not entitle STM to any future or renewal rights unless and only to the extent expressly stated herein.

STM shall be entitled to the use and possession of the Season Tickets for each pre- season (if any) and regular season football indoor lacrosse game played in the Stadium Arena by the Bills Knighthawks during the NFL National Lacrosse League (“NLL”) season identified on the first page of this Agreement, and any renewals of this Agreement as described herein (the “Term”), subject to the provisions of the Agreement. Each NFL football NLL season in which the Bills Knighthawks is a franchise playing football indoor lacrosse shall be a “Season”. Access to the Season Ticket seats shall be controlled by the Bills Knighthawks and shall require the presentation presentation, by each person using such area area, of a ticket for admission thereto. The Agreement only provides STM with the right and privilege to possess and use the Season Tickets in the manner set forth in the Agreement. The Agreement does not confer upon STM and STM’s guests any greater or lesser rights and privileges with respect to admission to the Stadium Arena than afforded to other holders of tickets for admission thereto. STM and STM’s guests, and anyone using the Season Tickets on STM’s behalf, shall be bound by and shall observe the terms and conditions upon which admission to the Stadium Arena is permitted, including without limitation, all applicable policies of the Bills such as Knighthawks and the Buffalo Bills NLL Fan Code of Conduct and the Bills’ policy on the cancellation or postponement of a game. The Buffalo Bills Fan Code of Conduct can be found on the Bills’ website xxx.xxxxxxxxxxxx.xxxConduct. STM and all those using the Season Tickets shall maintain proper decorum and comply with all laws, rules and regulations of all governmental authorities and the BillsKnighthawks. STM shall not suffer or permit the use of the Season Tickets in violation of the Agreement or any of the rules and regulations referenced herein. STM is strictly responsible for the compliance of all such rules by himself/herself and any person utilizing STM’s Season Tickets. STM assumes full responsibility for the character, acts, and conduct of each person who gains admission to the Stadium Arena by presentation of the Season Tickets. For purposes of STM’s obligations hereunder, the act of any such person shall be deemed the act of the STM. STM, for him/herself, his/her heirs, executors, administrators, successors and assigns, hereby releases, waives, relinquishes, discharges, and agrees to indemnify, defend, and hold the BillsKnighthawks, and its successors, assigns, affiliates, agents, officers, and employees, harmless from and against any and all claims, demanddemands, liabilities, suits or actions (including all reasonable expenses and attorney’s attorneys’ fees incurred by or imposed on the Bills Knighthawks in connection therewith) for loss, injury or other casualty arising from conduct referenced herein. For violation of this Agreement or any applicable law, rule, or regulation of the Bills Knighthawks or any entity with authority, the Bills Knighthawks may exclude any person from the Stadium Arena or the Season Tickets, or immediately terminate the right of any person to obtain access to the Season Tickets or remain within the StadiumArena, and remove or cause such person(s) to be removed therefrom. This Agreement does not entitle STM to any future or renewal rights unless and only to the extent expressly stated herein. The Knighthawks, in its sole discretion, reserves the right for any reason whatsoever not to renew any Season Tickets or to change the seat location previously assigned to STM.

Possession and Use. STM shall This Agreement grants to Customer the right to a ticketed seat or seats (up to a maximum of 4 (four) tickets in groups of 2 (two)), as set forth in the Customer’s order, (the “Tickets”) in a location to be entitled to the use and possession of the Season Tickets determined for each pre- season and regular season football game played in the Stadium by the Bills during the 2019 NFL football season identified on (each, a “Game”; the first page of this Agreement, and any renewals of this Agreement as described herein (2019 NFL football season constitutes the “Term”), subject to the provisions of the Agreement. Each NFL football season in which the Bills is a franchise playing football Customer shall be assigned the seat location of the Tickets 24-48 (twenty-four to forty-eight) hours in advance of each Game and shall be notified when assigned. Seat locations for the Tickets may be different each Game. Tickets are not guaranteed to be located together for more than 2 (two) tickets. Seat locations for Tickets exclude premium seating locations such as clubs and exclude 100 level tickets. Tickets are available electronically to be used via the Bills’ official mobile application. Alternatively, Customer may visit the Buffalo Bills Ticket Office to obtain a “Season”printed ticket upon request after the seat location has been assigned each Game. Access to the Season Ticket ticketed seats shall be controlled by the Bills and shall require the presentation by each person using such area of a ticket for admission thereto. The Agreement only provides STM Customer with the right and privilege to possess and use the Season Tickets in the manner set forth in the Agreement. The Agreement does not confer upon STM Customer and STMCustomer’s guests any greater or lesser rights and privileges with respect to admission to the Stadium than afforded to other holders of tickets for admission thereto. STM Customer and STMCustomer’s guests, and anyone using the Season Tickets on STMCustomer’s behalf, shall be bound by and shall observe the terms and conditions upon which admission to the Stadium is permitted, including without limitation, all applicable policies of the Bills such as the Buffalo Bills Fan Code of Conduct and the Bills’ policy on the cancellation or postponement of a game. The Buffalo Bills Fan Code of Conduct can be found on the Bills’ website xxx.xxxxxxxxxxxx.xxx. STM Customer and all those using the Season Tickets shall maintain proper decorum and comply with all laws, rules and regulations of all governmental authorities and the Bills. STM Customer shall not suffer or permit the use of the Season Tickets in violation of the Agreement or any of the rules and regulations referenced herein. STM Customer is strictly responsible for the compliance of all such rules by himself/herself and any person utilizing STMCustomer’s Season Tickets. STM Customer assumes full responsibility for the character, acts, and conduct of each person who gains admission to the Stadium by presentation of the Season Tickets. For purposes of STMCustomer’s obligations hereunder, the act of any such person shall be deemed the act of the STMCustomer. STMCustomer, for him/herself, his/her heirs, executors, administrators, successors and assigns, hereby releases, waives, relinquishes, discharges, and agrees to indemnify, defend, and hold the Bills, its successors, assigns, agents, officers, and employees, harmless from and against any and all claims, demand, liabilities, suits or actions (including all reasonable expenses and attorney’s fees incurred by or imposed on the Bills in connection therewith) for loss, injury or other casualty arising from conduct referenced herein. For violation of this Agreement or any applicable law, rule, or regulation of the Bills or any entity with authority, the Bills may exclude any person from the Stadium or the Season Tickets, or immediately terminate the right of any person to obtain access to the Season Tickets or remain within the Stadium, and remove or cause such person(s) to be removed therefrom. This Agreement does not entitle STM Customer to any future or renewal rights unless and only to the extent expressly stated hereinrights.

STM STH shall be entitled to the use and possession of the Season Tickets for each pre- pre-season and regular season football hockey game played in the Stadium Arena by the Bills Buffalo Sabres during the NFL season identified on the first page of this Agreement2019-20 NHL season, and any renewals of this Agreement as described herein (the “Term”), subject to the provisions of the Agreement. Each NFL football NHL season in which the Bills Sabres is a franchise playing football hockey shall be a “Season”. Upon receipt of Season Tickets, risk of loss or theft of Season Tickets shall pass to STH. Access to the Season Ticket seats shall be controlled by the Bills Sabres and shall require the presentation presentation, by each person using such area area, of a ticket for admission thereto. The Agreement only provides STM STH with the right and privilege to possess and use the Season Tickets in the manner set forth in the Agreement. The Agreement does not confer upon STM STH and STMSTH’s guests any greater or lesser rights and privileges with respect to admission to the Stadium Arena than afforded to other holders of tickets for admission thereto. STM STH and STMSTH’s guests, and anyone using the Season Tickets on STMSTH’s behalf, shall be bound by and shall observe the terms and conditions upon which admission to the Stadium Arena is permitted, including without limitation, all applicable policies of the Bills Sabres such as the Buffalo Bills Fan Code of Conduct and the BillsSabres’ policy on the cancellation or postponement of a game. The Buffalo Bills game and the NHL Fan Code of Conduct can be found on the Bills’ website xxx.xxxxxxxxxxxx.xxxConduct. STM STH and all those using the Season Tickets shall maintain proper decorum and comply with all laws, rules and regulations of all governmental authorities and the BillsSabres. STM STH shall not suffer or permit the use of the Season Tickets in violation of the Agreement or any of the rules and regulations referenced herein. STM STH is strictly responsible for the compliance of all such rules by himself/herself and any person utilizing STMSTH’s Season Tickets. STM STH assumes full responsibility for the character, acts, and conduct of each person who gains admission to the Stadium by presentation of the Season Tickets. For purposes of STMSTH’s obligations hereunder, the act of any such person shall be deemed the act of the STMSTH. STMSTH, for him/herself, his/her heirs, executors, administrators, successors and assigns, hereby releases, waives, relinquishes, discharges, and agrees to indemnify, defend, and hold the BillsSabres, its successors, assigns, agents, officers, and employees, harmless from and against any and all claims, demand, liabilities, suits or actions (including all reasonable expenses and attorney’s fees incurred by or imposed on the Bills Sabres in connection therewith) for loss, injury or other casualty arising from conduct referenced herein. For violation of this Agreement or any applicable law, rule, or regulation of the Bills Sabres or any entity with authority, the Bills may Sabres may, in its sole discretion, exclude any person from the Stadium Arena or the Season Tickets, or immediately terminate the right of any person to obtain access to the Season Tickets or remain within the Stadium, Arena and remove or cause such person(s) to be removed therefrom. This Agreement does not entitle STM STH to any future or renewal rights unless and only to the extent expressly stated herein. If Sabres elect to extend a right of first refusal on their regular season seats for playoff games, such right must be exercised in accordance with such deadlines and upon such term and conditions xxxxx established by Sabres in i ts discretion.

Possession and Use. STM shall be entitled to the use and possession of the Season Tickets for each pre- season and regular season football game played in the Stadium by the Bills during the NFL season season(s) identified on the first page of this Agreement, and any renewals of this Agreement as described herein herein, (the “Term”), ) subject to the provisions of the Agreement. Each NFL football season in which the Bills is a franchise playing football shall be a “Season”. Access to the Season Ticket seats shall be controlled by the Bills and shall require the presentation by each person using such area of a ticket for admission thereto. The Agreement only provides STM with the right and privilege to possess and use the Season Tickets in the manner set forth in the Agreement. The Agreement does not confer upon STM and STM’s guests any greater or lesser rights and privileges with respect to admission to the Stadium than afforded to other holders of tickets for admission thereto. STM and STM’s guests, and anyone else using the Season Tickets on STM’s behalfTickets, shall be bound by and shall observe the terms and conditions upon which admission to the Stadium is permitted, including without limitation, all applicable policies of the Bills such as the Buffalo Bills Fan Code of Conduct and the Bills’ policy on the cancellation or postponement of a game. The Buffalo Bills Fan Code of Conduct can be found on the Bills’ website xxx.xxxxxxxxxxxx.xxx. STM and all those using the Season Tickets shall maintain proper decorum and comply with all laws, rules rules, and regulations of all governmental authorities and the Bills. STM shall not suffer or permit the use of the Season Tickets in violation of the Agreement or any of the rules and regulations referenced herein. STM is strictly responsible for the compliance of all such rules by himself/herself and any person utilizing STM’s Season Tickets. STM assumes full responsibility for the character, acts, and conduct of each person who gains admission to the Stadium by presentation of the Season Tickets. For purposes of STM’s obligations hereunder, the act of any such person shall be deemed the act of the STM. STM, for him/herself, his/her heirs, executors, administrators, successors and assigns, hereby xxxxxx releases, waives, relinquishes, discharges, and agrees to indemnify, defend, and hold the Bills, its successors, assigns, agents, officers, and employees, harmless from and against any and all claims, demand, liabilities, suits or actions (including all reasonable expenses and attorney’s fees incurred by or imposed on the Bills in connection therewith) for loss, injury injury, or other casualty arising from conduct referenced herein. For violation of this Agreement or any applicable law, rule, or regulation of the Bills or any entity with authority, the Bills may exclude any person from the Stadium or from use of the Season Tickets, or immediately terminate the right of any person to obtain access to the Season Tickets Tickets, or remain within the Stadium, and remove or cause such person(s) to be removed therefrom. This Agreement does not entitle STM to any future or renewal rights unless and only to the extent expressly stated herein.

For violation of this Agreement or any applicable law, rule, or regulation of the Bills or any entity with authority, the Bills may exclude any person from the Stadium or from use of the Season Tickets, or immediately terminate the right of any person to obtain access to the Season Tickets Tickets, or remain within the Stadium, and remove or cause such person(s) to be removed therefrom. This Agreement does not entitle STM to any future or renewal rights unless and only to the extent expressly stated herein.

STM shall be entitled to the use and possession of the Season Tickets for each pre- season and regular season football ice hockey game played in the Stadium Arena by the Bills Americans during the NFL American Hockey League (“AHL”) season identified on the first page of this Agreement, and any renewals of this Agreement as described herein (the “Term”), subject to the provisions of the this Agreement. Each NFL football AHL season in which the Bills Americans is a franchise playing football ice hockey shall be a “Season”. Access to the Season Ticket seats shall be controlled by the Bills Americans and shall require the presentation presentation, by each person using such area area, of a ticket for admission thereto. The This Agreement only provides STM with the right and privilege to possess and use the Season Tickets in the manner set forth in the this Agreement. The This Agreement does not confer upon STM and STM’s guests any greater or lesser rights and privileges with respect to admission to the Stadium Arena than afforded to other holders of tickets for admission thereto. STM and STM’s guests, and anyone using the Season Tickets on STM’s behalf, shall be bound by and shall observe the terms and conditions upon which admission to the Stadium Arena is permitted, including without limitation, all applicable policies of the Bills such as Americans, the Buffalo Bills Arena, and the AHL Fan Code of Conduct and the Bills’ policy on the cancellation or postponement of a game. The Buffalo Bills Fan Code of Conduct can be found on the Bills’ website xxx.xxxxxxxxxxxx.xxxConduct. STM and all those using the Season Tickets shall maintain proper decorum and comply with all applicable laws, rules and regulations of all governmental authorities and the BillsAmericans. STM shall not suffer or permit the use of the Season Tickets in violation of the this Agreement or any of the rules and regulations referenced herein. STM is strictly responsible for the compliance of all such rules by himself/herself and any person utilizing STM’s Season Tickets. STM assumes full responsibility for the character, acts, and conduct of each person who gains admission to the Stadium Arena by presentation of the Season Tickets. For purposes of STM’s obligations hereunder, the act of any such person shall be deemed the act of the STM. STM, for him/herself, his/her heirs, executors, administrators, successors and assigns, hereby releases, waives, relinquishes, discharges, and agrees to indemnify, defend, and hold the BillsAmericans, its and Rochester Arena, LLC (“RA”), and each of their respective successors, assigns, affiliates, agents, officers, directors, members, and employees, harmless from and against any and all claims, demanddemands, liabilities, suits or actions (including all reasonable expenses and attorney’s attorneys’ fees incurred by or imposed on the Bills Americans and RA in connection therewith) for loss, injury or other casualty arising from conduct referenced herein. For violation of this Agreement or any applicable law, rule, or regulation of the Bills Americans or any entity with authority, the Bills Americans may exclude any person from the Stadium Arena or the Season Tickets, or immediately terminate the right of any person to obtain access to the Season Tickets or remain within the StadiumArena, and remove or cause such person(s) to be removed therefrom. This Agreement does not entitle STM to any future or renewal rights unless and only to the extent rights, except as expressly stated herein. The Americans, in its sole discretion, reserves the right for any reason whatsoever not to renew any Season Tickets or to change the seat location previously assigned to STM.
