Post-Cancellation Perpetual Access. Upon termination of this Agreement, and upon written request from a Consortium Member, the Publisher will provide the Consortium Member and their Authorised Users with access to the full text of the Licensed Material which was published and paid for during the term of this Agreement either through the ACM DL platform (xxxx://xx.xxx.xxx), Portico, CLOCKSS or other means mutually agreed upon by the Publisher and the Consortium Member. Consortium Members requesting Post-Cancellation Access (PCA) services agree to provide the Publisher with a complete list of current IP Addresses registered for its institution at the time subscription access is terminated and PCA services are activated. All IP information provided will remain valid for the duration of the Consortium Member’s post-cancellation access, and no further changes or updates to this information will be made by the Publisher. The full text of the electronic files may not be resold at any time; this remains in effect in perpetuity. Consortium Members will be required to sign a separate Post-Cancellation License Agreement with the Publisher. Continuing post cancellation access is subject to the terms and conditions of use of this License.

Post-Cancellation Perpetual Access. Upon termination of this Agreement, and upon written request from the University, ACM will provide the University and its Authorized Users with access to the full text of the Perpetual Access Content as provided under Section 4(1)(e) either through the ACM DL platform (xxxx://xx.xxx.xxx) or by engaging the services of third-party trusted archives (such as Portico) and/or participating in collaborative archiving endeavors to exercise its perpetual use rights. University requesting Post-Cancellation Access (PCA) services agrees to provide ACM with a complete list of current IP Addresses registered for its institution at the time subscription access is terminated and PCA services are activated and may be changed or updated by the University from time to time. The full text of the electronic files may not be resold at any time; this remains in effect in perpetuity. Continuing post cancellation access is subject to the terms and conditions of use in this Agreement. ACM shall also provide to the University upon request, or the University may create, one (1) copy of the entire set of Perpetual Access Content to be maintained as an archival copy. The archival copy from ACM shall be provided without any Digital Rights Management (DRM) in a mutually agreeable medium suitable to the content, and any fees for provision of copies will be on a time and materials basis only. In the event ACM discontinues or suspends selling or licensing the materials licensed under this Agreement, the University may use such archives of the Perpetual Access Content under the same terms as this Agreement. If the University has a backup copy of the materials licensed under this Agreement the backup copy may be used as an archival copy.

  • Termination and Cancellation 9. 1. Licences will expire after the period shown in Clause 3 (above).

  • TERMINATION/CANCELLATION Cancellation of orders once placed with or accepted by Seller can be made only with Seller’s consent. Should Buyer, due to good cause, desire to affect the cancellation of an accepted order, Seller will accept such cancellation on the following basis:

  • Termination/Cancellation/Rejection The State specifically reserves the right upon written notice to immediately terminate the contract or any portion thereof at no additional cost to the State, providing, in the opinion of its Commissioner of Buildings and General Services, the products supplied by Contractor are not satisfactory or are not consistent with the terms of this Contract. The State also specifically reserves the right upon written notice, and at no additional cost to the State, to immediately terminate the contract for convenience and/or to immediately reject or cancel any order for convenience at any time prior to shipping notification.
