Power and Authorisation of Seller; Enforceable Agreement. 6.2.1.1 Each Seller has the full legal power and authority to enter into this Agreement and to consummate the Transaction, and this Agreement constitutes a binding obligation of each Seller enforceable against each Seller in accordance with the terms of this Agreement. 6.2.1.2 The execution of this Agreement, or any other agreement or document to be ex- ecuted or delivered in connection with the Transaction, the performance by any of the Sellers of its/his/her obligations under this Agreement, and the consum- mation of the Transaction, does not and will not result in a breach of the articles of association, other constitutional documents of, the shareholders’ agreements, subscription agreements, investment agreements of, or any judgement or order of any court, governmental or other body, or any Law, binding on, any of the Sellers or the Company.
