Powers and Duties of the President. Subject to the powers of the Chairman, if there be such an officer, the President shall be the principal executive officer of the Trust. The President may call meetings of the Trustees and of any Committee thereof when he deems it necessary and, in the absence of the Chairman, shall preside at all meetings of the Shareholders and the Trustees. Subject to the control of the Trustees, the Chairman and any Committees of the Trustees, within their respective spheres, as provided by the Trustees, the President shall at all times exercise a general supervision and direction over the affairs of the Trust. The President shall have the power to employ attorneys and counsel for the Trust or any Series or Class thereof, and other advisers and agents for the Trust and to employ such subordinate officers, agents, clerks and employees as the President may find necessary to transact the business of the Trust or any Series or Class thereof. The President shall also have the power to grant, issue, execute or sign such powers of attorney, proxies or other documents as may be deemed advisable or necessary in furtherance of the interests of the Trust or any Series or Class thereof. The President shall have such other powers and duties, as from time to time may be conferred upon or assigned to him by the Trustees.

The President shall from time to time make such reports concerning the Corporation as the Board of Directors of the Corporation may require. Subject to the control of the General Partner, the President shall have general executive charge, management and control of the properties, business and operations of the Partnership with all such powers as may be reasonably incident to such responsibilities; he or she may agree upon and execute all leases, contracts, evidences of indebtedness and other obligations in the name of the Partnership; and shall have such other powers and duties as from time to time may be assigned to him or her by the General Partner.

If appointed by the Managers, the President shall have general charge of and direct the operations of the Limited Liability Company, subject to the control of the Managers, and shall keep the Managers fully informed and shall consult with them concerning the business of the Limited Liability Company. If appointed, the President shall have authority to sign, execute and acknowledge all contracts, checks, deeds, mortgages, bonds, leases or other obligations on behalf of the Limited Liability Company as the President may deem necessary or proper in the course of the Limited Liability Company’s regular business, or which shall be authorized by the Managers. The President may sign in the name of the Limited Liability Company reports and all other documents or instruments which are necessary or proper in the course of the Limited Liability Company’s business. The President shall perform all duties incident to the office, as herein defined, and all such other duties as from time to time may be assigned by the Managers. The limited liability company may appoint more than one person to serve as the President and, if more than one person is appointed to serve as President, each shall be denominated as a co-President and each shall have the powers and duties set forth above.
