Powers of Managing Joint Venturer. Subject to the restrictions set forth herein, the Managing Joint Venturer is authorized and empowered to carry out and implement any and all of the purposes of the Venture. Powers of Managing Joint Venturer. Subject to the restrictions set forth herein, the Managing Joint Venturer is authorized and empowered to carry out and implement any and all of the purposes of the Venture. In that regard, the powers of the Managing Joint Venturer shall include, but shall not be limited to, the following: (a) To hire, fire, and supervise the Venture’s employees. (b) To engage personnel, independent attorneys, accountants, or any other persons that may be deemed necessary or advisable. 3 (c) To open, maintain, and close bank accounts and to draw checks and other orders for the payment of money. (d) To take any action and to incur any expenses on behalf of the Venture that may be necessary or advisable in connection with the conduct of the Venture’s affairs. (e) To enter into, make, and perform any contracts, agreements, and other undertakings that may be deemed necessary or advisable by the Managing Joint Venturer for the conduct of the affairs of the Venture. 21.
Powers of Managing Joint Venturer. The Managing Joint Venturer is authorized and empowered to carry out and implement any and all of the purposes of the Joint Venture, and shall have all powers given to a general partner or joint venture under Chapter 152 of the Texas Business Organizations Code, as amended from time to time. In that regard, the powers of the Managing Joint Venturer shall include, but shall not be limited to, the following:
