Pre-Closing Publicity. During the Pre-Closing Period, any public disclosures or announcements relating to this Agreement or the transactions contemplated hereby will be made only as may be agreed upon in writing by the Company and Parent, except as may be required by Law or by any Governmental Authority or the rules of any stock exchange or trading system applicable to the Company (in which case, such party shall not issue or cause the publication of such public disclosure or announcement without prior consultation with the other party in good faith); provided, Parent and its Affiliates may provide information regarding this Agreement and the transactions contemplated hereby to their respective employees, accountants, advisors, Representatives and existing or prospective limited partners, financing sources and other investors on a confidential basis. Notwithstanding the foregoing, the restrictions set forth in this Section 6.1.5 shall not apply to any release, statement, announcement or other disclosure made with respect to: (a) public disclosure in OTCQB filings and as contemplated in Section 6.1.8; (b) a Company Adverse Recommendation Change issued or made in compliance with Section 6.3; (c) any other disclosure issued or made in compliance with Section 6.3; or (d) the Merger and the other transactions contemplated hereby that is substantially similar (and identical in any material respect) to those in a previous release, statement, announcement, or other disclosure made by the Company or Parent in accordance with this Section 6.1.5.

For the avoidance of doubt, in connection with any disclosure or announcement required by Law or by any Governmental Authority or the rules of any stock exchange or trading system, Seller may disclose the financial and other material terms of the transactions contemplated by this Agreement, including the Purchase Price and the effect the transaction will have on the earnings of Seller as a whole, if such disclosure is within the conventions of disclosures made by publicly-traded companies for transactions similar (on a relative basis) to the transactions contemplated hereby.
Pre-Closing Publicity. Exhibit 12.1 is a form of press release regarding the execution of this Agreement (the "Press Release"). The Press Release shall be issued on or about June 24, 2002, as SRC and InSystems shall agree.

In addition, nothing herein precludes communications or disclosures necessary to implement the provisions of this Agreement, and Buyer, the Seller Parties, Sellers’ Representative and their respective Affiliates may make any disclosures they consider necessary to satisfy their legal or contractual obligations to their lenders, shareholders or investors without the prior written consent of the Seller Parties or Sellers’ Representative or Buyer, as the case may be.
Pre-Closing Publicity. Except as otherwise expressly provided in this Section 15.05, prior to the Closing Date, all notices to third parties and other publicity relating to the transaction contemplated by this agreement shall be jointly planned, coordinated and agreed to by Purchaser and the Company. Prior to the Closing Date, none of the parties hereto shall act unilaterally in this regard without the prior written approval of the others; PROVIDED, HOWEVER, (i) such approval shall not be unreasonably withheld, (ii) nothing in this Section 15.05 shall be deemed to restrict a party from unilaterally making any communication which such party determines to be necessary in order to comply with applicable Laws and (iii) nothing in this Section 15.05 shall prohibit or otherwise restrict Purchaser from making any communications it deems necessary with its financing sources, advisors or bonding providers.

Pre-Closing Publicity. Prior to the Closing, the Company shall not make any public disclosure or comment regarding the terms of this Agreement or the transactions contemplated herein without the prior approval of Purchaser except as may be required by Applicable Law or by any Governmental Body or as may be reasonably necessary to enforce any rights under this Agreement (each, an “Exception”). In the event that such disclosure is or may be required by an Exception, the Company shall promptly notify Purchaser so that Purchaser may seek, at Purchaser’s expense, a protective order or other remedy, and the Company shall reasonably assist Purchaser therewith. If Company remains legally compelled to make such disclosure, the Company shall (a) disclose only such information as the Company is required to disclose and (b) use reasonable efforts to ensure that such information is afforded confidential treatment.

  • Securities Laws Disclosure; Publicity The Company shall (a) by the Disclosure Time, issue a press release disclosing the material terms of the transactions contemplated hereby, and (b) file a Current Report on Form 8-K, including the Transaction Documents as exhibits thereto, with the Commission within the time required by the Exchange Act. In addition, effective upon the issuance of such press release, the Company acknowledges and agrees that any and all confidentiality or similar obligations under any agreement, whether written or oral, between the Company, any of its Subsidiaries or any of their respective officers, directors, agents, employees or Affiliates on the one hand, and any of the Purchasers or any of their Affiliates on the other hand, shall terminate. The Company and each Purchaser shall consult with each other in issuing any other press releases with respect to the transactions contemplated hereby, and neither the Company nor any Purchaser shall issue any such press release nor otherwise make any such public statement without the prior consent of the Company, with respect to any press release of any Purchaser, or without the prior consent of each Purchaser, with respect to any press release of the Company, which consent shall not unreasonably be withheld or delayed, except if such disclosure is required by law, in which case the disclosing party shall promptly provide the other party with prior notice of such public statement or communication. Notwithstanding the foregoing, the Company shall not publicly disclose the name of any Purchaser, or include the name of any Purchaser in any filing with the Commission or any regulatory agency or Trading Market, without the prior written consent of such Purchaser, except (a) as required by federal securities law in connection with the filing of final Transaction Documents with the Commission and (b) to the extent such disclosure is required by law or Trading Market regulations, in which case the Company shall provide the Purchasers with prior notice of such disclosure permitted under this clause (b).

  • SELLER’S DISCLOSURES In order to meet the Buyer’s obligations during the Inspection Period, the Seller shall be required to provide the following documents and records, to the extent they are within the possession or control of the Seller, at the Seller’s sole cost and expense:

  • Press Release The Company and the Investor agree that the Company shall issue a press release announcing the Offering prior to the opening of the financial markets in New York City on the business day immediately after the date hereof.

  • Advertising and Publicity No Credit Party shall issue or disseminate to the public (by advertisement, including without limitation any “tombstone” advertisement, press release or otherwise), submit for publication or otherwise cause or seek to publish any information describing the credit or other financial accommodations made available by the Lenders pursuant to this Agreement and the other Loan Documents without the prior written consent of the Administrative Agent. Nothing in the foregoing shall be construed to prohibit any Credit Party from making any submission or filing which it is required to make by applicable law or pursuant to judicial process; provided, that, (i) such filing or submission shall contain only such information as is necessary to comply with applicable law or judicial process and (ii) unless specifically prohibited by applicable law or court order, the Borrower shall promptly notify the Administrative Agent of the requirement to make such submission or filing and provide the Administrative Agent with a copy thereof.

  • Prohibition on Press Releases and Public Announcements The Company shall not issue press releases or engage in any other publicity, without the Representative’s prior written consent, for a period ending at 5:00 p.m., Eastern time, on the first (1st) Business Day following the forty-fifth (45th) day after the Closing Date, other than normal and customary releases issued in the ordinary course of the Company’s business.

  • Publicity The Company, and the Buyer shall have the right to review a reasonable period of time before issuance of any press releases, SEC, OTCBB or FINRA filings, or any other public statements with respect to the transactions contemplated hereby; provided, however, that the Company shall be entitled, without the prior approval of the Buyer, to make any press release or SEC, OTCBB (or other applicable trading market) or FINRA filings with respect to such transactions as is required by applicable law and regulations (although the Buyer shall be consulted by the Company in connection with any such press release prior to its release and shall be provided with a copy thereof and be given an opportunity to comment thereon).
