Common use of PREDENCE Clause in Contracts

PREDENCE. The separate, written RSA Ordering Agreement shall govern the following: (i) Distributor’s purchase of products and services from RSA or a RSA Affiliate and (ii) Distributor’s rights to market and distribute such products and services to Resellers in the geographic or market segment described in the Distribution Agreement. To the extent there are any conflicting provisions regarding SecurWorld Program, Information, Confidential Information, incentives, rebates, pricing (each provided in connection with the SecurWorld Program) or interpretation of this Agreement, this Distributor Addendum shall prevail and control, followed by the Agreement, then by the Distribution Agreement. EXHIBIT C MSSP ADDENDUM This MSSP Addendum (the “MSSP Addendum”) is incorporated by reference into the RSA SecurWorld Partner Program Agreement only for Partners who have been authorized in writing by RSA as an MSSP. Unless otherwise specified herein, all capitalized terms not defined herein shall have the meanings set forth in the Agreement. This MSSP Addendum constitutes a supplement to the Agreement for MSSPs. All terms of the Agreement shall remain in full force and effect except to the extent this MSSP Addendum expressly modifies or conflicts with the terms thereof, in which case the terms in this MSSP Addendum shall take precedence.
