Prepayments and Releases. (a) The Borrower may prepay the Tranche A Base Rate Loans upon one (1) Business Day's prior notice to the Agent (which shall promptly notify the Lenders), which notice shall specify the prepayment date (which shall be a Business Day) and the amount of the prepayment (which shall be at least $1,000,000 or the remaining aggregate principal balance outstanding on the Tranche A Notes) and may be revocable or irrevocable and effective only upon receipt by the Agent, provided that interest on the principal prepaid, accrued to the prepayment date, shall be paid on the prepayment date. The Borrower may prepay all or any portion of Tranche A Eurodollar Loans upon not less than three (3) Business Day's prior notice to the Agent (which shall promptly notify the Lenders), which notice shall specify the prepayment date (which shall be a Business Day) and the amount of the prepayment (which shall be at least $1,000,000 or the remaining aggregate principal balance outstanding on the Tranche A Notes) and may be revocable or irrevocable and effective only upon receipt by the Agent, provided that interest on the principal prepaid, accrued to the prepayment date, shall be paid on the prepayment date. In addition, prepayments of Tranche A Eurodollar Loans shall be subject to the terms of Section 5.05.(b) If, after giving effect to any termination or reduction of the Aggregate Maximum Tranche A Credit Amounts pursuant to Section 2.03(b), the outstanding aggregate principal amount of the Tranche A Loans plus the Tranche A LC Exposure exceeds the Aggregate Maximum Tranche A Credit Amounts, the Borrower shall (i) prepay the Tranche A Loans on the date of such termination or reduction in an aggregate principal amount equal to the excess, together with interest on the principal amount paid accrued to the date of such prepayment and (ii) if any excess remains after prepaying all of the Tranche A Loans, pay to the Agent on behalf of the Lenders an amount equal to the excess to be held as cash collateral as provided in Section 2.10(b) hereof.
