Presumption of Right to Indemnification. Upon submission of an Indemnification Notice to the Corporation, the Board shall review such Notice and endeavor to determine whether the Indemnitee is entitled to indemnification under this Agreement with respect to the matters described therein. As of the Evaluation Date, unless the Board has reasonably determined that the Indemnitee is not entitled to indemnification under this Agreement with respect to the matters described in such Indemnification Notice, there shall be created a presumption that the Indemnitee is entitled to such indemnification. Such presumption shall continue, and indemnification and payment shall be provided under this Agreement, unless and such time as the Board shall reasonably determine that the Indemnitee is not entitled to indemnification under this Agreement. This paragraph is procedural only and shall not affect the right of the Indemnitee to indemnification under this Agreement. Any determination by the Board that the Indemnitee is not entitled to indemnification under this Agreement and any failure to make any payments requested in an Indemnification Notice or otherwise shall be subject to judicial review.

Presumption of Right to Indemnification. It shall initially be presumed in all cases that Indemnitee is entitled to indemnification, that Indemnitee may establish a conclusive presumption of any fact necessary to such a determination by delivering to the Company a declaration made under penalty of perjury that such fact is true, unless the Company shall deliver to Indemnitee a written notice stating that the Company believes that a determination is required under applicable law pursuant to Section 3.3(c) as to whether Indemnitee is entitled to indemnification hereunder, and the Company is promptly and diligently proceeding with such determination. In such case, such notice will be given to Indemnitee within thirty (30) days after the Company’s receipt of Indemnitee’s initial written request for indemnification. If the Company does not give such notice within such thirty (30) day period, Indemnitee shall be conclusively presumed to be entitled to indemnification hereunder, and in such case the Company hereby agrees, to the fullest extent permitted by law, not to assert otherwise.
Presumption of Right to Indemnification. If a director or officer requests pursuant to Section 6.6 that the determination as to whether the claimant is entitled to indemnification be made by or at the direction of the Board of Directors (in the case of a claimant who is a present or former director or officer of the corporation) or by an officer of the corporation authorized to make such determination (in the case of a claimant who is not a present or former director or officer of the corporation), the claimant shall be conclusively presumed to have been determined pursuant to Section 6.6 to be entitled to indemnification if: (i) in the case of a claimant who is a present or former director or officer of the Corporation: (a)(1) within fifteen days after the next regularly scheduled meeting of the Board of Directors following receipt by the corporation of the request therefor, the Board of Directors shall not have resolved by majority vote of the Disinterested Directors to submit such determination to: (x) Independent Counsel for its determination; or (y) the stockholders for their determination at the next annual meeting, or any special meeting that may be held earlier, after such receipt; and (2) within sixty days after receipt by the corporation of the request therefor (or within ninety days after such receipt if the Board of Directors in good faith determines that additional time is required by it for the determination and, prior to expiration of such sixty-day period, notifies the claimant thereof), the Board of Directors shall not have made the determination by a majority vote of the Disinterested Directors; or (b) after a resolution of the Board of Directors, timely made pursuant to clause (a)(1)(y) above, to submit the determination to the stockholders, the stockholders meeting at which the determination is to be made shall not have been held on or before the date prescribed (or on or before a later date, not to exceed sixty days beyond the original date, to which such meeting may have been postponed or adjourned on good cause by the Board of Directors acting in good faith); or (ii) in the case of a claimant who is not a present or former director or officer of the corporation, within sixty days after receipt by the corporation of the request therefor (or within ninety days after such receipt if an officer of the corporation authorized to make such determination in good faith determines that additional time is required for the determination and, prior to expiration of such sixty-day period...
Presumption of Right to Indemnification. In making a determination with respect to entitlement to indemnification hereunder, the person or persons or entity making such determination shall, to the fullest extent not prohibited by law, presume that Indemnitee is entitled to indemnification under this Agreement if Indemnitee has submitted a request for indemnification in accordance with Section 3.3(a) of this Agreement, and the Company shall, to the fullest extent not prohibited by law, have the burden of proof to overcome that presumption in connection with the making by any person, persons or entity of any determination contrary to that presumption. Neither the failure of the Company (including by its directors or independent legal counsel) to have made a determination prior to the commencement of any action pursuant to this Agreement that indemnification is proper in the circumstances because Indemnitee has met the applicable standard of conduct, nor an actual determination by the Company (including by its directors or independent legal counsel) that Indemnitee has not met such applicable standard of conduct, shall be a defense to the action or create a presumption that Indemnitee has not met the applicable standard of conduct.
Presumption of Right to Indemnification. In connection with any determination as to whether Indemnitee is entitled to be indemnified hereunder, there will be a presumption that Indemnitee is so entitled, which presumption the Company may overcome only by its adducing clear and convincing evidence to the contrary.

  • Determination of Right to Indemnification (a) To the extent that Indemnitee shall have been successful on the merits or otherwise in defense of any Indemnifiable Claim or any portion thereof or in defense of any issue or matter therein, including, without limitation, dismissal without prejudice, Indemnitee shall be indemnified against all Indemnifiable Losses relating to, arising out of or resulting from such Indemnifiable Claim in accordance with Section 2 and no Standard of Conduct Determination (as defined in Section 7(b)) shall be required.

If any indemnity furnished to any Agent, Issuing Bank or Swing Line Lenders, for any purpose shall, in the opinion of such Agent, Issuing Bank or Swing Line Lender, as applicable, be insufficient or become impaired, such Agent, Issuing Bank or Swing Line Lender, as applicable, may call for additional indemnity and cease, or not commence, to do the acts indemnified against until such additional indemnity is furnished; provided, that in no event shall this sentence require any Lender to indemnify any Agent, Issuing Bank or Swing Line Lender against any liability, obligation, loss, damage, penalty, action, judgment, suit, cost, expense or disbursement in excess of such Lender’s Pro Rata Share thereof; and provided, further, that this sentence shall not be deemed to require any Lender to indemnify any Agent, Issuing Bank or Swing Line Lender against any liability, obligation, loss, damage, penalty, action, judgment, suit, cost, expense or disbursement described in the proviso in the immediately preceding sentence.

  • Procedures and Presumptions for Determination of Entitlement to Indemnification It is the intent of this Agreement to secure for Indemnitee rights of indemnity that are as favorable as may be permitted under the DGCL and public policy of the State of Delaware.   • Procedures Relating to Indemnification for Third Party Claims (a) In order for a party (the “indemnified party”) to be entitled to any indemnification provided for under this Agreement in respect of, arising out of or involving a claim or demand made by any person against the indemnified party (a “Third Party Claim”), such indemnified party must notify the indemnifying party in writing, and in reasonable detail, of the Third Party Claim within ten (10) business days after receipt by such indemnified party of written notice of the Third Party Claim; provided, however, that failure to give such notification shall not affect the indemnification provided hereunder except to the extent the indemnifying party shall have been prejudiced as a result of such failure (except that the indemnifying party shall not be liable for any expenses incurred during the period in which the indemnified party failed to give such notice). Thereafter, the indemnified party shall deliver to the indemnifying party, promptly after the indemnified party’s receipt thereof, copies of all notices and documents (including court papers) received by the indemnified party relating to the Third Party Claim.
