Common use of Prevention of Corruption and Fraud Clause in Contracts

Prevention of Corruption and Fraud. 22.1 The Supplier shall not offer or give (or agree to offer or give) to S4C or any other public body or any person employed by or on behalf of S4C or any other public body any gift or consideration of any kind as an inducement or reward for doing, refraining from doing, or for having done or refrained from doing, any improper act in relation to the obtaining or execution of the Agreement or any other contract with S4C or any other public body, or for showing or refraining from showing favour or disfavour to any person in relation to the Agreement or any such contract. 22.2 The Supplier warrants that it has not paid commission or agreed to pay commission to S4C or any other public body or any person employed by or on behalf of S4C or any other public body in connection with the Agreement. 22.3 The Supplier shall take all reasonable steps to prevent Fraud by the Supplier and/or its staff (including its shareholders, members, directors) in connection with the receipt of monies from S4C. The Supplier shall notify S4C immediately if it has reason to suspect that any Fraud has occurred or is occurring or is likely to occur. 22.4 If the Supplier, its staff or any person acting on behalf of the Supplier acts in a way prohibited by clauses 22.1 or 22.2 above, or commits Fraud in relation to this Agreement, or any other contract with S4C, S4C may give written notice to the Supplier to either terminate the Agreement immediately and/or recover in full from the Supplier any loss sustained by S4C in consequence of any breach of this clause.

The Supplier S4C and shall notify S4C immediately if it has reason to suspect that any Fraud has occurred or is occurring or is likely to occur. 22.4 21.4 If the SupplierCompany, its staff Staff or any person anyone acting on behalf of the Supplier acts Company’s behalf, engages in a way conduct prohibited by clauses 22.1 21.1 or 22.2 above, or 21.2 and/or commits Fraud in relation to this Agreement, or any other contract with S4C, S4C may give written notice to the Supplier to either may: terminate the Agreement immediately and recover from the Company the amount of any loss suffered by S4C resulting from such termination, including the cost reasonably incurred by S4C of making other arrangements for the supply of the Services and any additional expenditure incurred by S4C throughout the remainder of the Term; and/or recover in full from the Supplier Company any other loss sustained by S4C in consequence of any breach of this clausethose clauses.

Prevention of Corruption and Fraud. 22.1 17.1 The Supplier Translator shall not offer or give (give, or agree to offer or give) , to S4C or any other public body or any person employed by or on behalf of S4C or any other public body any gift or consideration of any kind as an inducement or reward for doing, refraining from doing, or for having done or refrained from doing, any improper act in relation to the obtaining or execution of the Agreement or any other contract with S4C or any other public body, or for showing or refraining from showing favour or disfavour to any person in relation to the Agreement or any such contract. 22.2 17.2 The Supplier Translator warrants that it has not paid commission or agreed to pay commission to S4C or any other public body or any person employed by or on behalf of S4C or any other public body in connection with the Agreement. 22.3 17.3 The Supplier Translator shall take all reasonable steps to prevent Fraud by the Supplier Translator and/or its staff Staff (including its shareholders, members, directors) in connection with the receipt of monies from S4C. The Supplier S4C and shall notify S4C immediately if it has reason to suspect that any Fraud has occurred or is occurring or is likely to occur. 22.4 17.4 If the SupplierTranslator, its staff Staff or any person anyone acting on behalf of the Supplier acts Translator’s behalf, engages in a way conduct prohibited by clauses 22.1 17.1 or 22.2 above, or 17.2 and/or commits Fraud in relation to this Agreement, or any other contract with S4C, S4C may give written notice to the Supplier to either may: 17.4.1 terminate the Agreement immediately and/or and recover from the Translator the amount of any loss suffered by S4C resulting from such termination, including the cost reasonably incurred by S4C of making other arrangements for the supply of the Services and any additional expenditure incurred by S4C throughout the remainder of the Term; and/or 17.4.2 recover in full from the Supplier Translator any other loss sustained by S4C in consequence of any breach of this clausethose clauses.

The Supplier S4C and shall notify S4C immediately if it has reason to suspect that any Fraud has occurred or is occurring or is likely to occur. 22.4 19.4 If the SupplierCompany, its staff Staff or any person anyone acting on behalf of the Supplier acts Company’s behalf, engages in a way conduct prohibited by clauses 22.1 19.1 or 22.2 above, or 19.2 and/or commits Fraud in relation to this Agreement, or any other contract with S4C, S4C may give written notice to the Supplier to either may: 19.4.1 terminate the Agreement immediately and/or and recover from the Company the amount of any loss suffered by S4C resulting from such termination, including the cost reasonably incurred by S4C of making other arrangements for the supply of the Services and any additional expenditure incurred by S4C throughout the remainder of the Term; and/or 19.4.2 recover in full from the Supplier Company any other loss sustained by S4C in consequence of any breach of this clausethose clauses.

The Supplier S4C and shall notify S4C immediately if it has reason to suspect that any Fraud has occurred or is occurring or is likely to occur. 22.4 24.4 If the SupplierCompany, its staff Staff or any person anyone acting on behalf of the Supplier acts Company’s behalf, engages in a way conduct prohibited by clauses 22.1 24.1 or 22.2 above, or 24.2 and/or commits Fraud in relation to this Agreement, or any other contract with S4C, S4C may give written notice to the Supplier to either may: 24.4.1 terminate the Agreement immediately and/or and recover from the Company the amount of any loss suffered by S4C resulting from such termination, including the cost reasonably incurred by S4C of making other arrangements for the supply of the Services and any additional expenditure incurred by S4C throughout the remainder of the Term; and/or 24.4.2 recover in full from the Supplier Company any other loss sustained by S4C in consequence of any breach of this clausethose clauses.

The Supplier S4C and shall notify S4C immediately if it has reason to suspect that any Fraud has occurred or is occurring or is likely to occur. 22.4 20.4 If the Supplier, its staff or any person anyone acting on behalf of the Supplier acts Supplier’s behalf, engages in a way conduct prohibited by clauses 22.1 20.1 or 22.2 above, or 20.2 and/or commits Fraud in relation to this Agreement, or any other contract with S4C, S4C may give written notice to the Supplier to either may: terminate the Agreement immediately and/or and recover in full from the Supplier the amount of any loss sustained suffered by S4C in consequence resulting from such termination, including the cost reasonably incurred by S4C of making other arrangements for the supply of the Services and any breach additional expenditure incurred by S4C throughout the remainder of this clause.the Term; and/or

The Supplier S4C and shall notify S4C immediately if it has reason to suspect that any Fraud has occurred or is occurring or is likely to occur. 22.4 27.4 If the SupplierCompany, its staff Staff or any person anyone acting on behalf of the Supplier acts Company’s behalf, engages in a way conduct prohibited by clauses 22.1 27.1 or 22.2 above, or 27.2 and/or commits Fraud in relation to this Agreement, or any other contract with S4C, S4C may give written notice to the Supplier to either may: 27.4.1 terminate the Agreement immediately and/or and recover from the Company the amount of any loss suffered by S4C resulting from such termination, including the cost reasonably incurred by S4C of making other arrangements for the supply of the Services and any additional expenditure incurred by S4C throughout the remainder of the Term; and/or 24.4.2 recover in full from the Supplier Company any other loss sustained by S4C in consequence of any breach of this clausethose clauses.
