Common use of Prevention of Corruption and Fraud Clause in Contracts

Prevention of Corruption and Fraud. 13.1 Both IMELS and FAO are firmly committed to preventing and detecting fraudulent and corrupt practices. Consistently with the UN Charter, the Standards of Conduct for the International Civil Service, the United Nations Staff Rules and Regulations, and FAO Financial Rules and Regulations and procurement rules. FAO will use reasonable efforts to ensure that the utilization of the Contribution conforms to the highest standard of ethical conduct and that every part of the Organization, as well as all individuals acting on behalf of FAO, observe the highest standard of ethics and integrity. 13.2 In accordance with FAO’s regulations, rules and directives, any allegations of fraud and corruption in connection with the implementation of the Project are required to be reported to the Office of Inspector General (OIG) in a timely manner. Credible allegations will be investigated by OIG in accordance with its regulations, rules, policies and procedures. FAO will, in a timely manner and consistent with its regulations, rules, policies and procedures, provide details to IMELS of the outcome of substantiated allegations of fraud and corruption, along with details of action taken by FAO. 13.3 Following the conclusion of any investigation which identifies fraud or corruption involving any activities funded in whole or in part with a Contribution made under this Agreement, FAO will: a. Use reasonable efforts to recover any part of the Contribution, which OIG has established as being diverted through fraud or corruption. b. As required by IMELS, and following consultations between the Parties, reimburse to IMELS any part of the Contribution which FAO has recovered further to sub-section (a) above, or credit it to a mutually agreed activity. 13.4 Any information provided to IMELS in relation to any matters arising under the Article shall be treated by IMELS as strictly confidential. 13.5 Any action further to the above paragraphs shall be consistent with FAO regulations, rules and directives.

FAO Combatting Fraud and Corruption, and UNICEF’s Supply Manual, UNICEF will use reasonable efforts to ensure that the utilization of the Contribution conforms to the highest standard of ethical conduct and that every part of the Organizationorganization, as well as all individuals acting on behalf of FAOUNICEF, observe the highest standard of ethics and integrity. 13.2 In accordance with FAO’s 2. UNICEF will continue to maintain regulations, rules rules, policies, procedures and directives, requiring that any allegations of fraud and corruption (as defined in connection with the implementation of the Project UNICEF’s Policy Prohibiting and Combatting Fraud and Corruption) are required to be reported to the UNICEF’s Office of Inspector General Internal Audit and Investigation (OIG“OIAI”) in a timely and accurate manner. Credible allegations Allegations will be investigated by OIG OIAI in accordance with its UNICEF regulations, rules, policies and procedures. FAO will, in a timely manner and consistent with its regulations, rules, policies and procedures, provide details to IMELS of the outcome of substantiated allegations of fraud and corruption, along with details of action taken by FAO. 13.3 3. Following the conclusion of any investigation which identifies credible allegations of fraud or corruption involving any activities funded in whole or in part with a Contribution made under this Agreementthe Contribution, FAO UNICEF will: a. Use (a) be responsible for taking reasonable efforts measures to recover any part of the Contribution, which OIG OIAI has established as being diverted through fraud or corruption.; b. As (b) in connection with (a) above, where appropriate, refer the matter to the appropriate authorities of the member state, in accordance with the provisions of General Assembly resolution 62/63; and (c) as required by IMELSthe Donor, and following consultations between the Parties, reimburse to IMELS the Donor any part of the Contribution which FAO UNICEF has recovered further to sub-section (a) above, or credit it to a mutually agreed activity. 13.4 4. Any information provided to IMELS the Donor in relation to any matters arising under the this Article shall will be treated by IMELS the Donor as strictly confidentialconfidential to ensure, inter alia, the probity of any investigation, the protection of sensitive information, the safety and security of persons and respect for the due process rights of all involved. The Donor will also ensure that any information provided under this Article will be available solely to those who strictly require access to it. The Donor will obtain the express written authorization of UNICEF for any other use of the information, including its disclosure in any legal proceeding. 13.5 5. Any action further to the above paragraphs shall will be consistent with FAO UNICEF regulations, rules rules, policies and procedures, and directives.

UNDP, in accordance with FAO’s its regulations, rules and directives, will ensure that any allegations of fraud and corruption in connection with the implementation of the Project are required to be reported to the Office of Inspector General Audit and Investigations (OIGOAI) in a timely manner. Credible allegations will be investigated by OIG OAI in accordance with its regulations, rules, policies and procedures. FAO UNDP will, in a timely manner and consistent with its regulations, rules, policies and procedures, provide details to IMELS the Donor of the outcome of substantiated allegations of fraud and corruption, along with details of action taken by FAOUNDP. 13.3 3. Following the conclusion of any investigation which identifies fraud or corruption involving any activities funded in whole or in part with a Contribution made under this Agreement, FAO UNDP will: a. Use reasonable efforts to recover any part of the Contribution, which OIG OAI has established as being diverted through fraud or corruption.; b. In connection with (a) above, in consultation with the UN Office of Legal Affairs, give proper consideration to referring the matter to the appropriate authorities of the Member State where the fraud or corruption is believed to have occurred and to the provisions of General Assembly resolution 62/63; and c. As required by IMELSthe Donor and AICS, and following consultations between the Parties, reimburse to IMELS the Donor and AICS any part of the Contribution which FAO UNDP has recovered further to sub-section (a) above, or credit it to a mutually agreed activity. 13.4 4. Any information provided to IMELS the Donor and AICS in relation to any matters arising under the Article shall be treated by IMELS the Donor and AICS as strictly confidential. 13.5 . Any action further to the above paragraphs shall be consistent with FAO UNDP regulations, rules and directives.

FAO will, OIAI will give prompt notification on a confidential basis to the Donor of any investigations that it is undertaking or proposes to undertake in a timely manner and consistent with its regulations, rules, policies and procedures, provide details relation to IMELS of the outcome of substantiated allegations of fraud and corruptioncorruption involving any activities funded in whole or part with the Contribution under this Arrangement, along with details to the extent that such notification will not, in the opinion of action taken by FAOOIAI jeopardize the proper conduct of the investigation into such allegations or the due process rights of those under investigation. 13.3 3. Following the conclusion of any investigation which identifies fraud or corruption involving any activities funded in whole or in part with a Contribution made under this Agreementthe Contribution, FAO UNICEF will: a. Use (a) be responsible for taking reasonable efforts measures to recover any part of the Contribution, which OIG OIAI has established as being diverted through fraud or corruption.; b.
