PRICE 2. 1 The Principal authorises the Licensee to sell the Business at the price set out in Item B of the Particulars or such other price the Principal approves. The price includes all that goodwill, plant, fittings and stock at valuation including the amount outstanding under any encumbrance . The value of any goodwill, plant, equipment, furniture and effect and stock in trade is to be sold subject to the existing encumbrances the liability for which shall pass to the Purchaser subject to the consent of the approval of the creditor or the lessor. 3.0

PRICE 2. Price when Clearinghouse’s services are NOT used. The second price shall be the price charged when the City does not use a clearinghouse’s services as described above. This means the City will transmit the ad copy directly to the outreach papers, the outreach papers will invoice the City directly, and the City will pay the outreach papers directly. PRICE 2. 4.1 Prices shall remain firm and fixed and shall not be subject to any increase or escalation whatsoever for the duration of the Purchase Contract (unless a variation to a Purchasing Agreement is agreed by means of a BOC Purchasing Agreement Amendment).

  • Purchase Price; Payment of Purchase Price In addition to the Assumed Liabilities described below, the aggregate consideration for the Subject Assets (the "Purchase Price") shall be the amount equal to $1.00 (the "Purchase Price").
