Prior to Conveyance. If, prior to Seller’s conveyance of the Property, Buyer assigns or attempts to assign this Agreement or any rights hereunder or fails to pay the Purchase Price and take title to the Property upon Seller’s offer of conveyance, the Seller may, at its option, terminate this Agreement and retain any fees submitted by Buyer as liquidated damages.
Prior to Conveyance. If, prior to City’s conveyance of the Property, Buyer assigns or attempts to assign this Agreement or any rights hereunder or fails to pay the Purchase Price and take title to the Property upon City’s offer of conveyance, the City may, at its option, terminate this Agreement and retain any fees submitted by Buyer as liquidated damages.
Prior to Conveyance. Upon an Event of Default prior to conveyance of the Property, this Agreement and any rights of Developer arising hereunder or otherwise with respect to the City or the Property, may, at the option of the City, be terminated by the City, except as to parcels previously conveyed where a Certificate of Completion has been issued by the City. In the event of such termination, the Advance may be retained by the City as its property without any deduction, offset, or recoupment whatsoever.
Prior to Conveyance. If, prior to Agency’s conveyance of the Property, Redeveloper assigns or attempts to assign this Agreement or any rights hereunder or fails to pay the Purchase Price and take title to the Property upon Agency’s offer of conveyance, the Agency may, at its option, terminate this Agreement and retain any fees submitted by Redeveloper as liquidated damages.
Prior to Conveyance. If, prior to Xxxxxx’s conveyance of the Property, Xxxxx assigns or attempts to assign this Agreement or any rights hereunder or fails to pay the Purchase Price and take title to the Property upon Seller’s offer of conveyance, the Seller may, at its option, terminate this Agreement and retain any fees submitted by Buyer as liquidated damages.
Prior to Conveyance. In the event that prior to the conveyance of title to the Property to Purchaser, the Purchaser assigns or attempts to assign this Contract or any rights hereunder, except as provided for in Sections 10 and 11 hereof, or fails to pay the purchase price to Seller, then this Contract and the TDA’s Consent to the Partial Assignment of Contract for Sale of Land for Private Redevelopment dated January 31, 2000, as amended (insofar as the same covers the Property being purchased by Purchaser) may, at the option of the TDA, be terminated by the TDA and the Deposit retained by the TDA as liquidated damages. Xxxx, Seller, Purchaser and TDA agree that, in the event of any such termination by TDA, Seller may not proceed with a sale of the Property without the prior written consent of TDA.
Prior to Conveyance. In the event that, prior to conveyance of the Property by the City, the Developer shall be unable, after diligent effort, to obtain financing to construct the Improvements, as determined within the reasonable discretion of the City, on terms that would generally be considered satisfactory by builders or contractors for Improvements of the nature and type provided in the Construction Plans, then this Agreement shall be canceled in accordance with Section 9.03.
