Prior to Conveyance. If, prior to Seller’s conveyance of the Property, Buyer assigns or attempts to assign this Agreement or any rights hereunder or fails to pay the Purchase Price and take title to the Property upon Seller’s offer of conveyance, the Seller may, at its option, terminate this Agreement and retain any fees submitted by Buyer as liquidated damages.

In the event of such termination, the Advance may be retained by the City as its property without any deduction, offset, or recoupment whatsoever.

Xxxx, Seller, Purchaser and TDA agree that, in the event of any such termination by TDA, Seller may not proceed with a sale of the Property without the prior written consent of TDA.
Prior to Conveyance. In the event that, prior to conveyance of the Property by the City, the Developer shall be unable, after diligent effort, to obtain financing to construct the Improvements, as determined within the reasonable discretion of the City, on terms that would generally be considered satisfactory by builders or contractors for Improvements of the nature and type provided in the Construction Plans, then this Agreement shall be canceled in accordance with Section 9.03.
