Prior to the In. Service Dates of the Astoria-Xxxxxx Cable and the Upgrades, NYPA and Con Edison shall each perform, or their agents shall perform, a complete calibration test and functional trip test of the System Protection Facilities. At intervals suggested by Good Utility Practice and following any apparent malfunction of the System Protection Facilities, NYPA and Con Edison shall each perform both calibration and functional trip tests of its System Protection Facilities. These tests do not require the tripping of any in-service generation unit. These tests do, however, require that all protective relays and lockout contacts be activated.
Prior to the In. Service Date Shipper may assign all or a portion of its rights and obligations under this Agreement to any third party, provided (i) such third party satisfies the creditworthiness provisions set forth in Section 8 of this Agreement or (ii) Shipper continues to provide credit support which satisfies the creditworthiness provisions set forth in Section 8 of this Agreement for such third party’s obligations under this Agreement. Either Midla or Shipper may assign their rights and obligations under the Agreement to a trustee or trustees, individual or corporate, as security for bonds or other financing arrangements, obligations, or securities. In the event of such an assignment, the non‐assigning party shall execute such consents or acknowledgements of the assignment as may be reasonably necessary to support the financing arrangements; provided, however, that Shipper or Midla shall not be required to provide in such consents or acknowledgements any rights materially different from those set forth in this Agreement. Notwithstanding the foregoing, Midla may assign this Agreement to an Affiliate without the prior consent of Customer; provided, further, that any such assignment by Midla to an Affiliate of Midla shall not be effective as to Customer until Customer has received actual notice thereof.
