PROCEEDINGS SATISFACTORY TO BPFH. All proceedings to be taken by FSB in connection with the consummation of the Closing and the other transactions contemplated hereby and all certificates, opinions, instruments and other documents required to effect the transactions contemplated hereby reasonably requested by BPFH will be reasonably satisfactory in form and substance to BPFH and its counsel.
