Process Agent Acceptance. A Process Agent Acceptance in respect of the Borrower, duly executed and delivered by the Process Agent.
Process Agent Acceptance. A letter from the Process Agent accepting its appointment as agent for each Loan Party.
Process Agent Acceptance. A letter from the Process Agent, in form and substance satisfactory to the Agent, accepting the appointment of the Process Agent by the Company.
Process Agent Acceptance. The Agent shall have received a counterpart of the Process Agent Acceptance, duly executed by the Process Agent, together with evidence of the appointment of the Process Agent by each Obligor.
Process Agent Acceptance. To the extent that such Subsidiary Borrower is a Foreign Borrower, an acceptance from the "Process Agent" under and as defined in such Subsidiary Borrower Designation Letter, duly executed and delivered by such Process Agent.
Process Agent Acceptance. (i) A Process Agent Acceptance, duly executed and delivered by the Process Agent, in substantially the form of Exhibit J hereto and (ii) a Mexican law notarized power of attorney of the Borrower and each Guarantor other than Vitro Packaging appointing such Process Agent.
Process Agent Acceptance. Each Loan Party shall have appointed the Process Agent as its agent for service of process in New York in respect of any dispute arising from or relating to this Agreement and the other Loan Documents to which it is a party, and shall have furnished evidence of such appointment and a Process Agent Acceptance, duly executed and delivered by the Process Agent.
Process Agent Acceptance. The Administrative Agent shall have received evidence of the acceptance by the Person appointed by certain of the Obligors pursuant to Section 11.13(d) to act as agent for service of process.
Process Agent Acceptance. A letter of acceptance, duly executed and delivered by the Process Agent, in a form reasonably satisfactory to the Administrative Agent. The Administrative Agent shall notify the Borrower and the Lenders of the Effective Date, and such notice shall be conclusive and binding.
Process Agent Acceptance. A letter from the Process Agent to the Agent, in form and substance satisfactory to the Agent, accepting the appointment of the Process Agent by the Obligors operating in the Commonwealth (other than Xxxxxxx and Guest Choice) as provided in Section 12.10(c) hereof.
