Common use of Product and Service Warranties Clause in Contracts

Product and Service Warranties. Except as set forth on Schedule 3(k), (i) there are no warranties, express or implied, written or oral, with respect to the Products or Services; (ii) there are no pending or, to the Knowledge of the Target, threatened claims with respect to any such warranty, and neither the Target nor any of its Subsidiaries has any liability with respect to any such warranty, whether known or unknown, absolute, accrued, contingent or otherwise and whether due or to become due; and (iii) there are no material product or service liability claims (whether arising for breach of warranty or contract, or for negligences or other tort, or under any statute) against or involving the Target or any of its Subsidiaries or any Product or Service and no such claims have been settled, adjudicated or otherwise disposed of since January 31, 1996.
