Common use of Product Water Deliveries Clause in Contracts

Product Water Deliveries. The Advisory Committee shall meet not less than quarterly to prepare a monthly schedule of estimated Product Water deliveries that coordinates MCWD's and CAW's rights to Product Water produced under this Agreement and ensures that the CAW Allocation and the MCWD Annual Allocation are fully met; provided, however, such schedule shall recognize the priority of CAW to 10 MGD of Product Water during CAW's Peak Demand Period (the “Water Delivery Schedule”). The Parties intend that CAW's requirement for 10 MGD of Product Water will be satisfied during the Peak Demand Period and, subject to the terms of Section 9.6, for the MCWD Annual Allocation to be satisfied during those portions of the Calendar Year other than the Peak Demand Period. During a Critically Dry Year, taking into account and satisfying the MCWD Agreed Allocation (as the same is subject to terms of Section 9.6), CAW shall be authorized to take and receive up to 10,900 AFY, if feasible, from the Regional Desalination Project for distribution to its customers. Notwithstanding the foregoing, even if there is a Critically Dry Year or successive, multiple Critically Dry Years which occur during the Term of this Agreement, MCWD must have received the MCWD Annual Allocation in accordance with the terms of this Agreement and subject to the true-up provisions of Section 9.6.
