Production Plan. Promptly after the Effective Date, the Parties will discuss and prepare a Production Plan covering the production of Product during Phase I (the "Phase I Production Plan"). A draft outline of the Phase I Production Plan is included in Schedule 2.1 attached hereto and hereby incorporated herein by reference. After the Parties have verbally agreed on a Phase I Production Plan, CBSW will deliver such plan to Client for approval. The Phase I Production Plan will not be binding on the Parties until signed by both Parties.
Production Plan. Promptly after initiation of Phase II, CBSW and Client will meet to create a Production Plan covering (a) the design and construction of the Custom Production Suite (including dimension, layout, and equipment requirements, as agreed upon by the Parties based on projections of commercial demand for Product), and (b) the transfer of Product production to the Custom Production Suite (the "Phase II Production Plan"). Production Plan. Together with the draft version of the Master Production Record described in Section 2.5.3 above, CBSW will deliver to Clients for review and comment, a proposed final plan describing the activities to be performed by CBSW, or to be subcontracted by CBSW to Third Parties, in the production of the Product (the “Production Plan”). CBSW will deliver the proposed final Production Plan within the time period set forth in Schedule 3.1. A draft outline of the Production Plan is included in Schedule 3.1, attached hereto and hereby incorporated herein by reference. The final Production Plan will be binding on the Parties if and when signed by all Parties. If the Parties are unable to agree on a final Production Plan within 90 days after the time period specified in Schedule 3.1 for the first submission of such plan by CBSW to Clients, Clients may collectively agree to terminate this Agreement by written notice signed by each of them effective upon receipt by CBSW.

Production Plan. The Parties shall give their best efforts to formulate and agree on a production plan that accommodates the needs and constraints of both Parties (“Production Plan”). ANDON undertakes to confirm Production Plan at least [***] weeks prior to production date. ATCOR will also provide a shipment plan based on the Production Plan [***] weeks prior to shipment. [***] Certain confidential information contained in this document, marked by brackets, has been omitted because it is both (i) not material and (ii) would be competitively harmful if publicly disclosed.
Production Plan. Lonza plans to carry out additional development runs including final engineering runs. Lonza will then be prepared for the isolation and expansion of a 30-40 cm2 biopsy per patient over a 4-6 week time period into multiple ESS grafts. Two production runs of ESS grafts will result in a final total area of 3,600 to 4,200 cm2 for each patient. The ESS grafts will be applied in two separate procedures approximately two weeks apart. The second cell expansion will be performed using the cryopreserved P1 cells (as referenced in section 4.3.1).
Production Plan. No later than three (3) months prior to a scheduled Licensed Product, Leader shall make available to Women Grow for inspection and approval, the production plan (including content, venue, itinerary, schedules, and formats) thereof (“Sample”); and
Production Plan. Within 60 days after delivery to Omrix of the first Forecast for any Product, Omrix shall provide to Ethicon its five (5) month production plan for such Product (each, a "Production Plan") for such Product for completing implementation of procedures and facilities for producing the Products that satisfy the first six (6) months of the Forecast. In its manufacture and supply of each Product hereunder, Omrix agrees to use commercially reasonable efforts to comply with the Production Plan for such Product. Ethicon may request other changes and Omrix agrees to consider such other changes in good faith. The Production Plan will be updated as necessary to reflect updated Forecasts; provided that nothing herein shall reduce or restrict Ethicon's or Omrix's respective binding commitments pursuant to Section 4.5 above. In addition, each Production Plan will include a plan and projected timetable for the establishment of an alternate production facility in the event Omrix's primary production facility is incapable (either by reason of force majeure, regulatory action or otherwise) of supplying Products as contemplated by this Agreement.
Production Plan. It is the intention of the Parties that REMEC shall produce and that SpectraPoint shall purchase substantial quantities of such new Products, based on the capabilities and demonstrated manufacturing success of REMEC and the Product demand of SpectraPoint. Promptly upon approval by both Parties of a Product Development Plan for a new Product, the Product Development Team shall develop a plan for the manufacture of the new Product ("Production Plan"). The Production Plan shall identify: an agreed upon baseline Product price on a per unit basis; the target Product volume for the baseline price; an agreed-upon per-unit Product price reduction curve for volumes greater than the target volume; and, a delivery schedule for the volume quantities identified. The delivery schedules for material to be provided by SpectraPoint, if any, shall also be contained in the Production Plan.
Production Plan. Development of the Product will be completed in a number of incremental stages in order to ensure the earliest delivery of baseline functionality and therefore ensure a faster return on the investment. The first phase, previously authorized by a separate agreement, is a one-month technical analysis effort (fixed cost of $34,000), followed immediately by a second phase involving approximately five calendar months of main development work (cost $295,000). This agreement authorizes this second phase. After these two initial phases are complete, the parties anticipate engaging in continued maintenance of the Product. Quicksilver will be responsible for providing technical design, programming, and technical project management resources for the project. Quicksilver will be responsible for setup of server hardware and for the monthly maintenance of the system, costs for which will be paid by Teknik. The development team for the Product will include the following key personnel, plus additional personnel as appropriate: Bxxx Xxxxxx, Server Programmer Mxxx Xxxxxxxxx, Java Programmer Nxxx Xxxxx, Game Programmer Wxxxxxx Xxxxxx, Technical Manager Teknik will provide to Quicksilver a current concept document, user interface designs, artwork and any other materials which Teknik believes are necessary to clearly define the desired look and feel of the Product. Not later than June 1, 2003 the support requirements from AT&T (or other telco’s) will be determined by both parties. Teknik will obtain these requirements in a timely manner to meet the Product’s production requirements. Final Product specifications will be mutually agreed between the parties not later than the end of the first month of production on June 23, 2003. Not later than June 1, 2003 the parties will agree on product testing services to be provided by Teknik. As compensation for Quicksilver’s work on the Product, Teknik shall compensate Quicksilver for its costs in accordance with the Payment Schedule attached to this Letter as Exhibit A. Teknik shall pay the initial installment of $30,000 upon signing of this Letter, and shall pay Quicksilver upon presentation and approval of each statement of work detailing progress on the Product. The total agreed-upon cost of work to be performed upon signing of this Letter is $295,000, which shall only be modified upon written approval of the Governing Board.
