Common use of Prohibition Against Gifts Clause in Contracts

Prohibition Against Gifts. CONTRACTOR represents that CONTRACTOR is familiar with CITY’s prohibition against the acceptance of any gift by a CITY officer or employee, which prohibition is found in Chapter 12.08 of the San Xxxx Municipal Code. CONTRACTOR shall not offer any CITY officer or designated employee any gift prohibited by said Chapter. The offer or giving of any gift prohibited by Chapter 12.08 shall constitute a material breach of this Agreement and, in addition to any other remedy CITY may have in law or in equity, CITY may terminate this Agreement for such breach as provided in Section 19.4 of this Agreement.
