Project Operations Manual. 1. The Borrower shall maintain throughout Project implementation, a Project Operations Manual (“POM”), in substance and manner acceptable to the Bank, to carry out the Borrower’s Respective Parts of the Project; said POM shall include, inter alia, provisions on the following: (a) the parties responsible for carrying out the respective parts of the Project; (b) the coordination arrangements between the relevant parties for the day-to-day execution of the Project, including specifically between the PMU and the PIUs of the Municipal Sub-borrowers under Part A of the Project; (c) the detailed description of all activities under the Borrower’s Respective Parts of the Project supported under this Agreement, their sequencing and the prospective timetable and benchmarks in relation thereto; (d) the detailed policies and procedures for the implementation of the Borrower’s Respective Parts of the Project, including for the selection and management of relevant Project activities, specifically for Municipal Subprojects under Part A of the Project, inter alia: (i) the process for the Municipal Subproject applications; (ii) the evaluation, prioritization and selection of Municipal Subproject applications, including the detailed qualification and selection criteria; and (iii) the terms and conditions, and repayment terms, for Municipal Sub-loans and Municipal Sub-loan Agreements; (e) the environmental and social obligations, Environmental and Social Instruments, and arrangements, details on the function of the grievance redress mechanism(s), and gender and citizen engagement for the Borrower’s Respective Parts of the Project, consistent with the provisions of Section I.D of this Schedule 2 and the Environmental and Social Commitment Plan; (f) the financial management arrangements, requirements and detailed procedures consistent with the provisions of Section 5.09 of the General Conditions, including the functions, staffing, job descriptions (with special emphasis on the segregation of duties), workflows, internal controls and all financial management arrangements for the Borrower’s Respective Parts of the Project; (g) the guidelines and procedures for procurement consistent with the provisions of the Procurement Regulations; (h) the requirements of the Anti-Corruption Guidelines; and (i) the requirements and procedures for the monitoring, evaluation, reporting, and communications for the Borrower’s Respective Parts of the Project, including specifically, the frequency and content of environmental and social monitoring reports. 2. The Borrower shall carry out the Borrower’s Respective Parts of the Project, and cause the said Parts of the Project to be carried out, in accordance with the arrangements, procedures and guidelines set forth in the POM, provided, however, that in case of any conflict between the arrangements and procedures set out in the POM and the provisions of this Agreement, the provisions of this Agreement shall prevail. 3. The POM, and any provision thereof, shall not be assigned, amended, abrogated or waived, nor shall be permitted to be assigned, amended, abrogated or waived, without the prior written consent of the Bank; the POM may only be amended in consultation with, and after the approval of, the Bank.

The Borrower shall maintain maintain, throughout Project implementationthe implementation of Project, a Project Operations Manual (“the POM”), in substance and manner acceptable to the Bank, to carry out the Borrower’s Respective Parts of the Project; said POM which shall include, inter alia, provisions on the following: (a) the parties responsible for carrying out the respective parts of the Project; (b) the coordination arrangements between the relevant parties for the day-to-day execution of the Project, including specifically between the PMU and the PIUs of the Municipal Sub-borrowers under Part A of the Project; (c) the a detailed description of all activities under the Borrower’s Respective Parts of the Project supported under this Agreement, their sequencing and the prospective timetable and benchmarks in relation thereto; (db) the parties responsible for carrying out the Project and the coordination arrangements between the relevant parties; (c) the detailed policies policies, procedures, guidelines and procedures standard documents relating to the implementation of the Project (including the Reimbursable Financing Manual for the implementation of the Borrower’s Respective Parts Part 1 of the Project), which shall include the detailed description of program, the criteria and methodology for targeting beneficiaries, including communication and outreach activities to target female-led and/or female-owned MSMEs, differentiated loan terms, and arrangements for carrying out the selection and management annual surveys to measure the satisfaction of relevant Project activities, specifically for Municipal Subprojects under Part A of the Project, inter alia: beneficiaries (i) the process for the Municipal Subproject applicationswhich shall be gender-disaggregated); (ii) the evaluation, prioritization and selection of Municipal Subproject applications, including the detailed qualification and selection criteria; and (iii) the terms and conditions, and repayment terms, for Municipal Sub-loans and Municipal Sub-loan Agreements; (ed) the environmental and social obligations, Environmental obligations and Social Instruments, and arrangements, details on the function of the grievance redress mechanism(s), and gender and citizen engagement arrangements for the Borrower’s Respective Parts of the Project, consistent with the provisions of Environmental and Social Standards (“ESS”), and incorporating the requirements set forth under Section I.D of this Schedule 2 and 2, the Environmental and Social Commitment Plan, and the Borrower’s Environmental and Social Instruments; (fe) the financial management arrangements, requirements and detailed procedures consistent with the provisions of Section 5.09 of the General Conditions, including the functions, staffing, job descriptions (with special emphasis on the segregation of duties), workflows, internal controls and all financial management arrangements for the Borrower’s Respective Parts of the Project; (gf) the guidelines and procedures for procurement consistent with the provisions of the Procurement Regulations; (hg) the requirements of the Anti-Corruption Guidelines; and (ih) the requirements and procedures for the monitoring, evaluationevaluations, reporting, and communications for the Borrower’s Respective Parts of the Projectcommunications, including specifically, the frequency and content of environmental and social monitoring reportsreports for the Project. 2. The Borrower shall carry out the Borrower’s Respective Parts of the Project, and cause the said Parts of the Project to be carried out, in accordance with the arrangements, procedures and guidelines set forth in the POM, provided, however, that in case of any conflict between the arrangements and procedures set out in the POM POM, including the Reimbursable Financing Manual, and the provisions of this Agreement, the provisions of this Agreement shall prevail. 3. The POM, and any provision thereof, including the Reimbursable Financing Manual, shall not be assigned, amended, abrogated or waived, nor shall any provision thereof be permitted to be assigned, amended, abrogated or waived, without the prior written consent of the Bank; the POM may only be amended in consultation with, and after the approval of, the Bank.

Project Operations Manual. 1. The Borrower shall maintain throughout Borrower, through the PIU, shall: (a) adopt and, thereafter ensure that the Project implementationis implemented in accordance with, a Project an Operations Manual (“POM”)Manual, in substance and manner acceptable to the Bank, to carry out which shall include: (i) the Technical Guidelines and the Supplemental Technical Guidelines (Environment and Social Safeguards) and safeguards compliance indicators form; (ii) restrict any Sub-project contract with value of $400,000 or more equivalent; (iii) the Reference Unit Costs; (iv) the Eligibility Criteria for Outputs; (v) the VO Terms of Reference; (vi) the Verification and Reimbursement Procedures, including the method of Sample (which, except as may be otherwise agreed in writing between the Borrower and the Bank, will include every Pilot Local Government and twenty percent (20%) of total contracts per Pilot Province), determination of Qualifying Percentage and calculation of Advance Payment and Reimbursement; (vii) the form of and requirements for Verification Reports; (viii) the Borrower’s Respective Parts of the Projectcurrent annual DAK Transfer schedule; said POM shall include, inter alia, provisions on the following: (aix) the parties responsible for carrying out form of Commitment Letter and a copy of each Commitment Letter after signature by MOF and the respective parts Pilot Local Government; (x) the Anti-Corruption Guidelines and the Anti-Corruption Action Plan; (xi) the procurement procedures set forth in Section III of this Schedule 2; (xii) reporting requirements, financial management procedures and audit procedures as set forth in Section II of this Schedule 2; (xiii) the Project;Performance Indicators agreed between the Borrower and the Bank; and (xiv) the other implementation obligations set forth in this Schedule 2; and (b) the coordination arrangements between the relevant parties for the day-to-day execution of the Projectnot amend, including specifically between the PMU and the PIUs of the Municipal Sub-borrowers under Part A of the Project; (c) the detailed description of all activities under the Borrower’s Respective Parts of the Project supported under this Agreementsuspend, their sequencing and the prospective timetable and benchmarks in relation thereto; (d) the detailed policies and procedures for the implementation of the Borrower’s Respective Parts of the Projectabrogate, including for the selection and management of relevant Project activities, specifically for Municipal Subprojects under Part A of the Project, inter alia: (i) the process for the Municipal Subproject applications; (ii) the evaluation, prioritization and selection of Municipal Subproject applications, including the detailed qualification and selection criteria; and (iii) the terms and conditions, and repayment terms, for Municipal Sub-loans and Municipal Sub-loan Agreements; (e) the environmental and social obligations, Environmental and Social Instruments, and arrangements, details on the function of the grievance redress mechanism(s), and gender and citizen engagement for the Borrower’s Respective Parts of the Project, consistent with the provisions of Section I.D of this Schedule 2 and the Environmental and Social Commitment Plan; (f) the financial management arrangements, requirements and detailed procedures consistent with the provisions of Section 5.09 of the General Conditions, including the functions, staffing, job descriptions (with special emphasis on the segregation of duties), workflows, internal controls and all financial management arrangements for the Borrower’s Respective Parts of the Project; (g) the guidelines and procedures for procurement consistent with the repeal or waive any provisions of the Procurement Regulations; (h) the requirements of the Anti-Corruption Guidelines; and (i) the requirements and procedures for the monitoring, evaluation, reporting, and communications for the Borrower’s Respective Parts of the Project, including specifically, the frequency and content of environmental and social monitoring reports. 2. The Borrower shall carry out the Borrower’s Respective Parts of the Project, and cause the said Parts of the Project to be carried out, in accordance with the arrangements, procedures and guidelines set forth in the POM, provided, however, that in case of any conflict between the arrangements and procedures set out in the POM and the provisions of this Agreement, the provisions of this Agreement shall prevail. 3. The POM, and any provision thereof, shall not be assigned, amended, abrogated or waived, nor shall be permitted to be assigned, amended, abrogated or waived, Operations Manual without the prior written consent agreement of the Bank; the POM may only be amended in consultation with, Borrower and after the approval of, the Bank.

The Borrower shall maintain maintain, throughout Project implementation, a the Project Operations Manual (“POM”), in substance and manner form acceptable to the Bank, to carry out the Borrower’s Respective Parts of the Project; said POM which shall include, inter alia, provisions on the following: (a) a detailed description of the Project and the prospective timetable and milestones in relation thereto; (b) the parties responsible for carrying out the respective parts Project, including: (i) the staffing to be assigned to the Project Team (including the terms of reference of the Project;individual positions, and the distribution of the Project responsibilities); and (bii) the coordination arrangements between composition of the relevant parties Project Coordination Committee (including the terms of reference for the day-to-day execution of the Project, including specifically between the PMU and the PIUs of the Municipal Sub-borrowers under Part A of the ProjectCommittee); (c) the detailed description of all activities under the Borrower’s Respective Parts policies and procedures relating to implementation of the Project supported under addressed in this Agreement, their sequencing and the prospective timetable and benchmarks in relation thereto; (d) the detailed policies and procedures for the implementation of the Borrower’s Respective Parts of the Project, including for the selection and management of relevant Project activities, specifically for Municipal Subprojects under Part A of the Project, inter aliaspecifically: (i) the process eligibility criteria for selecting Sub-projects (including the Municipal Subproject applicationslist of Excluded Activities); (ii) the evaluation, prioritization and selection of Municipal Subproject applications, criteria for Sub-projects (including the detailed qualification and selection method for weighting the criteria; and); (iii) the terms definition for “substantial” greenhouse gas reductions; (iv) the methodology for assessing greenhouse gas and conditionsair pollutant emission reductions; (v) the approach for assessing earthquake and climate-induced risks in individual Subprojects; (vi) financial viability indicators (debt service coverage ratio and debt to equity ratio) for the Project portfolio; (vii) matters requiring Bank prior approval, and repayment terms, for Municipal including proposed Sub-loans greater than the equivalent of EUR 40,000,000 (or such amount as may be agreed to by the Bank in writing and Municipal incorporated in the POM); (viii) the terms and conditions for Sub-loans, including the Borrower’s on-lending costs to Sub-borrowers and the standard Sub-loan AgreementsAgreement; (eix) the areas of reporting to be included in the semi-annual Project Reports to the Bank, including on the Borrower’s environmental and social management system; (x) the approach for prioritizing gender-inclusive enterprises and for tracking and reporting against the related results indicator; (xi) the environmental and social obligationsobligations and arrangements for the Project including, inter alia: the requirements set forth in this Agreement, the Environmental and Social Commitment Plan, the Environmental and Social Instruments, and arrangements, the details on the function of the grievance redress mechanism(s)environmental and social screening, monitoring and gender and citizen engagement for the Borrower’s Respective Parts of the Project, consistent reporting procedures in line with the provisions of Section I.D of this Schedule 2 and the Environmental and Social Commitment PlanStandards; (fxii) the financial management arrangements, requirements and detailed procedures consistent with the provisions of Section 5.09 of the General Conditions, including which includes the functions, staffing, job descriptions (with special emphasis on the segregation of duties), workflows, internal controls controls, and all financial management arrangements for the Borrower’s Respective Parts of the Project; (g) the guidelines and procedures for procurement consistent with the provisions of the Procurement Regulations; (hxiii) the requirements of the Anti-Corruption Guidelines; and (ixiv) the requirements and procedures for the monitoring, evaluation, reporting, and communications for the Borrower’s Respective Parts of the Projectcommunications, including specifically, the frequency and content of environmental and social monitoring reports, for the Project. 2. The Borrower shall carry out the Borrower’s Respective Parts of the Project, and cause the said Parts of the Project to be carried out, in accordance with the arrangements, procedures and guidelines set forth in the POM, provided, however, that in case of any conflict between the arrangements and procedures set out in the POM and the provisions of this Agreement, the provisions of this Agreement shall prevail. 3. The Borrower Borrower, through OGM, shall maintain throughout Project implementation, a Project Operations Manual (“POM”), in substance and manner form acceptable to the Bank, to carry out the Borrower’s Respective Parts of the Project; said POM shall include, inter alia, provisions on the following: (a) the parties responsible for carrying out the respective parts of the Project; (b) the coordination arrangements between the relevant parties for the day-to-to- day execution of the Project, including specifically between the PMU and the PIUs of the Municipal Sub-borrowers under Part A of the Project; (c) the detailed description of all Project activities under the Borrower’s Respective Parts of the Project supported under this Agreement, their sequencing and the prospective timetable and benchmarks in relation thereto; (d) the detailed policies and procedures for the Project implementation of the Borrower’s Respective Parts of the Project, including for the selection and management of relevant Project activities, specifically for Municipal Subprojects under Part A of the Project, inter aliaincluding specifically: (i) the process for the Municipal Subproject applicationsselection and management of Project activities; (ii) the evaluationenvironmental and social obligations and arrangements for the Project that shall include, prioritization and selection of Municipal Subproject applications, including the detailed qualification and selection criteria; and (iii) the terms and conditions, and repayment terms, for Municipal Sub-loans and Municipal Sub-loan Agreements; (e) inter alia: the environmental and social obligationsrequirements set forth in this Agreement, the Environmental and Social Commitment Plan, the Environmental and Social Instruments, and arrangements, the details on the function of the grievance redress mechanism(s)environmental and social screening, monitoring and gender and citizen engagement reporting procedures for the Borrower’s Respective Parts of the Project, consistent Project activities in line with the provisions of Section I.D of this Schedule 2 and the Environmental and Social Commitment PlanStandards; (fiii) a financial management manual, covering the financial management arrangements, requirements and detailed procedures consistent with the provisions of Section 5.09 of the General Conditions, including the functions, staffing, job descriptions (with special emphasis on the segregation of duties), workflows, internal controls and all financial management arrangements for the Borrower’s Respective Parts of the Project; (giv) the guidelines and procedures for procurement consistent with the provisions of the Procurement Regulations; (hv) the requirements of the Anti-Corruption Guidelines; and (ivi) the requirements and procedures for the Project monitoring, evaluation, reporting, and communications for the Borrower’s Respective Parts of the Project, including specifically, the frequency and content of environmental and social monitoring reportscommunications. 2. The Borrower Borrower, through OGM, shall carry out the Borrower’s Respective Parts of the Project, and cause the said Parts of the Project to be carried out, in accordance with the arrangements, procedures and guidelines set forth in the POM, provided, however, that in case of any conflict between the arrangements and procedures set out in the POM and the provisions of this Agreement, the provisions of this Agreement shall prevail. 3. The Borrower Recipient shall maintain throughout Project implementationby not later than 60 days after Effective Date update the POM and thereafter carry out its Respective Parts of the Project, a as well as ensure that Yemen Partners carry out their activities under the Project, in accordance with the project operations manual (“Project Operations Manual (Manual”, or “POM”), in substance and manner acceptable satisfactory to the BankAssociation, to carry setting forth rules, methods, guidelines, and procedures for the carrying out the Borrower’s Respective Parts of the Project; said POM shall include, including, inter alia, provisions on the following: (a) detailed description of its Respective Parts of the parties responsible Project and institutional arrangements for carrying out the respective parts of implementing the Project; (b) the coordination arrangements between the relevant parties monitoring, evaluation, reporting, financial management and accounting, and governance procedures for the day-to-day execution of the Project, including specifically between the PMU and the PIUs of the Municipal Sub-borrowers under Part A of the Project; (c) the detailed description of all activities procedures for Cash for Nutrition under the Borrower’s Respective Parts Part 2.1(a) of the Project supported Project, Cash for Work subprojects under this AgreementPart 2.2 and Community Assets Subprojects under Part 2.3, their sequencing including, inter alia, eligibility criteria, payment methods, verification mechanisms, quality assessment procedures, payment approval process, and the prospective timetable related monitoring, reporting and benchmarks in relation theretoauditing requirements; (d) the detailed policies and procedures for the implementation of the Borrower’s Respective Parts Yemen Loan Guarantee Program under Part 2.4(a)(i) and 2.4(a)(ii) of the Project, including for the selection and management of relevant Project activities, specifically for Municipal Subprojects under Part A of the Project, inter alia: (i) the process for the Municipal Subproject applications; (ii) the evaluation, prioritization eligibility and selection of Municipal Subproject applications, including the detailed qualification criteria for Eligible MFIs and selection criteria; and (iii) the terms and conditions, and repayment terms, for Municipal Sub-loans and Municipal Sub-loan AgreementsEligible MSMEs to be covered by YLG’s portfolio guarantee; (e) the environmental and social obligations, Environmental and Social Instruments, and arrangements, details on the function detailed procedures for (i) IT enhancements of the grievance redress mechanism(s), and gender and citizen engagement for the Borrower’s Respective Parts selected MFIs under Part 2.4(a)(iv) of the Project, consistent with and (ii) enhancing the provisions of Section I.D of this Schedule 2 Village Saving and the Environmental and Social Commitment Plan; (fLoan Association initiative under Part 2.4(a)(iii) the financial management arrangements, requirements and detailed procedures consistent with the provisions of Section 5.09 of the General Conditions, including the functions, staffing, job descriptions (with special emphasis on the segregation of duties), workflows, internal controls and all financial management arrangements for the Borrower’s Respective Parts of the Project; (g) the guidelines and procedures for procurement consistent with the provisions of the Procurement Regulations; (h) the requirements of the Anti-Corruption Guidelines; and (i) the requirements and procedures for the monitoring, evaluation, reporting, and communications for the Borrower’s Respective Parts of the Project, including specificallyeligibility and selection criteria for Eligible MFIs and Eligible Village Saving and Loan Associations, verification mechanisms, quality assessment procedures, and related monitoring, reporting and auditing requirements; and (f) detailed procedures for administering MSME Sub-Grants programs under Part 2.4(b)(i) of the frequency Project, Business Association and content Cooperatives Subgrants under Part 2.4(b)(ii) of environmental the Project, including eligibility and social monitoring reportsselection criteria for eligible MSMEs and eligible Business Associations and Cooperatives to receive Sub-Grants; and detailed procedures for administering Entrepreneurship Subgrants under Part 2.4(b)(iii) of the Project. 2. The Borrower Borrower, through MoEUCC, shall maintain throughout Project implementation, a Project Operations Manual (“POM”), which shall consist of different schedules setting forth rules, methods, guidelines, specific development plans, standard documents and procedures for the carrying out of the Borrower’s Respective Parts of the Project, all in substance and manner acceptable to the Bank, to carry out the Borrower’s Respective Parts of the Project; said POM shall include, inter alia, provisions on the following: (a) the parties responsible for carrying out the respective parts Borrower’s Respective Parts of the Project; (b) the coordination arrangements between the relevant parties for the day-to-day execution of the Project, including specifically between the PMU and the PIUs of the Municipal Sub-borrowers under Part A Borrower’s Respective Parts of the Project; (c) the detailed description of all activities under the Borrower’s Respective Parts of the Project supported under this Agreement, their sequencing and the prospective timetable and benchmarks in relation thereto; (d) for RE Subprojects under Part 1 of the Project, inter alia: (i) the terms of reference for RE Subproject feasibility studies; and (ii) the evaluation, prioritization and selection of proposed RE Subprojects, including the detailed qualification and selection criteria; (e) the detailed policies and procedures regarding for the implementation of the Borrower’s Respective Parts of the Project, including for the selection and management of relevant Project activities, specifically for Municipal Subprojects under Part A of the Project, inter aliaspecifically: (i) the process for the Municipal Subproject applications; (ii) the evaluation, prioritization and selection of Municipal Subproject applications, including the detailed qualification and selection criteria; and (iii) the terms and conditions, and repayment terms, for Municipal Sub-loans and Municipal Sub-loan Agreements; (e) the environmental and social obligations, Environmental and Social Instruments, and arrangements, details on the function arrangements for the functioning of the grievance redress mechanism(s), and gender and citizen engagement engagement, for the Borrower’s Respective Parts of the Project, consistent with the provisions of Section I.D I.E of this Schedule 2 and the Environmental and Social Commitment Plan; (fii) the financial management arrangements, requirements and detailed procedures consistent with the provisions of Section 5.09 of the General Conditions, including the functions, staffing, job descriptions (with special emphasis on the segregation of duties), workflows, internal controls and all financial management arrangements for the Borrower’s Respective Parts of the Project; (giii) the guidelines and procedures for procurement consistent with the provisions of the Procurement Regulations; (hiv) the requirements of the Anti-Corruption Guidelines; and (iv) the requirements and procedures for the Project monitoring, evaluation, reporting, and communications for the Borrower’s Respective Parts of the Projectcommunications, including specifically, the frequency and content of environmental and social monitoring reports. 2. The Borrower Borrower, through MoEUCC, shall carry out the Borrower’s Respective Parts of the Project, and cause the said Parts of the Project to be carried out, in accordance with the arrangements, procedures and guidelines set forth in the POM, provided, however, that in case of any conflict between the arrangements and procedures set out in the POM and the provisions of this Agreement, the provisions of this Agreement shall prevail. 3. The POM, and any provision thereof, shall not be assigned, amended, abrogated or waived, nor shall be permitted to be assigned, amended, abrogated or waived, without the prior written consent of the Bank; the POM may only be amended in consultation with, and after the approval of, the Bank.

Project Operations Manual. 1. The Borrower shall carry out the Borrower’s Respective Parts of the Project, and cause the said Parts of the Project to be carried out, in accordance with the arrangements, procedures and guidelines set forth in the POM, provided, however, that in case of any conflict between the arrangements and procedures set out in the POM and the provisions of this Agreement, the provisions of this Agreement shall prevail. 3. The POM, and any provision thereof, shall not be assigned, amended, abrogated or waived, nor shall be permitted to be assigned, amended, abrogated or waived, without the prior written consent of the Bank; the POM may only be amended in consultation with, and after the approval of, the Bank.

The Borrower Recipient shall maintain maintain, throughout Project implementation, a Project Operations Manual (“POM”), in substance and manner acceptable to the World Bank, to carry out the Borrower’s Respective Parts of the Project; said POM which shall include, inter alia, provisions on the following: (a) the detailed description of all Project activities supported under this Agreement, and benchmarks in relation thereto; (b) parties responsible for carrying out the respective parts of the Project; (b) , including the coordination arrangements between the relevant parties for the day-to-day execution roles of the Project, including specifically between the PMU and the PIUs of the Municipal Sub-borrowers under Part A of the ProjectPartner Entities; (c) the detailed description of all activities under the Borrower’s Respective Parts policies and procedures relating to implementation of the Project supported under this AgreementProject, their sequencing including, inter alia, the selection and financing of Subprojects and Subproject Beneficiaries, and the prospective timetable list of Excluded Activities for the Project and benchmarks in relation theretoSubprojects; (d) the detailed policies and procedures for the implementation of the Borrower’s Respective Parts of the Project, including for the selection and management of relevant Project activities, specifically for Municipal Subprojects under Part A of the Project, inter alia: (i) the process for the Municipal Subproject applications; (ii) the evaluation, prioritization and selection of Municipal Subproject applications, including the detailed qualification and selection criteria; and (iii) the terms and conditions, and repayment terms, for Municipal Sub-loans and Municipal Sub-loan Agreements; (e) the environmental and social obligations, including the Project’s environmental and social instruments (“Environmental and Social Instruments, ”) and arrangements, and the details on the function functioning of the grievance redress mechanism(s), ) and gender and citizen engagement for the Borrower’s Respective Parts of the Project, consistent with the provisions of Section I.D I.E of this Schedule 2 and the Environmental and Social Commitment PlanESCP; (fe) the financial management arrangements, requirements and detailed procedures consistent with the provisions of Section 5.09 2.07 of the General Standard Conditions, including the functions, staffing, job descriptions (with special emphasis on the segregation of duties), workflows, internal controls and all financial management arrangements for the Borrower’s Respective Parts of the Project; (gf) the guidelines and procedures for procurement consistent with the provisions of the Procurement Regulations;; and (hg) the requirements of the Anti-Corruption Guidelines; (h) the coordination arrangements between the relevant parties for the day-to- day execution of the Project; and (i) the requirements and procedures for the Project monitoring, evaluation, reporting, and communications for the Borrower’s Respective Parts of the Projectcommunications, including specifically, the frequency and content of environmental and social monitoring reports. 2. The Borrower Borrower, through DSI, shall maintain throughout Project implementation, a Project Operations Manual (“POM”), in substance and manner acceptable to the Bank, to carry out the Borrower’s Respective Parts of the Project; said POM shall include, inter alia, provisions on the following: (a) the parties responsible for carrying out the respective parts of the Project; (b) the coordination arrangements between the relevant parties for the day-to-day execution of the Project, including specifically between DSI, ILBANK, the PMU relevant Project Municipalities/SKIs, and the PIUs of the Municipal Sub-borrowers under Part A of the ProjectWUAs; (c) the detailed description of all activities under the Borrower’s Respective Parts of the Project supported under this Agreement, their sequencing and the prospective timetable and benchmarks in relation thereto; (d) the detailed policies and procedures for the implementation of the Borrower’s Respective Parts of the Project, including for the selection and management of relevant Project activities, specifically for Municipal Subprojects under Part A of the Project, inter aliaspecifically: (i) the process for selection and management of the Municipal Subproject applicationsirrigation schemes and investments; (ii) the evaluation, prioritization supervision and selection disbursement of Municipal Subproject applications, including the detailed qualification and selection criteriasub-projects; and (iii) the terms and conditions, and repayment terms, conditions for Municipal Sub-loans and Municipal Sub-loan Agreementsthe preparation of Wastewater Reuse Protocol templates; (e) the environmental and social obligations, Environmental and Social Instruments, and arrangements, details on the function functioning of the grievance redress mechanism(s), and gender and citizen engagement for the Borrower’s Respective Parts of the Project, consistent with the provisions of Section I.D of this Schedule 2 and the Environmental and Social Commitment Plan; (f) the financial management arrangements, requirements and detailed procedures consistent with the provisions of Section 5.09 of the General Conditions, including the functions, staffing, job descriptions (with special emphasis on the segregation of duties), workflows, internal controls and all financial management arrangements for the Borrower’s Respective Parts of the Project; (g) the guidelines and procedures for procurement consistent with the provisions of the Procurement Regulations; (h) the requirements of the Anti-Corruption Guidelines; and (i) the requirements and procedures for the monitoring, evaluation, reporting, and communications for of the Borrower’s Respective Parts of the Project, including specifically, the frequency and content of environmental and social monitoring reports. 2.
