Part 3 — roles and responsibilities of each party Role of the Commonwealth The Commonwealth will be responsible for: monitoring and assessing achievement against milestones in the delivery of the Rum Jungle Mine Site Rehabilitation Project (Stage 2A) under this Agreement to ensure that outputs are delivered within the agreed timeframe; providing a consequent financial contribution to the Northern Territory to support the implementation of this Agreement; development of a Detailed Business Case to seek capital works funding for the Rum Jungle Mine Site Rehabilitation Project (Stage 3), in accordance with the Department of Finance’s Two Stage Capital Works Approval Process and Gateway Review Process and in accordance with the Resource Management Guide No. 502 (Commonwealth of Australia, 2014); and capacity building support of Rum Jungle’s traditional Aboriginal owners, including development of business structures and governance frameworks. Role of the Northern Territory The Northern Territory will be responsible for: providing an in-kind contribution to support the implementation of this Agreement; all aspects of delivering on the project outputs set out in clause 14(a) to 14(c), inclusive, of this Agreement; chairing stakeholder engagement meetings, and providing secretariat support; notifying and consulting with the Commonwealth as soon as practicable if there is any material change to the substance of the Rum Jungle Rehabilitation Project; providing supporting documentation, including information in Appendix A developed for the design and costings required to assist the Commonwealth in the development of the Detailed Business Case; reporting on the delivery of outputs as set out in Part 4 – Project Milestones, Reporting and Payments; and promoting participation of traditional Aboriginal owners in the Rum Jungle Creek South repair and maintenance works in support of the output set out in clause 15(d) of this Agreement.

Part 3 — roles and responsibilities of each party Role of the Commonwealth The Commonwealth will be responsible for: monitoring and assessing achievement against milestones in the delivery of the Rum Jungle Mine Site Rehabilitation Project (Stage 2A) strategic investments under this Agreement to ensure that outputs are delivered within the agreed timeframetimeframes; and providing a consequent financial contribution to Queensland, in accordance with the Northern Territory Part 4 – Project Milestones, Reporting and Payments, to support the implementation of this Agreement; development of a Detailed Business Case to seek capital works funding for the Rum Jungle Mine Site Rehabilitation Project (Stage 3), in accordance with the Department of Finance’s Two Stage Capital Works Approval Process and Gateway Review Process and in accordance with the Resource Management Guide No. 502 (Commonwealth of Australia, 2014); and capacity building support of Rum Jungle’s traditional Aboriginal owners, including development of business structures and governance frameworks. Role of the Northern Territory The Northern Territory Queensland Queensland will be responsible for: providing an in-kind contribution to support the implementation of this Agreement; all aspects of delivering on the project outputs set out in clause 14(a) to 14(c), inclusive, of this Agreement; chairing stakeholder engagement meetings, and providing secretariat support; notifying and consulting with the Commonwealth as soon as practicable if there is any material change to the substance of the Rum Jungle Rehabilitation Project; providing supporting documentation, including information in Appendix A developed for the design and costings required to assist the Commonwealth in the development of the Detailed Business Case; reporting on the project delivery of outputs and outputs, as set out in per Part 4 – Project Milestones, Reporting and Payments; and promoting participation managing the initiatives, working closely with Commonwealth officials to ensure the four projects do not duplicate or conflict with current or imminent NDIA and Commonwealth‑led initiatives. Shared roles The Parties will meet the requirements of traditional Schedule E, Clause 26 of the IGA FFR, by ensuring that prior agreement is reached on the nature and content of any events, announcements, promotional material or publicity relating to activities under this Agreement, and that the roles of both Parties will be acknowledged and recognised appropriately. Part 4 — Project milestones, reporting and Payments Tables 1-4 summarise the milestones for each project, their relationship to the outputs, expected completion dates, relevant reporting dates and expected payments to be made. Part 5 — financial arrangements The Commonwealth will provide an estimated total financial contribution to Queensland of $20.0 million in support of the output set out in clause 15(d) respect of this Agreement. All payments are GST exclusive. The Commonwealth’s funding contribution will not be reduced where Queensland secures funding from other activity partners. The Commonwealth’s estimated financial contributions to the operation of this Agreement, including through National Partnership payments to Queensland paid in accordance with Schedule D — Payment Arrangements of the IGA FFR, are shown in Table 5. The Parties acknowledge that this arrangement provides the maximum incentive for Queensland to deliver projects cost effectively and efficiently. Part 6 — governance arrangements Enforceability of the Agreement The Parties do not intend any of the provisions of this Agreement to be legally enforceable. However, that does not lessen the Parties’ commitment to this Agreement. Variation of the Agreement The Agreement may be amended at any time by agreement in writing by both Parties. Either Party to the Agreement may terminate their participation in the Agreement at any time by notifying the other Party in writing.

Project plans Within two months of the Commonwealth notifying the State of executing a service delivery grant agreement with a Specialist Dementia Care Program provider within the State, the Commonwealth and the State will agree to a Project Plan that will set out each State’s strategy for delivering on the outputs of this Agreement. Project Plans will be flexible documents that can be tailored to reflect the specific circumstances of each State and may be varied to accommodate changed circumstances. Any variations to Project Plans that impact milestones and payments under this Agreement will be subject to arrangements set out in clause 15(d) 27 of this Agreement. Other variations or updates to Project Plans are subject to the agreement of senior Commonwealth and State officials. Risk and issues management The parties agree that they will monitor, review and take necessary action to manage risks over the life of the Agreement. Where a risk or issue is identified by a State during the delivery of the outputs, it should be handled consistently with the memorandum of understanding or similar with the Specialist Dementia Care Program provider, or with the relevant State Health Service. Where a risk or issue cannot be resolved between the State Health Service or the Specialist Dementia Care Program provider, or otherwise relates to the design or evaluation of the Specialist Dementia Care Program, the State can escalate the risk or issue to Commonwealth officials.

Additionally, Queensland agrees to: include the words “The Port of Townsville Channel Capacity Upgrade is a joint project of the output set out Queensland Government and the Australian Government, and is supported by Port of Townsville Limited. The Channel Capacity Upgrade forms part of the Townsville City Deal signed in clause 15(d) December 2016” on the Port of Townsville Limited website, and in all publications and promotional material; as soon as practicable following the signing of this Agreement, erect and maintain a sign at the Port of Townsville entry. The sign must include the Commonwealth logo and the words “The Port of Townsville Channel Capacity Upgrade is jointly funded by the Australian Government and forms part of the Townsville City Deal signed in December 2016”; and only use the Commonwealth logo with approval from the Commonwealth and in accordance with Commonwealth branding guidelines. The Commonwealth will be responsible for: : (a) monitoring and assessing achievement against milestones in the delivery of the Rum Jungle Mine Site Rehabilitation Project (Stage 2A) Constitution Avenue upgrade and the Arboretum projects under this Agreement to ensure that outputs are delivered within the agreed timeframe; ; (b) providing a consequent financial financial contribution to the Northern Australian Capital Territory to support the implementation of this Agreement; development of a Detailed Business Case to seek capital works funding for the Rum Jungle Mine Site Rehabilitation Project ; (Stage 3), c) in accordance with the Department of Finance’s Two Stage Capital Works Approval Process Building and Gateway Review Process Construction Industry Improvement Act 2005, ensuring that financial contributions to a building project or projects as defined under the Building and in accordance Construction Industry (Accreditation Scheme) Regulations 2005, are only made where a builder (or builders) accredited under the Australian Government Building and Construction Health and Safety Accreditation Scheme is contracted; and (d) ensuring that compliance with the Resource Management Guide NoNational Code of Practice for the Construction Industry and the Australian Government Implementation Guidelines for the National Code of Practice for the Construction Industry is a condition of Australian Government funding. 9. 502 (Commonwealth of Australia, 2014); and capacity building support of Rum Jungle’s traditional Aboriginal owners, including development of business structures and governance frameworks. Role of the Northern Territory The Northern Australian Capital Territory will be responsible for: providing an in-kind contribution to support the implementation of this Agreement; : (a) all aspects of delivering on the project outputs set out in clause 14(a) to 14(c), inclusive, of this Agreement; chairing stakeholder engagement meetings, and providing secretariat support; notifying and consulting with the Commonwealth as soon as practicable if there is any material change to the substance of the Rum Jungle Rehabilitation Project; providing supporting documentation, including information in Appendix A developed for the design and costings required to assist the Commonwealth in the development of the Detailed Business Case; ; (b) reporting on the delivery of outputs as set out in Part 4 Project Milestones, Reporting and Payments; (c) ensuring that only a builder (or builders) accredited under the Australian Government Building and Construction Occupational Health and Safety Accreditation Scheme is contracted, and providing the necessary assurances to the Commonwealth; and (d) ensuring that compliance with the National Code of Practice for the Construction Industry and promoting participation the Australian Government Implementation Guidelines for the National Code of traditional Aboriginal owners in Practice for the Rum Jungle Creek South repair Construction Industry, is made a condition of tender for all contractors and maintenance works in support of subcontractors who tender for the output set out in clause 15(d) of this Agreementwork, and providing the necessary assurances to the Commonwealth.
